I examine the business we would have to become to serve a market, including the commitments that remain when we decide to leave it.

Keep the earlier commitment inside the next strategic choice

I would bring a commercial strategist's questions to collective oversight, while recognising that the board's responsibility is wider than selecting a market route. The enterprise must understand the institution a recommendation requires, the assumptions behind its opportunity and the commitments that remain when direction changes. My experience helps me examine those relationships. It does not make me the financial, legal or technical authority for every consequence of a proposed decision.

The market paper I supported in 2016 is part of that contribution. It described ₹120 crore as a merchant opportunity while including ₹45 crore of captive internal supply. The correction to ₹75 crore cost ₹38 lakh in research and replanning and held a proposed ₹36 crore expansion. A board should be able to distinguish category activity, accessible opportunity and company participation. It should also hear the author's responsibility for a definition that changed, rather than receive a quietly improved figure without an account of the earlier recommendation.

Our entry choice illustrates another question. The ₹2.4 crore distributor programme and ₹14 crore subsidiary proposal described different staffing, control and reach. The budget difference did not establish a saving. Four of six distributors placed repeat orders in eighteen months, while two did not. Directors can ask what the chosen route is teaching management and which later commitment the evidence supports. They should not need to become partner managers to understand the institutional trade-off.

Acquisition scrutiny requires a similar distinction between a reseller's account and the change proposed for the combined enterprise. A reseller's ₹31 crore sales included ₹18 crore sourced through our existing channel. We declined the ₹22 crore transaction after ₹64 lakh diligence. The overlap was neither a complete valuation method nor proof of total cannibalisation. It was evidence relevant to the reach and capability the enterprise expected to acquire. The board needs that reasoning alongside financial and specialist assessment.

A staged coverage programme makes the sequence of commitment visible. Four of twelve screened application sectors received an initial programme, with eight deferred and ₹3.8 crore approved for the first stage. A three-year direction did not mean every later commitment had been authorised or every application accepted. Directors can examine the conditions for further investment while leaving product suitability and commercial execution with their owners. The initial focus should retain the cost of delayed learning elsewhere as well as the reason for concentrating effort.

Withdrawal belongs in the same strategic account. Leaving two distributor territories retained eleven open commitments, seven completed and four still under review. Finance's ₹84 lakh transition provision did not establish actual spending or a finished exit. Directors should understand material work carried forward from an earlier direction before assuming the enterprise has released all the attention needed for its next one. That scrutiny can remain proportionate and avoid taking over individual contracts.

My exposure has been presenting recommendations through the CEO, without a statutory appointment. The fictional May 2026 IICA registration and September assessment pass represent preparation, not a conclusion about eligibility for a particular seat or committee. I would need to learn the receiving enterprise's duties, economics and people responsibilities, and seek feedback on whether my questions help the whole board rather than narrow it to commercial matters.

I have no personal equity, but employment and relationships with founders, the investment owner, distributors, customers and transaction counterparties require disclosure and qualified review. Confidential market studies and partner material would remain protected. Twenty provisional days must be tested against induction, reading, travel and exceptional demands, with employer consent. If exclusions or capacity limits prevented useful participation, I would reconsider the appointment. The contribution I seek is a more exact discussion of enterprise direction, including the assumptions I might prefer not to challenge and the unfinished consequences a new strategy could otherwise leave behind.

On governance

A market can be large while the opportunity available to our particular business is smaller. I want a strategy to explain the route by which we would serve that opportunity, the institution that route requires and the commitments it creates. I have had to narrow a market paper I wrote, and I expect a withdrawal decision to be examined as carefully as an entry proposal.

One carefully assessed first outside board role where commercial strategy can complement operating, financial and technical expertise. I have no equity or statutory seat; fictional registration and assessment completion are preparation facts. Twenty provisional days depend on employer consent, relationship review and the actual appointment demands.
