My contribution to a board
I would help a consumer board examine the difference between commercial activity and the result the enterprise retains. Orders, store sales and cash received each tell part of the story. Returns, fulfilment, property and future customer obligations can change the meaning of an attractive opening number. My contribution would be to connect those accounts so directors can judge a proposal with its conditions visible.
I have presented as CFO to Seravel's board since April 2021, including decisions about campaign contribution and store commitments. I have not served as a director. A first external appointment would therefore require deliberate learning about collective board responsibility as well as the new company's business. I would bring finance experience without assuming it confers authority over product, customer or technical judgements. I am particularly interested in how a board decides when it has enough evidence to commit and how it records the uncertainty that remains. A clear review point can be as valuable as a confident forecast when the commercial model is still changing.
Judgement in practice
01A campaign result that waited for the customer
A defined SGD8.4 million order cohort became SGD7.2 million net sales after cancellations and refunds. Product cost for retained sales and the campaign's fulfilment, payment, return-handling and media costs left SGD800,000 contribution before central expenses. I asked the board to consider that account before repeating the offer at its original scale. The commercial team gave up some possible immediate momentum while a narrower test was prepared. For another board, I would ask which customer choices and operating costs remain unresolved when management presents a sales result. I would also examine whether the proposed next commitment needs the same level of certainty as a routine trading decision. The objective is not to delay all activity until every fact is known. It is to ensure that the recommendation does not depend on treating a provisional order total as a completed economic result.
02A shorter property commitment with its price acknowledged
A store renewal compared SGD4.8 million rent over five years with SGD1.65 million over eighteen months and a separate SGD220,000 refresh. We selected the extension while assessing customer activity across store and online channels. The higher annualised rent was explicit, and the uncommitted difference was not called a saving because the periods differed. My contribution was to connect the price of waiting with the evidence we intended to obtain. At another board, I would ask whether a staged decision has a real learning purpose, a review calendar and credible alternatives at the next point. A short commitment can be useful, but it can also postpone a difficult answer repeatedly. Directors need to understand what could change the recommendation and who will bring that evidence back before the company faces another deadline with the same unresolved assumptions.
My first year on a board
I would begin by learning how the company defines a customer transaction and where its obligations continue afterwards. Conversations with management and appropriately arranged operating visits would help connect the financial account with the service actually delivered. I would examine one recent growth decision and one commitment that proved less attractive than expected, asking what the board knew at the time and how subsequent evidence was used. The purpose would be to understand the governance process, not reopen every executive decision through hindsight.
With the chair, I would agree where my financial experience can add value and where I need further sector learning. Committee preparation would include the reporting definitions, risk account and assurance arrangements relevant to the role. Through the first annual planning cycle, I would pay attention to incentives that separate the attractive early measure from the later cost. I would seek feedback on the quality of my questions and the discipline of my contribution. A useful first year should leave management with clearer board judgement while preserving its authority to run the enterprise.
Conflicts and their management
Before receiving sensitive material, I would review the proposed company against Seravel's commercial relationships and my executive responsibilities. Product overlap is only one consideration. Shared landlords, suppliers, delivery partners, investors and customer channels may create connections that affect confidentiality or judgement. I would disclose relevant relationships through the proper process and obtain employer agreement before accepting a seat. Repeated conflicts may make an appointment unsuitable even where individual recusals appear possible.
Time also needs a realistic account. Twenty-two annual days must include preparation, induction and exceptional matters, with attention to retail peak periods and reporting commitments in my current role. I would not accept a mandate that depends on availability I cannot provide. Independence and eligibility require a specific assessment; neither follows automatically from having no current directorship. The proposed responsibilities, relationships and applicable rules must be considered together. A transparent account at the beginning protects the quality of the board's contribution more effectively than discovering practical limitations after appointment.
My independence statement
I hold no directorship and would be a first-time external director. Independence must be assessed for the specific company, relationships and applicable requirements; CFO experience does not establish it automatically.

The seat I am pursuing
I am interested in an established consumer or service enterprise whose board wants a more complete account of growth. The company might be reconsidering its channel mix, reviewing property commitments or examining whether its customer promises are supported by sustainable economics. I would favour a mandate where the chair can explain the judgement sought and where directors are willing to discuss both commercial opportunity and the costs that appear after the initial success measure.
Audit, risk or investment committee membership could fit my experience. I would not propose immediate committee chair responsibility for a first external appointment; any later leadership role should follow assessment, induction and demonstrated contribution. The enterprise should have a clear distinction between oversight and management, so my finance background supports collective challenge without becoming an informal operating role. I would bring curiosity about the customer's journey and discipline about the commitments behind it, while expecting to learn the details that make the new company different from Seravel.
