The board needs the commitment before the success account
The board should be able to see the commitment between an approval and its promised result. In an operating energy business, that commitment can include a period without generation, a service obligation whose timing matters, or a commercial relationship that changes the consequences of one counterparty's decisions. I want management's account to connect those dimensions without concealing the uncertainty that remains. A concise recommendation should make the choice easier to examine, not remove the facts that make it difficult.
My 2016 maintenance-calendar decision is the clearest test of that position. Safiya raised the local resource pattern before I approved a common programme. I treated the annual hours measure as sufficient for the commercial discussion. Fourteen days of planned shutdown at six machines then fell inside a strong wind period. The review estimated 1.8 GWh foregone against a stated counterfactual. We accepted ₹1.4 crore contractual customer credits and funded ₹1.8 crore revised scheduling and coverage. Those figures represent different things; the credits were not a simple valuation of the estimated energy.
I needed to account for why the relevant objection had not changed my approval. It would have been easier to describe the problem as an unexpected operating complication. That would have omitted the management choice. The correction gave site conditions a defined place in planning while preserving the authority of engineering and safety owners. It did not promise that maintenance could be eliminated or that an executive could choose a working window from an earnings forecast alone. Governance requires a route for such constraints to remain consequential after a proposal has acquired senior sponsorship.
The repowering review asked for a related discipline at investment level. The board considered an eighteen-month old-asset estimate of 93 GWh and a replacement forecast of 124 GWh including its transition. Actual export was 118 GWh. The report retained that result against the original forecast and kept the counterfactual separate. The ₹264 crore staged project approval had its own conditions and funding account. It was not interchangeable with the current annual capital programme, nor did the approval settle every later specialist decision. A review point matters only if the evidence reaching it can affect the next commitment.
Access relationships needed their own form of challenge. The consolidated proposal contained twenty-six underlying agreements, five with unresolved use conditions. We did not label those parties obstructive or treat the remaining work as a clerical delay. The approved alternative followed clarification of twenty-one relationships, additional route work and a ten-week change in programme. Qualified land, legal and planning owners retained responsibility for their conclusions. My role was to prevent an aggregate proposal from being treated as completion of every relationship on which the operating plan depended.
The buyer-concentration decision also required a boundary between a useful estimate and an asserted outcome. We accepted a narrower allocation with lower forecast contribution. No later default is invented to prove that the choice saved money, and the actual year's generation revenue remained below both planning cases. The board could examine the exposure we chose and the opportunity we gave up without a retrospective success story. That is a more demanding account of judgement than assuming a decision was correct because the feared event did not occur.
As CEO and one executive director, I am accountable to a separately chaired board while continuing to lead management. That experience does not establish independence for an outside appointment. My employment, 0.2% employee equity interest and the company's commercial and investor relationships would need assessment for the particular role. An invitation should not depend on confidential customer or site information that I cannot properly share. The provisional eighteen-day capacity allowance would also need to be tested against the real demands of both positions.
My fictional databank registration is recorded, but proficiency assessment remains unfinished and no exemption is asserted. I would expect to learn a prospective enterprise before joining an appropriate committee, with no immediate chair claim. The contribution I could offer is a connected account of commitments, measured results and assumptions. It must include willingness to hear the objection that complicates a proposal I favour. A board gains little from an executive who can explain every uncertainty except the one that challenges her own preferred decision.
On governance
I want the approval account to include the months in which the old asset has stopped and the new one has not yet earned. Capacity, access, customer commitments and a funded transition belong in the same leadership conversation. A better future machine does not make today's obligations disappear.
