Reference: GILA/ID/FAM-056/LUGG
Board seat: Independent Director, Non-Executive
Primary board location: Mumbai with manufacturing and retail visits
Meeting model: Five boards, quarterly Audit/NRC and annual strategy retreat
Mandate type: Family-Business Professionalisation
Status: Confidential live-search specification; client identity released only after conflict clearance and NDA.
The anonymised enterprise
A family-controlled travel-goods manufacturer and brand owner selling luggage, backpacks and accessories through retail, e-commerce and institutional channels.
Revenue is ₹2,500–3,500 crore. Third-generation family members are entering brand, digital and manufacturing roles while the group evaluates overseas acquisition and a new automated plant.
The board problem and strategic reason for appointment
The board needs one independent voice on family employment, capital allocation and brand architecture. The risk is simultaneous diversification, capex and overseas expansion driven by individual family ambitions.
The board is not buying a credential. It is appointing an independent decision-maker who can convert this problem into a governed sequence of choices, evidence and accountability. Success will be judged by the quality of decisions and control improvement, not by the number of recommendations made.
Board position, authority and interfaces
Independent director; member of Audit and NRC; Chair of Strategy/Investment committee.
The appointee will have direct, unfiltered access to the Company Secretary and to the relevant control-function leaders. Any advisory support requested by the board must remain management-executed: the director sets questions, tolerances and evidence standards, but does not become an executive or consultant.
First 12–18 month strategic charter
- Create common entry, assessment and reporting standards for family executives; rank plant, acquisition and brand investments on one capital framework; review channel conflict, discounting and inventory ageing across brands; establish related-party, family-office service and intellectual-property rules
- Separate ownership, family and management decisions: define which forum owns each issue, how conflicts are declared and how professional executives receive real authority.
- Convert unwritten practices into a governance compact covering succession, related parties, family employment, capital allocation, information rights and conduct—without importing bureaucracy the business cannot use.
Decision profile sought
Essential evidence
- Consumer CEO, brand/manufacturing executive, family-business director or investment leader; capital-allocation discipline; board independence
Differentiators
- Overseas acquisition integration, family employment policy or omnichannel turnaround; experience closing a weak family-sponsored project
GILA will assess respect for entrepreneurial history combined with independence from family factions, experience professionalising without humiliating incumbents, and comfort with ambiguity outside the boardroom. Candidates should expect a case discussion based on an ambiguous board decision from this mandate, not a career-history interview alone.
Independence, suitability and downside diligence
The search will apply Section 149(6), Sections 164–165, Schedule IV and the applicable listing or sector rules to the entity’s legally verified status at the appointment date. Databank/proficiency status, listed-entity directorship and committee ceilings, pecuniary relationships, relatives’ interests, recent audit/advisory work and interlocking directorships will be checked. The appointment is subject to formal legal and secretarial confirmation; this posting is not a substitute for that determination.
Mandate-specific screens: Personal ties to family branches, distributors, landlords or acquisition advisers; brand endorsement interests; competing consumer board.
Before accepting the seat, the candidate will receive under NDA the latest board composition, committee charters, material litigation/regulatory schedule, related-party map, last audited accounts, current D&O policy and the specific risk papers necessary to make an informed liability assessment.
Twelve-month outcomes
The board expects a professional management system with clear authority, cleaner family-company boundaries and succession decisions that do not destabilise the enterprise. For this particular seat, the evidence will be:
- Family roles use evidence-based entry and evaluation; capital choices share hurdle and post-audit; channel/inventory and related-party issues are board-visible
Commitment, protection and economics
- Expected load: 20–25 days annually.
- Terms: Five-year/tailored term subject to structure; committee fee; D&O and independent transaction advice.
- Protection: Appointment letter, deed of indemnity where legally available, appropriate D&O cover including discovery/run-off terms, access to independent advice under the board-approved protocol, and complete minuting of dissent.
- Equity: No stock options where the appointment is legally an independent-director seat subject to Section 149(9). Any private-company structure outside that perimeter will be expressly classified and separately advised; no equity is implied by this posting.
