The opportunity

India ID Exchange seeks a deeply experienced Board leader to deliver and govern its three ID Advisory engagements: the Board Candidacy Programme, the First Seat Intensive and Chairmanship.

Each engagement serves a different stage and must remain a different job. The Board Candidacy Programme prepares a serious executive for nomination-committee scrutiny. The First Seat Intensive supports a candidate already running a live search. Chairmanship provides a confidential sounding board to people chairing, or preparing to chair, Boards and committees.

The Senior Board Advisory Partner will not operate as a career coach, trainer reading from a curriculum or intermediary selling access to Boards. The role requires someone who has governed complex institutions, chaired difficult discussions, assessed senior leaders and handled moments when the correct Board decision was commercially, politically or personally uncomfortable.

Portfolio-wide mandate

1. Protect the integrity of the three-track model

Assess which engagement genuinely fits the candidate’s stage. Do not push a first-seat candidate into an advanced engagement because it carries a higher fee. Do not accept a Chairmanship client whose need is actually foundational Board readiness.

Where a candidate is not ready for the selected track, explain why and determine whether the engagement should be changed, deferred or declined. Commercial targets must never displace professional judgement.

Maintain a consistent principle across all three programmes: advisory prepares and supports a candidate; appointment decisions belong entirely to companies and nomination committees.

2. Set a Board-practice standard for every advisor

Create facilitator guides, evidence standards, written-output requirements, confidentiality rules and quality reviews without turning experienced judgement into a mechanical script.

Observe selected sessions, review written work and provide supervision where an advisor encounters a complex eligibility, independence, conflict, reputation, consent or Board-crisis issue.

Ensure that advisors stay within competence. Legal, tax, regulatory, mental-health, reputation, cyber-forensic and other specialist questions must be referred appropriately rather than answered casually.

3. Connect advisory work with usable Board intelligence

Help candidates interpret Board vacancies, tenure events, committee needs, ownership structures, company filings and governance signals. The purpose is to improve targeting and diligence, not to claim inside access or predict an appointment.

Ensure that candidate strategy remains grounded in actual mandate fit: sector, committee need, ownership context, company scale, geography, independence, capacity and the decisions the new director must improve.

Teach advisors and candidates to separate a visible Board from a suitable Board. Prestige, remuneration or a well-known promoter must not substitute for mandate fit and consent diligence.

Programme I — Board Candidacy Programme

Programme purpose

Lead the preparation track for senior executives aspiring to a first Board seat, or for executives whose early Board exposure has not yet produced a clear independent-director candidacy.

The engagement comprises four substantial one-to-one sessions, written work between sessions and a structured ten-week journey, with a guided hand-off into the India ID Exchange platform.

Required delivery

Eligibility and independence screen

Review the candidate’s actual record: DIN and KYC position, directorships, disqualification risk, struck-off or defaulting-company associations, professional retainers, employment, family relationships, investments, auditor or adviser connections, tenure and capacity.

The advisor is not engaged to issue a legal opinion. The responsibility is to identify facts and questions that require resolution before the candidate represents herself or himself as eligible and independent.

Written readiness assessment

Provide a candid written view of present readiness, targetable Board situations, evidence gaps, positioning risks, development actions and matters requiring specialist clearance. Avoid traffic-light scores unsupported by narrative judgement.

Board Profile and portfolio document

Rebuild the executive record for a Board reader. The profile should show enterprise decisions, governance relevance, committee contribution, sector depth, scale, ownership contexts, crises and transformation—not reproduce an operating résumé with the word “Board” added.

One-page Board thesis

Help the candidate articulate the governance problem for which the person is a credible answer. It must be specific enough for a nomination committee to remember and broad enough to support a realistic set of mandates.

Three evidence episodes

Structure and test three high-quality episodes demonstrating judgement, challenge, accountability and outcome. Each episode must withstand factual follow-up and later reference checking.

Conflict, independence and tenure map

Create a reusable disclosure base covering roles, relationships, investments, advisory work, relatives and sector intersections. Teach the candidate that disclosure is an ongoing judgement, not a form completed after selection.

Mock nomination-committee panel

Convene practitioners who have assessed directors from the company side. Use a realistic company case, probe inconsistencies and provide direct written feedback. The panel should test judgement and role understanding, not reward polished speech.

Committee and sector targeting

Identify the kinds of seats the candidate should pursue, the evidence required, and the invitations to decline. Produce a practical targeting thesis rather than a list of famous companies.

Programme outcome

A factually sound candidacy that survives nomination-committee scrutiny, supported by complete Board materials and a clear targeting and consent strategy.

Programme II — First Seat Intensive

Programme purpose

Lead the live-search track for candidates already being considered or actively pursuing a first significant independent or non-executive appointment. The six-month retained engagement includes the complete candidacy foundation and senior support as real opportunities arise.

Required delivery

Complete the candidacy foundation

Do not assume an active search means the underlying candidacy is ready. Complete the screen, profile, thesis, evidence episodes, conflict map and mock panel before intensifying outreach or interviews.

Named-Board targeting

Maintain a working shortlist of Boards where the candidate’s record plausibly fits the strategic and committee agenda. Revise it as appointments, tenure changes, company events and candidate conflicts evolve.

This is not a promise of access. The output is an evidence-led targeting map showing rationale, likely role, risks, relationship path and current status.

Opportunity-specific preparation

Before a real interview, help the candidate understand the company, ownership, Board composition, committee architecture, strategic agenda, financial condition, regulatory context and likely reason for the appointment.

Prepare the candidate to discuss the decisions that matter to that Board. Generic “why do you want to be a director?” rehearsal is insufficient.

Reverse diligence

Review public and candidate-provided information on financials, auditors, related parties, litigation, penalties, Board churn, promoter conduct, governance history, information quality, D&O cover, indemnity and expected workload.

Advise the candidate when an invitation requires more evidence, external counsel, negotiated safeguards or refusal.

Offer and consent support

Review the commercial and governance substance of appointment terms: role, committees, meeting load, information rights, induction, fees, commission, reimbursement, D&O, confidentiality, conflicts, evaluation and resignation.

The advisor must not provide legal advice unless separately qualified and engaged. Identify questions for the candidate’s counsel or company secretary rather than improvising a legal conclusion.

Monthly search review

Provide a written review of activity, feedback, weak signals, strong signals, targeting changes, material development and the next month’s priorities. Do not manufacture activity to make the retainer look busy.

Availability between scheduled sessions

Offer proportionate senior access when an interview, reference request, invitation or consent issue arises. Establish response standards and escalation coverage so candidates are not left unsupported during a time-sensitive decision.

Programme outcome

A disciplined, evidence-led live search supported through genuine opportunities, reverse diligence, offer evaluation and—where earned—a responsible first appointment.

Programme III — Chairmanship

Programme purpose

Lead the Chair’s track for serving or newly appointed Board and committee Chairs who need a confidential peer outside their own Board. The engagement runs for twelve months and is organised around live decisions rather than a classroom schedule.

Required delivery

Confidential Chair conversations

Provide access to advisors who have actually chaired significant Boards or committees. Match the practitioner to the issue rather than routing every Chair to the same generalist.

Maintain disciplined confidentiality, conflict screening and record handling. The service must never become a channel for undisclosed company information to enter another Board, investor or search mandate.

Live-decision counsel

Help the Chair structure the problem before taking a position: decision rights, evidence, stakeholders, dissent, conflicts, alternatives, timing, disclosure and what must be recorded.

Do not make the decision for the Chair. The engagement strengthens the Chair’s judgement and process; accountability remains with the Chair and Board.

Difficult Board stretches

Support issues including divided Boards, CEO succession, executive underperformance, promoter conflict, activist pressure, auditor concern, regulatory attention, whistle-blower matters, investigations, liquidity stress and contested transactions.

Recognise when the situation requires formal independent legal, regulatory, forensic, clinical, technical or other advice. A sounding board must not displace properly appointed counsel.

Committee-Chair craft

Advise on annual agendas, pre-reads, private sessions, control-function access, management attendance, time allocation, dissent, action tracking and minutes. Help the Chair create conditions in which the real issue reaches the room early enough to be governed.

Board and committee evaluation

Help Chairs commission, interpret and respond to evaluations that examine behaviour, information, decision quality, skills, succession and committee effectiveness. Avoid evaluations designed only to produce reassuring scores.

Chair succession and bench building

Advise on committee succession, emergency coverage, Board skills and future Chair readiness. The Board should not discover that it lacks a credible committee Chair after a resignation or crisis.

Programme outcome

A more effective Chair with confidential access to practitioners who understand the office, stronger decision processes and better handling of the situations that cannot be discussed freely inside the Board.

Cross-programme responsibilities

Candidate and client safeguarding

Protect personal data, Board information, company confidences, assessment materials and the identity of candidates engaged discreetly. Define who can access files, what is recorded, retention periods and how sensitive conversations are separated from marketplace and search activity.

Advisor conflicts

Screen every assigned advisor against the candidate’s employer, target Boards, investors, auditors, law firms, competitors and current mandates. Reassign work where prior knowledge or commercial interest may impair trust.

Honest commercial boundaries

Maintain the following principles:

  • No Board seat, shortlist, interview, introduction or timeline is guaranteed.
  • No Board access or favourable platform treatment is sold.
  • Fees pay for advisory work and time, not appointment outcomes.
  • No success fee is accepted from candidates.
  • Completion does not certify that every candidate is Board-ready.
  • The advisor will say when Board work is not the right immediate ambition.

Platform hand-off

Ensure that each candidate finishes with materials suitable for appropriate use on India ID Exchange and understands how to configure Board preferences, confidentiality, applications, alerts and intelligence.

The advisor must not influence platform ranking or imply that advisory purchasers are matched ahead of other qualified members.

Quality and evidence

Track outcomes that reflect advisory value: readiness issues identified, materials completed, targeting precision, interview learning, invitations declined after diligence, first-term effectiveness and Chair decision quality. Appointment count alone is an unsafe measure because it can reward weak consent decisions and overpromising.

Candidate profile

Essential

  • Substantial service as an Independent Director, Non-Executive Director, Board Chair or committee Chair on consequential Indian or international Boards.
  • Direct participation in nomination, evaluation, succession, crisis, investigation, capital allocation or other high-stakes Board decisions.
  • Experience assessing CEOs, directors or senior executives through evidence rather than reputation alone.
  • Strong grasp of Board roles, committees, independence, conflicts, consent, information, liability and the boundary between governance and management.
  • Ability to advise first-time candidates and experienced Chairs with equal credibility and different methods.
  • Exceptional listening, questioning and written-feedback capability.
  • Judgement to protect confidentiality and refer issues beyond personal competence.

Strong differentiators

  • Experience chairing Audit, Risk, NRC or a regulated-entity Board.
  • Governance across listed, promoter-led, PE-backed and professionally managed companies.
  • Prior Board search, succession, evaluation or director-development work.
  • First-hand handling of CEO succession, Board division, regulatory scrutiny, whistle-blower investigation or a distressed company situation.
  • Ability to draw on a high-quality network of serving and former Chairs without commercialising access.

Conflicts and conduct

Candidates must disclose all directorships, advisory roles, investments, search-firm relationships, coaching activities, professional-firm interests and relationships relevant to India ID Exchange members and target companies.

The role is incompatible with candidate-paid introductions, appointment success fees, selling confidential information, steering clients toward personally connected vendors, using advisory work to source investments, or representing that personal relationships guarantee Board access.

IICA Databank membership may be relevant to the candidate’s own appointments but is not, by itself, evidence of the Board experience required for this role.

First 100 days

  • Audit the delivery standard, candidate journey and written outputs across all three programmes.
  • Establish stage-assessment criteria and referral rules between programmes.
  • Certify a core panel of advisors and serving/former Chairs against competence, conflicts and confidentiality.
  • Create reusable but non-formulaic templates for readiness notes, Board theses, evidence episodes, targeting maps and monthly reviews.
  • Establish response and escalation protocols for live interviews, offers, consent issues and Chair crises.
  • Review the hand-off between advisory, India ID Exchange membership and Board-search activity to protect neutrality.
  • Introduce quarterly case supervision using anonymised, high-complexity engagements.

Outcomes expected by month 12

  • All three programmes delivered as distinct, high-integrity advisory engagements aligned to the candidate’s actual career stage.
  • Consistent, defensible written outputs and meaningful quality control across every advisor.
  • A credible national panel of Board-experienced practitioners and Chairs.
  • Stronger candidate judgement in targeting, interviews, reverse diligence, consent and first-term conduct.
  • Chair clients supported through live issues without breach of confidentiality or displacement of formal counsel.
  • Zero guarantees, paid Board access, success-fee behaviour or preferential marketplace treatment.
  • A Board Advisory practice known for candour, evidence and leaders who have genuinely served in the room.

Application

Candidates should submit a Board résumé, complete schedule of current and recent directorships and advisory roles, and a note describing three situations: one candidate or succession judgement, one difficult Board decision, and one occasion when the candidate advised against accepting or proceeding with an apparently attractive opportunity.

Shortlisted candidates will undertake two practical discussions: a first-seat case involving weak evidence and an urgent nomination-committee interview, and a Chair case involving divided directors, incomplete information and a decision that cannot safely be deferred.
