A leadership system for a business operating at global scale
The incoming director will chair NRC in an organisation where value is created through distributed delivery, senior client relationships, technical capability and disciplined deployment of a large professional workforce. The Board needs a chair who can judge leadership and reward across markets without mistaking headcount, utilisation or succession coverage on paper for organisational resilience.
CEO and enterprise succession
Emergency continuity, planned succession and leadership for a materially different strategy will be treated as separate scenarios. The NRC will evaluate internal successors for enterprise judgement, global stakeholder credibility, technology fluency, capital discipline and the ability to lead through client or workforce disruption.
Coverage must include finance, delivery, technology, security, people and material business leadership. The committee will identify roles in which client trust, architecture knowledge or transformation history remains concentrated. Successor readiness should be observed through assignments carrying comparable ambiguity and consequence.
Workforce economics and capability
The Board should understand whether workforce mix, location, pyramid, subcontracting, automation and attrition support the commercial plan. A cost action that weakens delivery depth or future capability is not a complete productivity decision. The director will ask for leading evidence on scarce skills, internal mobility, technical career paths, leadership spans and regrettable attrition.
AI-enabled delivery changes both productivity and accountability. The NRC will examine which roles change, which review skills become more important, how benefits are measured after rework and risk, and whether executive incentives encourage unsafe adoption.
Executive remuneration
Annual and long-term scorecards should connect growth to margin quality, cash, client outcomes, service resilience, security, employee health and successor development. The Chair will test whether large transactions, bookings or market movements dominate reward before their economics are realised. Deferral, malus and recovery must function when later information changes the original performance judgement.
Board composition
The skills matrix will be rebuilt for the next strategy cycle, including contemporary technology, international business, finance, cyber/data, people and customer trust. Independence, conflicts, overboarding and committee succession will be reviewed substantively. Board evaluation should result in defined action and ownership.
Audit link
As an Audit member, the director will bring leadership and incentive context to repeat control findings, whistle-blower themes, revenue judgements, cyber assurance and management representation. A technical control failure may also expose unclear authority, weak successor depth or reward pressure; the committees should exchange evidence without blurring their separate decisions.
Entry assignment
Within 120 days, the Chair will compare the top four strategic priorities with the actual leadership and capability pipeline. Where the gap cannot close within the strategy timetable, the Board must choose between changing the strategy, acquiring capability or accepting explicit execution risk.
Candidate standard
Applicants may be former technology CEOs, global business presidents, CHROs or experienced NRC chairs who have governed large professional workforces and succession. Evidence of hard leadership and reward decisions is essential. DIN, statutory independence, databank compliance and availability for Board/NRC cycles and succession work are mandatory.
