The human system behind the financial model
This Board is looking for an NRC Chair who understands that strategy is transmitted through targets, decision rights, incentives and leadership behaviour. In a financial-services business, weak people governance can surface as poor underwriting, aggressive distribution, delayed escalation, fragile collections or misleading confidence in a new product. The appointee must be able to connect these outcomes back to the organisation that produced them.
NRC agenda
The Chair will build succession coverage for the CEO and the leaders responsible for finance, risk, compliance, technology, product, collections and customer operations. Emergency cover and medium-term readiness must be assessed separately. The committee should know which successors have been tested through enterprise assignments and which remain names on a slide.
Executive remuneration will be examined through risk-adjusted and customer-adjusted value. Origination, assets managed or revenue cannot be considered without cash, delinquency emergence, complaints, operational loss and control conduct. Deferral, malus and recovery arrangements should work in practice when later outcomes reverse an apparently successful year.
The director will review organisation design as the business scales or changes channel. Authority between product, credit, sales, operations and control functions should be explicit. Risk and compliance leaders need direct access, appropriate status and performance measures that do not make constructive challenge professionally expensive.
Board composition and evaluation also fall within the mandate. The Chair will maintain a skills map aligned to the next strategy cycle, assess independence and overboarding, improve committee succession and convert annual evaluation into specific renewal or development actions.
Audit and stakeholder contribution
As an Audit Committee member, the director will follow issues where incentive or leadership behaviour influences controls: sales practices, related parties, fraud escalation, whistle-blower cases, provisioning overrides and repeat findings. On Stakeholders, the member will look at investor communication, grievance themes and the governance of difficult customer outcomes. A complaint pattern may be the earliest evidence that target design is wrong.
A practical first-year commission
The Board will ask the new Chair to select two growth businesses and trace their performance scorecards from Board-approved strategy to frontline behaviour and eventual customer/credit outcomes. The review should identify where measures are lagged, contradictory or capable of gaming. Management will own redesign; the NRC will approve principles and monitor whether behaviour changes.
Candidate standard
Applicants may be experienced CEOs, CHROs, business heads, regulators or financial-services leaders who have governed succession and reward under growth pressure. Evidence of difficult leadership assessment, control-function protection and incentive correction will carry more weight than policy familiarity. Prior NRC chairship is preferred. Candidates must satisfy statutory independence, conflicts and Independent Directors' Databank obligations, and be available for Board cycles, succession sessions and leadership engagement throughout the year.
Registration on the IICA Independent Directors Databank is required before appointment. A DIN is not needed to apply: where an appointee does not yet hold one, it is obtained through the appointing company at the point of appointment.
