What the accounts cannot explain on their own
In precision and automotive manufacturing, margin can move because of product mix, commodity pass-through, yield, tooling, capacity utilisation, customer schedules, quality cost, freight or warranty. The Audit Committee Chair must ensure that finance and operations explain the same movement and that one favourable variance is not disguising deterioration elsewhere.
The Chair's evidence chain
Customer nomination to cash. Material programmes should show contracted commercial terms, volume and mix sensitivity, development and tooling responsibility, price-reset mechanisms, acceptance, receivable ageing and warranty obligations. Changes imposed through schedules or engineering must enter the financial forecast promptly.
Material to conforming output. Purchase price, consumption, yield, scrap, rework, subcontracting and inventory should be reconciled at a level that reveals abnormal loss. Customer-specific and slow-moving material requires evidence of recoverability or alternate use. Supplier claims and credits should not obscure the true cost of disruption.
Capacity to realised return. Capex cases will retain their original baseline for volume, cycle time, labour, quality, energy and cash. Post-completion review should identify whether the asset is installed, qualified, utilised and economically productive. Deferred maintenance and bottleneck expenditure need the same transparency as expansion.
Quality to provision. Internal and external defects, containment, line stoppage, field events, warranty and customer debit notes should be connected to provisions and risk. The committee will ask whether recurring corrective actions address root cause and whether commercial pressure affects reporting.
Governance areas beyond costing
The Chair will oversee statutory and internal audit, related parties, promoter-linked dealings, foreign exchange, tax, incentives, fraud risk, whistle-blower cases and IT access. Audit scope should reach plants, warehouses and material vendors. Private auditor sessions and a clear protocol for unresolved disagreement are expected.
As an NRC member, the director will evaluate succession for operations, finance, quality, engineering and commercial leadership. The Board should understand the risk of scarce manufacturing knowledge and customer dependence. As a CSR member, the director will examine outcome evidence and partner controls, particularly around plant communities and employability.
The first six months
The new Chair will trace one major product family from customer assumption through material, production, quality, dispatch, collection and warranty. A second deep-dive will compare three recently completed capital projects with their approval cases. The purpose is to establish where management information is strong and where the assurance plan must change.
Applicant requirements
Candidates should have served as a manufacturing CFO, CEO, plant/business head, audit partner, risk leader or senior automotive/industrial executive. Direct familiarity with programme economics, multi-plant control, capex and customer quality is important. Previous Audit Committee chair experience is preferred. Candidates must meet independence, conflict and databank requirements and be willing to visit facilities as part of Board preparation.
Registration on the IICA Independent Directors Databank is required before appointment. A DIN is not needed to apply: where an appointee does not yet hold one, it is obtained through the appointing company at the point of appointment.
