Reference: GILA/ID/FAM-057/MEDIAFAM
Board seat: Independent Director, Non-Executive
Primary board location: Hyderabad with broadcast and print operations
Meeting model: Six boards, quarterly governance/risk and owner-family sessions
Mandate type: Family-Business Professionalisation
Status: Confidential live-search specification; client identity released only after conflict clearance and NDA.
The anonymised enterprise
A privately held family media group spanning regional television, digital news and print assets, with the second generation divided between editorial and commercial leadership.
Revenue is ₹1,500–2,200 crore. The founder will step back from daily operations; a professional CEO and editor-in-chief are to receive clearly separated authority.
The board problem and strategic reason for appointment
This appointment may be an independent non-executive chair rather than a statutory independent-director seat, to be explicitly classified. The strategic task is to protect entity, editorial and commercial governance without becoming family arbitrator or editor.
The board is not buying a credential. It is appointing an independent decision-maker who can convert this problem into a governed sequence of choices, evidence and accountability. Success will be judged by the quality of decisions and control improvement, not by the number of recommendations made.
Board position, authority and interfaces
Independent non-executive Chair; NRC and Ethics Committee leadership; no day-to-day editorial authority.
The appointee will have direct, unfiltered access to the Company Secretary and to the relevant control-function leaders. Any advisory support requested by the board must remain management-executed: the director sets questions, tolerances and evidence standards, but does not become an executive or consultant.
First 12–18 month strategic charter
- Define owner, chair, CEO and editor-in-chief authority and escalation; build transparent appointment/evaluation for editorial and commercial leaders; govern political advertising, government receivables and related production arrangements; create family share-transfer, board nomination and information protocols with specialist advisers
- Separate ownership, family and management decisions: define which forum owns each issue, how conflicts are declared and how professional executives receive real authority.
- Convert unwritten practices into a governance compact covering succession, related parties, family employment, capital allocation, information rights and conduct—without importing bureaucracy the business cannot use.
Decision profile sought
Essential evidence
- Experienced chair, media CEO, governance or public-interest leader with family-enterprise credibility; editorial independence and commercial judgement
Differentiators
- Newsroom governance, founder succession or family ownership compact; crisis leadership under political pressure
GILA will assess respect for entrepreneurial history combined with independence from family factions, experience professionalising without humiliating incumbents, and comfort with ambiguity outside the boardroom. Candidates should expect a case discussion based on an ambiguous board decision from this mandate, not a career-history interview alone.
Independence, suitability and downside diligence
The search will apply Section 149(6), Sections 164–165, Schedule IV and the applicable listing or sector rules to the entity’s legally verified status at the appointment date. Databank/proficiency status, listed-entity directorship and committee ceilings, pecuniary relationships, relatives’ interests, recent audit/advisory work and interlocking directorships will be checked. The appointment is subject to formal legal and secretarial confirmation; this posting is not a substitute for that determination.
Mandate-specific screens: Political office, advertising brokerage, production-house, family-faction or competitor interests; expectation of editorial influence; advisory role to a family branch.
Before accepting the seat, the candidate will receive under NDA the latest board composition, committee charters, material litigation/regulatory schedule, related-party map, last audited accounts, current D&O policy and the specific risk papers necessary to make an informed liability assessment.
Twelve-month outcomes
The board expects a professional management system with clear authority, cleaner family-company boundaries and succession decisions that do not destabilise the enterprise. For this particular seat, the evidence will be:
- Authority boundaries operate under stress; CEO/editor evaluated independently; political/related commercial exposure reaches board through controlled data
Commitment, protection and economics
- Expected load: 26–32 days annually.
- Terms: Three-year chair term renewable; fixed cash fee; media-liability, D&O and independent-counsel access.
- Protection: Appointment letter, deed of indemnity where legally available, appropriate D&O cover including discovery/run-off terms, access to independent advice under the board-approved protocol, and complete minuting of dissent.
- Equity: No stock options where the appointment is legally an independent-director seat subject to Section 149(9). Any private-company structure outside that perimeter will be expressly classified and separately advised; no equity is implied by this posting.
