  • Listed, mid-cap, promoter-chaired with professional operating management; promoter holding in the 40–55% band.
  • Participant in the automotive production-linked incentive framework on the advanced automotive technology side.

Why this seat exists — and why it is different from a components board seat

A general auto component manufacturer faces the electrification transition as a mix problem: some products go away, others are unaffected, and the portfolio rebalances over fifteen years.

A powertrain manufacturer faces it as an existential one. The entire product is the thing being replaced. There is no version of the transition in which a transmission business simply continues. Every rupee of current profit is generated by a product architecture with a defined terminal date, and every rupee of R&D is spent on a product architecture that does not yet earn.

That creates a specific and brutal capital allocation problem: how much of the declining business's cash flow to reinvest in it to defend near-term share, versus divert to a new business that will not be profitable for years, while the timing of the transition remains genuinely uncertain and every competitor is making the same bet differently.

This board seat exists to make sure that decision is taken with rigour and revisited honestly, rather than deferred by a management team that is understandably attached to the business it built.

Board and committee position

Board of nine.

  • Technology and Product Strategy Committee — Chair. Constituted around this appointment, with a remit covering the electrification roadmap, R&D allocation and technology partnerships.
  • Audit Committee — Member, with a specific brief on R&D capitalisation, development-cost recognition and asset impairment in the ICE portfolio.
  • Risk Management Committee — Member, with technology obsolescence, customer concentration and critical raw material supply as standing items.
  • NRC — Member, given the retention challenge in electrified-drive engineering talent.

Charter

  1. Force a dated, quantified ICE terminal-value assessment. For each ICE product family: the customer programmes it currently serves, each programme's expected end-of-production date, the replacement programmes won or lost, the net book value of dedicated tooling and machining capacity, the impairment trigger, and the decommissioning cost. Most powertrain boards have never seen this. It should be an annual board paper and the Audit Committee should test the impairment assumptions against it.
  2. Interrogate the electrification investment case at the programme level. Not "we are investing in EV." Which specific customer programmes, at what volumes, at what price, against what competitor set, and with what probability. The gap between an engineering programme and a nominated production programme is where powertrain companies burn capital for five years without noticing.
  3. R&D capitalisation discipline. Under Ind AS 38, development expenditure is capitalised only where specific criteria are met, including technical feasibility and the intention and ability to complete and use or sell. In a company spending heavily on programmes that may never reach production, capitalisation policy is the most consequential accounting judgement on the balance sheet. The Audit Committee should examine what has been capitalised against programmes that were subsequently cancelled, and whether write-off was timely.
  4. Critical raw material exposure. Electrified drive systems depend on rare earth permanent magnets, and the global supply of those magnets is highly concentrated with export restrictions that have already disrupted automotive supply chains. The board must understand: magnet content per unit, sourcing concentration, inventory cover, qualified alternate sources, the feasibility and cost of magnet-free motor architectures, and the contractual position with customers if supply is interrupted. This is currently the single most acute near-term supply risk in the electrified product line and warrants standing board attention.
  5. Regulatory-driven demand. CAFE fleet efficiency norms and their next phase, real driving emissions requirements, on-board diagnostics, and the electric vehicle safety and performance standards applicable to the electrified line. Powertrain demand is regulation-driven more than consumer-driven, and the board's demand forecasting should reflect that.
  6. Technology partner dependency. For the electrified systems: what the company owns versus licenses; whether it has the capability to develop the next generation independently or will remain dependent; field-of-use and territorial restrictions; and the improvement and grant-back provisions determining who owns what is developed in India. A licensed EV powertrain business is a contract manufacturing business with an R&D cost structure, and the board should know which one it is building.
  7. Talent. Power electronics, motor design, control software and battery-interface engineering are the scarcest skills in Indian automotive engineering. Attrition in the electrified team versus the ICE team, compensation differential and its internal consequences, and the succession exposure if the electrified programme leadership departs.
  8. Software. Electrified powertrain is a software product in a way that a transmission was not. Functional safety, software quality processes, cybersecurity for connected systems, over-the-air update capability and liability, and whether the company's engineering organisation is genuinely equipped for software-defined product accountability.
  9. PLI compliance. Domestic value addition certification under the advanced automotive technology incentive framework, the accuracy of that certification, and the claw-back exposure.

Statutory eligibility

Full compliance with Section 149(6) across the listed entity, subsidiaries, technology partners, joint ventures and the promoter group; IICA databank registration; no Section 164 disqualification; within Section 165, Regulation 17A and Regulation 26 limits; clean under the insider trading regulations; appointment by special resolution.

Profile sought

Essential

Deep powertrain or electrified drive systems expertise is the binding requirement. Qualifying profiles:

  • Powertrain engineering leadership at an OEM or systems supplier — transmission, driveline, engine or electrified drive — at chief engineer, technology head or business head level.
  • Electrified drive systems leadership — motors, power electronics, e-axles or battery systems — Indian or international.
  • OEM powertrain strategy or product planning leadership, with responsibility for the make-versus-buy and supplier nomination decisions.
  • Senior automotive R&D leadership with accountability for a portfolio transition of comparable magnitude.

Adjacent-industry electrification experience — industrial drives, aerospace electrification, rail traction — will be considered where the candidate can demonstrate automotive-grade validation and cost fluency.

Strongly preferred

  • Direct experience of managing a declining product line to end-of-life while funding its replacement. This is weighted very heavily and is rarer than electrification experience itself.
  • Experience of a programme cancellation and its accounting and organisational consequences.
  • Understanding of rare earth and critical mineral supply chains in a manufacturing context.
  • Functional safety and automotive software process experience.
  • Prior listed-company board or technology committee experience.

Conflict screens

Positions at competing powertrain or drive systems suppliers; relationships with the company's OEM customers; positions with the technology partners; interests in the magnet or power electronics supply chain; and promoter-group relationships.

Time commitment

Board 5–6 plus a strategy offsite; Technology and Product Strategy Committee 5–6 as chair, with additional programme review time; Audit 5; Risk 4; NRC 3. Separate ID meeting 1. Technical centre visit twice annually and one plant visit, with an expectation of direct engineering engagement rather than a management presentation.

Realistic total: 26–32 days per annum.

Remuneration and terms

Sitting fees at the statutory ceiling; annual commission under Section 197(1) with a committee-chair differential, subject to member approval; D&O cover per Regulation 25(10); travel including international travel to partner facilities at company policy. No stock options.
