Reference: GILA/LC/LC09/2608
Entity: Large Indian equity-listed company; client name confidential
Seat: Independent Director, Non-Executive
Primary board geography: New Delhi with plants in Uttarakhand and western India
Expected governance cadence: Six boards, six Audit meetings, quarterly Risk/Project reviews and two plant/customer-site visits
Status: Confidential retained search; identity released after conflict pre-clearance and NDA.
Anonymised corporation profile
A large listed manufacturer of power cables, conductors, optical-ground-wire and specialised grid products sold to utilities, infrastructure projects, industrial customers and export markets.
Revenue exceeds ₹15,000 crore and the order book includes commodity-indexed, fixed-price and project-specific contracts. Copper, aluminium, polymer, currency, customer approval and testing determine margins and cash.
Calibrated market hint: The NCR headquarters, Uttarakhand manufacturing and grid/export mix describe several large cable groups. Any candidate inference must remain confidential and be disclosed to GILA solely for conflict screening.
Why this board seat exists
The board needs an Audit Chair who can govern commodity exposure and contract economics without confusing order growth with value creation. Product quality and project claims can emerge years after shipment.
This is a large-corporation stewardship appointment, not a prestige seat. The director will be expected to form a view independently of promoter, management, government, lender, customer and institutional-investor pressure—and to ensure dissent, conditions and unresolved evidence are accurately minuted.
Board position, committee authority and boundaries
Independent Director; Audit Committee Chair; Risk and Project Committee member; direct access to treasury, testing/quality, internal audit and project finance.
The appointee sets questions, risk appetite, evidence standards and accountability. Management owns execution. The director must not become a shadow executive, transaction sponsor, government liaison, vendor selector or paid adviser to the business.
Strategic charter — first 18–24 months
- Reconcile order book by price basis, commodity pass-through, customer approval, delivery schedule, credit and guarantee exposure
- Govern copper/aluminium/polymer procurement, inventory, hedges and embedded contract exposure
- Test revenue cut-off, dispatch, bill-and-hold, milestone acceptance and unbilled claims
- Review conductor/cable design, type testing, batch traceability, counterfeit materials and field-failure risk
- Oversee capacity capex, equipment qualification, yield, scrap and post-investment returns
- Examine dealer/project channel credit, rebates, related distributors and export agents
- Review warranties, liquidated damages, insurance and product-liability provisions by cohort
- Stress utility receivables, public-project delays, currency and working capital before aggressive order acceptance
Decisions expected to reach the board
- Whether a fixed-price order should be accepted without full hedge
- Whether field failures indicate a cohort provision or recall
- Whether new capacity is justified by executable demand rather than announced orders
The search will test how the candidate makes these decisions with incomplete information, competing stakeholder interests and material downside—not whether the candidate can recite a governance framework.
Candidate evidence sought
Essential
- Industrial/manufacturing CFO, audit partner, cables/metals executive, commodity-risk or grid-project leader with Audit Chair experience
- Inventory, hedging and contract-accounting depth
- Product-quality and capex judgement
- Independence from utility and dealer networks
Strong differentiators
- Copper/aluminium risk management
- Cable/conductor testing or utility qualification
- Product recall/field failure
- Listed industrial Audit Committee
- Export project and agent governance
GILA will test intellectual independence, preparedness, dissent behaviour, information discipline, crisis judgement and the ability to remain non-executive while still being consequential.
Statutory, listing and independence gates
Candidates must satisfy the then-current Companies Act, SEBI LODR and entity/sector requirements, including Section 149(6) independence; IICA Databank and proficiency/exemption status; valid DIN/KYC; Sections 164–165; Schedule IV; applicable listed-board and committee ceilings; Regulation 16 independence; Regulation 17A directorship limits; Regulation 26 committee limits; and any sector fit-and-proper or regulatory approval. Appointment, reappointment or removal will follow applicable shareholder-approval requirements.
Independent Directors cannot receive stock options. Securities ownership and trading, relatives’ interests, former employment, pecuniary relationships, audit/advisory look-backs, promoter-group exposure and interlocking directorships will be verified against current law and the client’s complete group structure.
Mandate-specific conflict screens
Relationships with metal suppliers, traders, utilities, EPC customers, dealers, testing bodies, lenders, auditors, agents or competitors; personal commodity positions; procurement or sales commissions.
Candidates carrying near-limit board portfolios, recurring consulting practices or commercial introduction expectations will be assessed for real availability and independence even where technical ceilings are not breached.
First-year board outcomes
- Order margins include controlled commodity exposure
- Inventory/hedges reconcile
- Product and warranty cohorts drive provisions
- Capacity and working capital follow evidence-based gates
