Reference: GILA/LC/LC08/2608
Entity: Large Indian equity-listed company; client name confidential
Seat: Independent Director, Non-Executive
Primary board geography: Gurugram and Mumbai with overseas subsidiary reviews
Expected governance cadence: Six boards, six Audit meetings, quarterly Customer/Risk reviews and technology resilience exercise
Status: Confidential retained search; identity released after conflict pre-clearance and NDA.
Anonymised corporation profile
A large listed online travel company providing air, hotel, rail/bus, holiday and experience bookings through consumer and corporate channels in India and selected international markets.
Gross bookings exceed ₹75,000 crore and net revenue is a fraction of that value. Supplier settlements, customer advances, cancellations, incentives, loyalty, foreign exchange and platform availability create complex financial and conduct risk.
Calibrated market hint: NCR origins, multi-product booking scale and a listed platform profile point to a handful of travel-technology companies. Any candidate inference must remain confidential and be disclosed to GILA solely for conflict screening.
Why this board seat exists
The new Audit Chair must make marketplace economics and customer obligations auditable. The board needs independent judgement on when growth, discounting or ancillary products undermine trust or obscure cash exposure.
This is a large-corporation stewardship appointment, not a prestige seat. The director will be expected to form a view independently of promoter, management, government, lender, customer and institutional-investor pressure—and to ensure dissent, conditions and unresolved evidence are accurately minuted.
Board position, committee authority and boundaries
Independent Director; Audit Committee Chair; member of Technology/Risk and Stakeholders Relationship Committees; direct access to CFO, internal audit, CISO, customer redress and fraud leadership.
The appointee sets questions, risk appetite, evidence standards and accountability. Management owns execution. The director must not become a shadow executive, transaction sponsor, government liaison, vendor selector or paid adviser to the business.
Strategic charter — first 18–24 months
- Create controlled definitions and financial reconciliations for gross bookings, net revenue, cancellations, take rate, incentives, loyalty and adjusted contribution
- Govern customer advances, supplier payables, refunds, chargebacks, breakage and stranded balances
- Test principal-versus-agent conclusions and revenue presentation by product
- Review airline/hotel/supplier concentration, API dependency, contract termination and inventory commitments
- Oversee fraud, account takeover, payment diversion, fake inventory and partner quality
- Set outage and peak-demand recovery tolerances across cloud, payment, supplier and customer-care dependencies
- Govern ancillary insurance/finance/visa products, disclosures, suitability and partner conflicts
- Review overseas entity, tax, currency, sanctions and consumer-law exposure before expansion
Decisions expected to reach the board
- Whether a growth incentive is economically a price reduction or marketing spend
- Whether customer cash may fund operations within legal/contractual boundaries
- Whether a supplier or ancillary partner should be suspended despite booking impact
The search will test how the candidate makes these decisions with incomplete information, competing stakeholder interests and material downside—not whether the candidate can recite a governance framework.
Candidate evidence sought
Essential
- Digital marketplace CFO, travel executive, audit partner, consumer-platform or payments leader with Audit Chair capability
- High-volume transaction and customer-money judgement
- Technology and fraud literacy
- Cross-border consumer-service experience
Strong differentiators
- Platform IPO/listed Audit Committee
- Major refund or outage event
- Principal-agent accounting and automated controls

GILA will test intellectual independence, preparedness, dissent behaviour, information discipline, crisis judgement and the ability to remain non-executive while still being consequential.
Statutory, listing and independence gates
Candidates must satisfy the then-current Companies Act, SEBI LODR and entity/sector requirements, including Section 149(6) independence; IICA Databank and proficiency/exemption status; valid DIN/KYC; Sections 164–165; Schedule IV; applicable listed-board and committee ceilings; Regulation 16 independence; Regulation 17A directorship limits; Regulation 26 committee limits; and any sector fit-and-proper or regulatory approval. Appointment, reappointment or removal will follow applicable shareholder-approval requirements.
Independent Directors cannot receive stock options. Securities ownership and trading, relatives’ interests, former employment, pecuniary relationships, audit/advisory look-backs, promoter-group exposure and interlocking directorships will be verified against current law and the client’s complete group structure.
Mandate-specific conflict screens
Relationships with airlines, hotels, payment providers, insurers, visa partners, cloud vendors, affiliates, competitors, auditors or travel investors; personal distribution commissions; advisory role with major suppliers.
Candidates carrying near-limit board portfolios, recurring consulting practices or commercial introduction expectations will be assessed for real availability and independence even where technical ceilings are not breached.
First-year board outcomes
- Bookings, revenue and cash reconcile by product
