Judgement in practice
01Keeping the omitted experience in the investment conversation
The six mixed interviews did not make the twelve favourable accounts false. They changed what the collection could responsibly imply. I supported a revised publication and retained the correction inside the programme's cost. In oversight, I would ask management whether a selected example is being used as illustration or as evidence of a wider outcome, and what additional support the latter requires. I would also avoid assuming that a balanced editorial selection had become representative research simply because it looked more even.
02Separating distributor contribution from distinct market opportunity
Several distributors could contribute genuine activity around the same organisation. That did not turn fifty-two buying organisations into eighty-four. I kept partner activity visible while correcting the shared counting unit and preserving commercial-stage assessment. A board needs to understand those distinctions when reviewing reach or funding the next campaign. I would ask whether repeated contact, a qualified discussion and a completed sale have been kept separate, rather than allow a large activity count to carry an investment conclusion it cannot support.
My first year on a board
I would start by learning the prospective company's product and buyer decisions: who evaluates the proposition, which questions need technical advice and how a commercial commitment is accepted. Through the chair's agreed induction process, I would examine a few actual market decisions from initial evidence to the management recommendation. That would help identify where interpretation matters before asking for a new reporting system or importing a familiar marketing measure.
I would also learn how the board hears unwelcome customer evidence and how management handles a public claim that needs correction. Access to confidential customer or distributor material should follow the company's proper arrangements. I would seek feedback on whether my questions clarify the decision and respect management responsibility. The first year should establish an informed contribution, including the limits of my knowledge, rather than rely on a senior marketing title as a substitute for understanding that enterprise's products, obligations and market context.
Conflicts and their management
My current work involves industrial customers, distributors, agencies and supply relationships that may overlap a proposed outside role. The employer's family and investment relationships also need consideration, despite my absence of a personal holding. I would disclose relevant facts and use the applicable process for participation, information access and any recusal. Some overlaps may make the role unsuitable. Customer interviews, private commercial plans or distributor records from my employment would not become material available for another board's use.
The twenty-day estimate is provisional and must include preparation, travel, visits and exceptional follow-up. The demands of the current CMO role and the proposed chair's expectations need a realistic comparison before acceptance. A free date in a calendar does not establish the attention available during a difficult customer issue or strategic decision. I would want employer requirements and capacity understood early, rather than announce interest in a seat and leave the practical limits to be discovered afterwards.
My independence statement
A prospective appointment would require a factual review of my employment and relevant relationships before any independence statement could be made. I have no equity holding, but that does not settle connections through customers, distributors, suppliers, investors, family or professional work. The applicable Companies Act requirements, including section 149(6), and relevant SEBI LODR provisions, committee conditions and directorship limits need current assessment for the particular company. I would disclose the relevant facts and changes to them. A marketing career, an absence of existing seats or an intention to register with the databank cannot replace that company-specific process.
Governance learning and readiness
IICA Independent Directors’ Databank: Not yet registered
Registration with the IICA databank remains an unfinished preparation step in this fictional record. I do not claim a completed proficiency assessment or exemption. The customer-programmes director role was a functional employment title and cannot be used to suggest statutory experience that did not occur. Before progressing an actual appointment, the current registration and assessment requirements and my preparation would need to be established with verified evidence. A real public profile should state the status plainly rather than allow an expression of board interest to imply that the relevant steps have already been completed.
- I need to develop the ability to question a market account from outside the executive team without becoming a substitute campaign manager. That involves learning how evidence is requested through the board process and which decisions management remains responsible for making.
- My preparation includes financial and risk oversight beyond marketing expenditure. A customer proposition can involve product, operational, contractual and reputational consequences, and I would need competent input where those questions exceed my own experience.
- I want to understand how the prospective company distinguishes customer research, commercial pipeline and public claims. Similar terminology may conceal different definitions, so induction should examine actual decisions rather than assume that a familiar dashboard means the same thing everywhere.
