Retail adjacency and acquisition judgement6 min read

Choose the business behind the next opportunity

A component acquisition looked close to our retail business until its forecast exposed the customers we would still need to win. The familiar product had concealed a different commercial undertaking.

The conviction behind the work

The product can be familiar while the business around it is new. I ask what we would have to own, what we would still depend on and whose customers we would need to earn before calling an opportunity adjacent.

Choose the business behind the next opportunity

I am Ruth Zelmavri, chief strategy officer of the fictional Qarvelli Travel Goods in Kochi. I grew up in Shillong, began in cost analysis and spent years in sourcing and divisional management before moving into strategy. A suitcase can lead a retailer towards component manufacturing, corporate gifts, repair services or resale. The product connects those opportunities, but it does not make their economics, capabilities or responsibilities the same. My work is to make those differences visible before the business commits.

Qarvelli has twenty-two shops, an online business and 420 employees. Revenue was ₹168 crore and operating profit ₹12.6 crore for the year ending March 2026. Three working-founder families hold 46%, a regional private-equity investor 44% and an employee vehicle 10%; I own no shares. Eleven strategy employees work through three leads within ₹3.8 crore FY2026–27 function expense. I do not hold a separate trading P&L or approve company capital independently. CEO Naveen Dorqavi, CFO Elsa Merqethi and the relevant commercial and technical owners retain their decisions.

The cases here concern the kind of company we were prepared to become. We chose a minority repair partnership rather than six wholly owned centres. We declined a component-maker acquisition after recognising that our own requirements would absorb only a small part of its forecast output. We narrowed corporate customisation to an offer we could responsibly carry, and we stopped a take-back pilot from becoming an unsupported permanent buyback promise. Each choice left an opportunity or a form of control outside the selected route.

A minority stake carried a different kind of influence

Qarvelli invested ₹2.45 crore for 35% of a ₹7 crore repair joint venture. Its FY2026 operating loss remained visible beside its service activity.

Our requirement was eighteen per cent of the factory forecast

A proposed ₹24 crore component acquisition also required ₹6 crore planned capital work. Most forecast output would still need customers beyond our retailer.

Corporate requests were larger than the offer we chose

Sixteen of forty-two requests fit the eight-model customisation scope. Twenty-six remained outside it; indicative opportunity was not treated as signed revenue.

Current focus

Reviewing where travel-goods adjacencies justify a new business capability and where a narrower commercial relationship is more credible.

Ruth changed the factory paper from a supply-security story into an account of the business we would actually have to run. The eighteen-per-cent demand figure made the external-customer question impossible to overlook.
