My contribution to a board
I would help directors identify the business hidden inside an apparently adjacent opportunity. A component acquisition can require an outside-customer enterprise; a minority service stake can leave important operating dependence; a corporate order can create stock whose destination remains the retailer's concern. My operating background helps me ask what the organisation would have to carry after the attractive first transaction. I would also bring experience of changing my own acquisition framing when the demand account did not support it. The board contribution should clarify capability, capital and responsibility rather than direct another company's sourcing or product design. My nominated venture seat has begun to teach me how those questions change in collective oversight, but it does not make me experienced in every board setting. I would want complementary expertise around the table and a chair who values a clearly stated alternative as well as the recommendation management prefers.
My first year on a board
I would begin by learning the proposed company's business boundaries: the capabilities it owns, the critical work performed elsewhere and the customer relationships on which a new opportunity depends. Induction through the chair and management should include finance, operations and the relevant professional owners. I would examine one recent acquisition or partnership decision alongside a material commercial programme to understand how alternatives reach the board and what happens to assumptions after approval. My contribution should be selective, using experience to identify a consequential question rather than importing Qarvelli's model. I would also review how my existing employment and nominated seat affect the new role's information and calendar. At the first annual review, I would ask the chair whether my questions helped directors see the undertaking more clearly, whether I respected management's responsibilities and which governance or sector learning would make the next year more useful.
Conflicts and their management
Qarvelli's suppliers, corporate customers, investors and service partners may overlap with a prospective company. Velqeri adds a second set of relationships and confidential matters. I would disclose the relevant connections and seek appropriate consents and advice before receiving sensitive proposals. Being nominated by one shareholder at the venture does not make me free to transfer its confidential operating account into another boardroom. Nor would a proposed recusal solve a conflict if it excluded me from the core business of the new role. The eighteen-day allowance is additional and provisional; both current responsibilities require preparation and may create unexpected demands. I would review the actual calendar and contingency expectations rather than infer capacity from scheduled meetings alone. A further appointment should be declined if its duties, relationships or timing cannot be managed properly, even where the strategic subject is one I find especially interesting.
My independence statement
My employer and existing nominated seat create relationships requiring company-specific review. The Velqeri role is not independent, and no personal shareholding does not resolve all conflicts. Applicable Companies Act conditions, SEBI LODR where relevant, committee eligibility and directorship limits need professional assessment for any further appointment.
Judgement in practice
01Seeing the other buyers inside a supply-control acquisition
The component proposal carried a ₹24 crore price and ₹6 crore planned capital work, while our requirements represented eighteen per cent of forecast output. I had initially accepted the captive-supply framing too readily. The remaining output needed outside customers and a credible component-business capability. After ₹48 lakh diligence, I recommended declining the acquisition; the authorised board chose a narrower ₹2.8 crore tooling and qualification route. In an oversight role, I would ask whether the strategic paper names the whole enterprise being acquired and the dependence left by its alternative. I would not turn the unspent price into savings or assume that contract manufacturing delivers the control of ownership. The decision gave up a possible upstream business as well as a large commitment. A board should understand both, with financial and technical conclusions supplied by the appropriate owners rather than inferred from a strategist's preferred percentage.
02Keeping a repair venture's loss beside the service purpose
Qarvelli's 35% stake in Velqeri cost ₹2.45 crore within ₹7 crore initial capital. The venture later reported ₹6.8 crore revenue and a ₹42 lakh operating loss for FY ending March 2026. Its reviewed 1,280 jobs included 1,020 assessed as repairable and 260 declined. As the retailer's nominated director from April 2024, I need to examine the venture's own account and duties, not treat its service activity as an internal instruction channel. I would bring that distinction to another board by asking what influence a partnership actually provides and how strategic purpose relates to continuing financial commitment. The loss does not automatically make the venture worthless, but the purpose does not make the loss irrelevant. Qualified service owners retain suitability decisions, and the counts do not establish environmental benefit. The next commitment needs an explicit case that can be assessed without defending the original structure merely because I supported it.

The seat I am pursuing
I am seeking a considered discussion about one further non-executive appointment, rather than a portfolio built around the label of strategist. A consumer-product or service company examining a new business capability could be a useful fit. A strategy or suitable risk committee may benefit from my experience after induction and eligibility review, alongside directors with deeper expertise in areas outside my own. I have one company-nominated statutory seat, which is explicitly not independent. May 2026 IICA registration is recorded fictionally, while assessment preparation and the proposed company's requirements remain to be addressed. I would not assume that current board service settles those conditions. The best fit would allow me to examine growth with an operator's attention to the obligations created, including a confident case for proceeding when the capability and evidence support it, while preserving time and confidentiality for both existing roles.

IICA Independent Directors’ Databank: Registered
Ruth's fictional record includes IICA independent directors databank registration in May 2026. Assessment preparation is unfinished and no exemption is asserted. The existing nominated seat does not itself establish eligibility for a proposed independent appointment.
