Help the board see what the operating claim depends on

My contribution to a board

I would help directors examine the conditions behind an industrial-service result or investment proposal. My experience connects field engineering, regional service coordination, continuing site operations and the COO role. It has made me attentive to the point where an observation becomes a claim broader than the evidence supports. I can ask management to explain the customer dependency, technical authority and retained cost without assuming that every uncertainty can be removed before a decision. I have no statutory board experience, so executive presentations should not be mistaken for a completed transition into collective oversight. Complementary finance, legal and specialist expertise would be essential. My useful contribution would be a clearer account of the operating commitment, including a result management has reconsidered, while the appointed executives and qualified owners retain responsibility for methods and delivery.

Judgement in practice

01

Withdrawing my own explanation without discarding the observations

The electricity comparison fell from 1.2 GWh to 1.05 GWh, but customer production changed as well. I had supported the 12.5% efficiency interpretation before its cause was established. A ₹36 lakh review retained the totals and withdrew that stronger conclusion. For a board, the question is how management distinguishes an observed change from the benefit attributed to its programme. Directors should be able to examine the basis of the claim and the cost of further work without prescribing an engineering method. I would also ask who in leadership endorsed the earlier account, so correction does not become a problem assigned only to the people who collected the figures.

02

Giving a smaller investment a genuinely narrower purpose

The ₹2.4 crore heat-recovery proposal assumed full-year use, while the customer evidence supported four months and left eight unestablished. We retained ₹31 lakh feasibility expense and authorised a ₹44 lakh bounded pilot. The difference from the unapproved proposal was not cash saved. I would ask directors to distinguish the useful destination, future option and technical resource within an investment account. A pilot should explain what it can establish and what remains outside its scope. Qualified technical and commercial owners must assess the actual arrangement, while the board understands why the supported commitment changed and which costs remain with the company.

03

Naming the stage tested before describing the service as ready

Twenty-six contact drills produced twenty-two acknowledgements and four failures. After a ₹22 lakh review, a further twenty-six produced twenty-four acknowledgements and two unresolved failures. Neither set represented actual incidents or proved field attendance. I would ask a board which dependency management exercised and how the remaining gaps will be addressed. A favourable contact result cannot stand for technical competence, permission or completed response. The executive team needs to own the next operating decision, with specialist authority preserved. My contribution would be to prevent an attractive summary from obscuring the part of the promise that still requires evidence.

My first year on a board

I would begin with induction into the company's customer promise, operating model and allocation of technical responsibility. Through arrangements agreed with the chair, I would examine a small number of service or investment decisions, including one that management narrowed after challenge. I would learn how the board receives unresolved findings and how it distinguishes observation, interpretation and approved commitment. I would also seek financial and legal preparation relevant to the actual business, rather than assume my utility-service experience transfers unchanged. Contact with operating teams would follow the board's agreed process. During the first annual cycle, I would ask for feedback on whether my questions clarify the decision or pull directors towards executive intervention. A useful contribution should make the dependencies easier to assess while preserving the authority and accountability of management, customers and qualified specialists.

Conflicts and their management

Vezquri's utility investor, industrial-group owner, employee vehicle, clients and equipment or service suppliers could overlap with a proposed company's interests. I would map those relationships and obtain Imran's consent before receiving private material. Having no personal shares does not remove the interests associated with employment or access to customer and operating records. I would not transfer private site findings, contract terms or customer plans into another board's deliberations. Applicable Companies Act independence conditions, SEBI LODR requirements where relevant, committee duties and directorship limits need competent appointment-specific review. Disclosure and appropriate withdrawal may be necessary; repeated exclusion from the central operating questions could make the role unsuitable. My provisional twenty-two days must cover induction, preparation, travel and exceptional demands as well as meetings. The unfinished assessment and continuing databank requirements also need attention. A relevant background is useful only when the person has sufficient time, preparation and freedom to participate in the actual decisions.

My independence statement

My continuing employment and the proposed company's relationships require an appointment-specific review. I make no advance claim that I am independent of a business whose interests and connections have not been examined.

The seat I am pursuing

I am considering one industrial-services or managed-utility company whose board wants to understand the operating assumptions behind customer commitments or expansion. A risk or strategy committee could be relevant after the remit, competence and appointment conditions are examined. I offer no prior committee-chair service or completed independent-director experience. The board should identify the specific contribution it seeks and the expertise that complements it. I would want a working relationship in which directors can challenge a result, retain uncertainty and recognise the cost of a narrower decision without becoming the people who operate the service. Employer consent, completed preparation, a realistic calendar and the proposed company's own review are prerequisites to moving from an introductory discussion towards any appointment.
