Ask who can stand behind the status and the sum

My contribution to a board

I would help a board ask what its information systems are entitled to conclude. A recent upload does not establish approval for a particular commission. A populated service label does not establish that the relevant professional work is complete. A repeated monetary amount does not acquire a new commercial meaning because a reporting query can add it. These questions connect technology with the enterprise's promises and decisions. I would bring experience of correcting a rule I had approved, while recognising that finance, language, accessibility and other specialists retain essential judgement. My contribution would be through collective oversight of management's explanation and the resources supporting it. I would not seek to turn a board role into another technology operating position or assume that familiarity with applications makes me the authority on every professional service represented within them.

Judgement in practice

01

Locate the authority behind an automated selection

The 120-job review found 104 agreed script-to-cut relationships and sixteen needing examination. Ten were reconciled and six remained held after a ₹79 lakh programme. I would ask directors whether management understands which professional decision a workflow rule represents and what happens when that decision is absent. The latest-file default had been my approval, so I would be alert to the reassurance senior endorsement can give an incomplete assumption. The board should understand the cost and scheduling consequence of the correction without selecting scripts itself. It should also hear why a hold remains and who can resolve it. The relevant oversight question concerns a defensible decision process, rather than the attractiveness of an automation claim or the convenience of a report showing every job as ready.

02

Examine the work implied by a service status

Among eighty films initially marked as having captions, sixteen met the agreed full-caption review and sixty-four had dialogue-only tracks. The ₹44 lakh programme completed suitable captions for forty-eight more, leaving sixty-four accepted and sixteen pending. I would ask a board whether service descriptions in management and customer systems are supported by qualified acceptance. The distinction should preserve the usefulness of different outputs while explaining their limits. Directors can challenge an unsupported broad claim without becoming caption reviewers or treating a bounded programme as universal accessibility compliance. They should understand the unfinished work and its commercial consequences, including how the enterprise communicates a service limitation and funds the professional effort required to meet the commitment it has actually made.

03

Keep an information correction separate from a financial benefit

The reporting error combined eighty commissions with 240 language-version records and repeated ₹11.4 crore contracted fee value into ₹34.2 crore. A ₹52 lakh programme corrected the report while retaining the useful production detail. I would ask directors whether management can explain the level of its measures and the effects of the correction. The ₹22.8 crore difference was duplication, not cash recovered, savings or a change in the underlying contracts. Finance retained accounting treatment; the internal report had not changed the ledger. Oversight should preserve those distinctions so that a repair does not become another unsupported success claim. The board should also understand whether earlier decisions relied on the misleading presentation and how management examines that question within the actual scope of the error.

My first year on a board

I would start with the company's business model and the professional decisions its systems are expected to support. Through arrangements agreed by the chair, I would follow a material management measure and a significant workflow status back to their responsible owners. I would listen to practitioners and commercial colleagues as well as technology and finance, without creating an alternative reporting channel. That preparation would help me ask questions in the context of the whole enterprise. I would complete relevant governance learning and the required appointment preparation, then examine a committee's charter before expressing a role preference. At the annual review I would ask whether my contribution had improved the board's understanding of information and authority, whether I had learned enough beyond my executive function and whether the proposed time allowance remained credible in practice.

Conflicts and their management

I would examine relationships with Dazqeni's clients, language partners, performers, technology suppliers and ownership vehicles before receiving sensitive board material. Current-employer consent and an honest assessment of recurrent conflicts are necessary. Qualified advisers would review the Companies Act's independence conditions, applicable SEBI LODR requirements, directorship limits and the duties of the proposed committees. I have no statutory seat and am not yet registered with the IICA databank; the profile does not present completed appointment preparation. Twenty-three days must accommodate induction, preparation, travel and exceptional demands, rather than only meeting attendance. Unreleased films, performer recordings, client scripts and private agreements held through my employment would remain outside another enterprise's resources. Repeated exclusions from central discussions could prevent a useful contribution even where an individual conflict could be disclosed. I would prefer to decline such a role rather than allow a nominal appointment to imply participation I could not responsibly provide.

My independence statement

Customers, language practitioners, technology suppliers and Dazqeni's ownership relationships may affect a proposed role. I have no personal or professional-vehicle holding, but actual independence requires examination of those connections and the applicable conditions for the particular company.
