The mandate
Directors are considering consumer-market expansion through several routes: owned outlets, local distributors and a digital-led entry supported by third-party fulfilment. The cases use different definitions of investment and assume that new-route revenue is wholly incremental. The adviser will bring independent financial challenge to those assumptions. The committee needs to understand channel displacement, continuing support costs and the obligation retained after an initial launch, especially where a route looks asset-light because important commitments have been placed in another operating budget rather than eliminated.
The retainer begins on 26 October 2026 for nine months, reserving five days each month. Preparation and attendance at quarterly strategy committee meetings count within those days. Delhi NCR is the base; agreed market-review travel consumes the same capacity. The adviser provides a financial perspective on route choices, while management supplies commercial evidence and specialist owners validate local legal, tax and operational implications. The engagement does not promise access to a new market or substitute for a qualified local compliance assessment.
For distribution proposals and expansion commitments, the adviser has no line authority and no executive responsibility; recommendations inform the committee rather than authorising outlets, appointing distributors or directing launch teams. No board appointment or fiduciary office is offered. Directors and executives retain decisions. The adviser should expose unsupported growth, dependency on one partner and exit costs, while acknowledging credible strategic benefits that an immediate return measure might miss. Written views must distinguish financial evidence from judgements that depend on specialist market knowledge not yet supplied.
Complete route papers receive an initial issue map within five business days, followed by a written challenge note within a further four business days. Missing inputs are identified within two business days of receipt. The adviser may hold one other non-competing board-advisory engagement and must disclose distributor, investment and consumer-sector conflicts before accepting material. At the seventh-month review, the committee chair may request renewal through a new written board-approved term of no more than twelve months. The route questions, reserved capacity and retainer must be agreed anew; additional topics need a written capacity agreement. Operating implementation, investment approval and ongoing forecast ownership remain outside the retainer.

- Advise on staged entry alternatives that preserve useful learning, comparing the cost of a smaller launch with commitments avoided when market demand or partner capability remains uncertain.
- Review distributor and outlet dependency from a financial perspective, questioning concentration, minimum commitments and exit exposure while leaving legal interpretation and commercial partner selection with their designated owners.
- Shape committee questions about mature-route economics, drawing attention to support costs and renewal obligations that can make a successful initial launch less attractive once temporary incentives or favourable entry terms expire.
- Provide written recommendations that separate supported financial conclusions, conditional market assumptions and unresolved specialist inputs, enabling directors to make an informed choice without mistaking the adviser's challenge for executive approval.
- Maintain a capacity and conflict record with the chair, recommending deferral or additional written scope when off-cycle proposals would otherwise compromise the reserved review time or independent judgement.
Candidate qualifications
- Establish senior business-finance or FP&A responsibility in consumer, retail, advertising, technology or a comparable commercial setting, with personally evidenced growth-investment decisions. Show a market, channel or route proposal you challenged beyond its headline sales forecast. Explain the continuing obligation or displacement effect that mattered, and how your recommendation changed the choice while commercial leadership retained implementation accountability.
- Demonstrate financial evaluation and long-range planning competence through appropriate professional preparation or equivalent senior practice. You must compare unlike distribution models without confusing low initial capital with low total exposure. Evidence should include operating support, partner economics or exit constraints that altered an investment view, with management measures reconciled to reliable records rather than accepted solely because they appeared in a strategy presentation.
- Have advised senior executives or committees when commercial opportunity was credible but evidence incomplete. Describe how you distinguished financial conclusions from market or legal assumptions requiring another specialist. A constructive independent voice can support a strategically sensible entry while recommending a smaller commitment or stronger evidence; it must not overstate certainty to appear decisive or imply that financial analysis grants authority to choose partners.
- Commit to the stated monthly cadence and response periods, with capacity for preparation as well as discussion. Disclose relevant commercial relationships and demonstrate a disciplined approach to confidential expansion plans. The engagement requires influence without executive power, concise written challenge and respect for governance ownership. Suitable evidence includes a recommendation that sharpened directors' judgement without creating operational dependence on the adviser.
