Companies Act 2013 — Section 149 (Independent-director terms)

An independent director may serve up to two consecutive terms of up to five years each. The second term requires a special resolution of shareholders, and after two consecutive terms the director must observe a three-year cooling-off period with no association with the company before any re-appointment.

Why it matters: A completed second term opens a seat permanently — a real, datable vacancy.

Independent directors are bound by a code (Schedule IV), meet separately at least once a year without management present, and are subject to detailed resignation-disclosure and tenure rules. The largest listed companies must also carry directors-and-officers (D&O) insurance for them.
