Enterprise context
The company combines sensors, mapping, weather and infrastructure data, predictive models and operating workflows to support urban drainage and flood-response decisions. Its customers and partners may use the platform to inspect assets, prioritise cleaning, deploy field resources, understand emerging water levels and coordinate response. The technology is decision support, but its outputs may influence consequential choices affecting communities and public infrastructure.
The business is moving from pilots and project work toward repeatable deployments. The Board seeks an Independent Director who can govern the boundary between model capability and public expectation. A precise-looking map can obscure uncertain data, sensor failure, changing drainage conditions or limits in forecast lead time. Commercial enthusiasm must not turn probabilistic outputs into guarantees or permit a public authority to rely on a system without defined human accountability and fallback procedures.
Core Board mandate
The Director will oversee model governance, sensor integrity, public-contract obligations, field verification, alert design, cybersecurity, data rights, project economics, claims, community impact and responsible scaling. The appointee will help establish when the company is a software provider, analytics adviser, field-service operator or part of a response workflow—and ensure accountability follows the actual role.
The role requires intellectual discipline around evidence. Success in one location or season may not transfer to another drainage network, climate pattern or data environment. The Board must distinguish scientific validation, operating usefulness and commercial reference value.
Strategic and governance agenda

Define the decision purpose. Document what each model output is intended to support, who interprets it, the response time available and which decisions remain with accountable public or operating authorities.

Govern model validation. Review training and calibration data, geographic transferability, back-testing, false positives, missed events, uncertainty ranges, override logic and independent scientific challenge.

Protect sensor integrity. Establish asset registers, location accuracy, calibration, power and connectivity monitoring, tamper detection, maintenance, spare strategy and treatment of missing or implausible data.

Make uncertainty visible. Alerts and dashboards should communicate confidence, data freshness, coverage gaps and limitations. Visual precision should not imply certainty that the underlying evidence cannot support.

Establish alert accountability. Define who sets thresholds, approves changes, receives alerts, acknowledges action and escalates non-response. The company must know when its duty ends and how handoff is evidenced.

Link digital and field truth. Require routine inspection, ground observations, drainage-condition updates and post-event reconciliation. Models should learn from operational outcomes rather than only sensor history.

Govern public contracts. Examine acceptance criteria, service levels, data ownership, model limitations, response responsibility, audit rights, change requests, payment milestones, liability and transition at contract end.

Protect infrastructure data. Classify maps, vulnerabilities, access routes, sensor locations, credentials and incident information. Apply least privilege, secure sharing and controlled support access.

Build cyber and operational resilience. Test cloud loss, communications failure, sensor compromise, corrupt feeds, ransomware, extreme-event demand and unavailable staff. Offline and manual response interfaces must be practical.

Make project economics transparent. Include survey, installation, connectivity, maintenance, field verification, model adaptation, support, collection delay and replacement hardware. Licence revenue should not conceal continuing delivery obligations.

Control claims and communications. Substantiate statements about prediction, prevention, response improvement, avoided loss and coverage. The company should not claim credit for outcomes it cannot isolate or verify.

Respect community impact. Examine whether monitoring and alerts cover vulnerable areas, whether communication is accessible and whether field deployments create privacy, obstruction or safety concerns.

Build scalable deployment gates. Require data sufficiency, drainage understanding, sensor-service capacity, local operating ownership, tested alerts, commercial clarity and exit plans before expanding.

Strengthen institutional governance. Develop committee oversight, incident disclosure, whistle-blower channels, related-party controls, technical succession, assurance and readiness for later funding or public-market scrutiny.
Board decisions requiring independent judgment
The Director will contribute to major public contracts, entry into new regions, responsibility for field operations, model releases, data partnerships, hardware commitments, acquisitions, international deployment, financing and any service described as safety- or response-critical.
Each deployment paper should show data coverage, local validation, uncertainty, user capability, alert ownership, manual fallback, full lifecycle cost, payment risk and termination transition. A pilot's visibility or public importance should not override an incomplete accountability model.
Technology and public-impact assurance
The Board dashboard should cover sensor availability and calibration; stale or missing data; model performance by event and location; false and missed alerts; overrides; acknowledgement time; field verification; cyber incidents; service levels; project contribution; receivables; claims and disputes; user training; audit findings; and liquidity runway.
Independent assurance should reproduce selected model outputs, inspect sensors, test threshold changes, simulate loss of data, trace alert handoffs and reconcile public claims to evidence. A suspected missed critical alert, material model limitation or manipulation of performance data must have a direct Board escalation path.
Candidate profile
Candidates should have at least 20 years of senior experience across urban infrastructure, water, climate resilience, public systems, geospatial or data technology, engineering, emergency operations, audit, risk or growth-company governance. Direct expertise in every domain is not expected; the successful candidate must know how to assemble and challenge multidisciplinary evidence.
Relevant backgrounds may include infrastructure CEOs, municipal or utility leaders, technology executives, engineering assurance professionals, risk officers, public-contract leaders, Audit Committee members or directors of mission-critical platforms. The candidate should remain calm under event pressure and resist both exaggerated claims and indiscriminate risk aversion.
Eligibility, independence and conflicts
Active inclusion in the IICA Independent Directors Databank is mandatory. The candidate must be independent of founders, investors, management and significant counterparties. Relationships involving public authorities, engineering consultants, sensor or communications suppliers, cloud providers, contractors, insurers, lenders, investors or competing platforms must be disclosed.
The Board role may not be used to influence public procurement, vendor selection, grants or consulting appointments. Infrastructure and vulnerability information must be handled under enhanced security.
First 100-day priorities
- Review representative deployments from contract and model design through field response.
- Examine model misses, false alerts, sensor failures, threshold overrides and customer disputes.
- Inspect field hardware and observe the operating workflow used during a weather event or exercise.
- Reconstruct full lifecycle economics for mature and early deployments.
- Assess public claims and reference metrics against reproducible evidence.
- Agree Board escalation triggers for critical alerts, cyber events and material model limitations.
First-year outcomes
Within twelve months, the company should have consequence-based model governance, reliable sensor evidence, explicit alert accountability, resilient operating procedures, transparent project economics and claims bounded by proof. The Director should help the company earn public trust by being candid about both the usefulness and the limits of its technology.
