Enterprise context

The company designs, manufactures, sources and distributes products used in sport, physical training and recreation. Its portfolio combines performance requirements, consumer safety, material science, licensed intellectual property, seasonal demand and geographically dispersed supply. A product may be used by children, competitive athletes, institutions or casual consumers under conditions the manufacturer cannot fully control. Small weaknesses in design, materials, labelling or quality consistency can therefore create consequences far greater than the selling price.

The Board seeks an Independent Director who can connect product integrity with commercial and financial performance. Revenue growth can be distorted by channel loading, promotional stock, returns, licensing commitments or inventory built for uncertain demand. Export success can also be fragile if product files, chemical content, testing, packaging or origin documentation are inconsistent. The appointee will help ensure that growth rests on products that are safe, traceable, fairly represented and economically sound.

Core Board mandate

The Director will provide independent oversight of product-safety governance, design control, supplier assurance, export compliance, licensed-brand obligations, channel economics, inventory quality, warranty and recall readiness. The role will also strengthen Audit Committee scrutiny of revenue cut-off, rebates, royalties, tooling, moulds, warranty provisions and obsolete or non-conforming stock.

The Board expects the Director to ask not only whether a product passed a test, but whether the tested construction is the same as the product made and sold. Cost reduction, material substitution and alternate sourcing must remain within controlled specifications. Commercial teams should never be able to convert an unapproved product variation into an accepted market fact.

Strategic and governance agenda

  1. Establish consequence-based product governance. Classify products by foreseeable injury, user vulnerability, intensity of use and failure mode. Apply stronger design, testing, release and surveillance controls to higher-consequence categories.

  2. Strengthen design-control evidence. Review user requirements, risk assessment, prototypes, validation, approved drawings, bills of material, labelling and post-launch changes. Design history must be retrievable and linked to the production version.

  3. Assure material integrity. Govern composition, restricted substances, coatings, adhesives, textiles, metals, polymers and packaging. Supplier certificates should be supported by risk-based independent testing and change notification.

  4. Control tooling and outsourced production. Establish ownership, custody, access, maintenance, output reconciliation and destruction of obsolete tools. Prevent unauthorised production, design leakage and substitution by subcontractors.

  5. Protect export quality. Review market-specific product requirements, technical files, testing evidence, labelling, packaging, origin claims and traceability. Export documentation should describe the actual shipped product, not a generic master specification.

  6. Govern licensed intellectual property. Examine territory, category, quality approval, royalty calculation, minimum commitments, inventory at licence end and reputational obligations. Licensed growth must not create uneconomic guarantees or stranded stock.

  7. Make portfolio economics transparent. Assess contribution after discounts, royalties, freight, marketplace fees, returns, warranty, promotional support, tooling amortisation and inventory carrying cost.

  8. Improve demand and inventory discipline. Separate replenishment demand, event-led demand, seasonal build, institutional orders and speculative launches. Ageing should be assessed by model relevance, safety status, licence validity and recoverable channel value.

  9. Strengthen channel governance. Monitor sell-in, sell-through, distributor stock, credit, returns, online discounting, counterfeit listings and post-period support. Revenue should follow genuine transfer and demand, not pressure to absorb stock.

  10. Use complaints as engineering evidence. Analyse incidents, breakage, discomfort, unexpected wear, misuse patterns and near misses by product version, factory and supplier. Product teams should receive Board-visible closure responsibilities.

  11. Prepare for product withdrawal. Test batch identification, customer communication, stock isolation, channel recovery, regulator engagement, refund or replacement and evidence preservation. Exercises should include products sold through indirect and digital channels.

  12. Govern brand and endorsement conduct. Require substantiation and approvals for performance, health, sustainability and athlete-related claims. Endorsements must not imply technical outcomes beyond validated evidence.

  13. Allocate capital with discipline. Examine automation, new categories, capacity, laboratories, brand acquisitions and distribution infrastructure against demand quality, capability advantage, working capital and downside recovery.

  14. Improve listed-company disclosure. Align internal and external definitions for volume, price, mix, channel stock, export performance, licensed revenue, inventory, returns, product incidents and brand investment.

Board decisions requiring independent judgment

The Director will contribute to category entry, material changes, major sourcing shifts, licensed-brand arrangements, manufacturing expansion, acquisitions, institutional contracts, export-market entry, product withdrawals and settlements involving alleged harm.

Each material product proposal should identify the intended user, foreseeable misuse, safety classification, validation evidence, sourcing route, full economics, warranty expectation, inventory commitment and withdrawal capability. Acquisition papers should address hidden quality history, claims, design ownership, licence continuity, tooling, supplier dependence and obsolete stock.

Board assurance and reporting

A quarterly dashboard should cover product-safety incidents; near misses; complaint severity; failure and return cohorts; unapproved changes; supplier-quality exceptions; independent-test failures; counterfeit activity; channel inventory; stock ageing; royalties; realised pricing; warranty provisions; capex benefits; overdue audit findings; and downside liquidity.

Internal audit should trace selected products from approved design through sourcing, production, testing, dispatch, sale and complaint. It should also test royalty reporting, tooling custody, rebates, marketplace settlements, returns and revenue cut-off. Suspected concealment of a safety issue or material substitution must be capable of direct escalation to the Independent Director.

Candidate profile

Candidates should bring at least 25 years of senior experience across consumer products, sports or recreation, manufacturing, product quality, international sourcing, retail, brand licensing, audit, finance or listed-company governance. Appropriate backgrounds may include a former CEO, CFO, COO, product-quality executive, supply-chain leader, consumer-risk leader or Audit Committee Chair.

The candidate must combine consumer empathy with technical and financial scepticism. Experience with safety-sensitive products, complex portfolios, export compliance, licensed brands, seasonal inventory, digital marketplaces or product recalls will be valuable. The appointee should be willing to visit factories, testing operations, distribution points and customer-resolution teams.

Eligibility, independence and conflicts

Active inclusion in the IICA Independent Directors Databank is mandatory. The candidate must satisfy all statutory independence and eligibility requirements applicable to a listed company. Relationships involving promoters, major shareholders, competitors, retailers, distributors, licensors, endorsers, suppliers, testing providers, auditors or lenders must be fully disclosed.

The Board role may not be used to obtain sourcing, licensing, endorsement, advertising, consulting or investment opportunities. Annual independence confirmations, securities-dealing controls and enhanced confidentiality will apply.

First 100-day priorities

  • Review representative high-consequence products from design file through complaint history.
  • Visit manufacturing, testing and customer-resolution operations.
  • Examine recent material substitutions, supplier exceptions, returns and safety events.
  • Reconcile channel inventory and sell-through with reported revenue for selected periods.
  • Review licensed-brand economics and obligations beyond the current reporting period.
  • Recommend immediate changes to product-risk escalation and Board reporting.

First-year outcomes

Success should be visible through controlled design changes, stronger material traceability, earlier detection of product risk, more reliable portfolio economics, disciplined inventory and public disclosures supported by operating evidence. The Director should help ensure that brand growth never outruns product accountability.
