Why this Board seat matters
The company manages breeding, egg handling, incubation, hatchery operations and delivery of young birds into commercial production systems. Performance depends on genetics, flock health, farm biosecurity, egg quality, incubation discipline, chick quality, welfare, transport and accurate technical guidance to customers. Biological cycles introduce lag: a decision made in a parent flock may affect availability, quality and field performance months later.
The enterprise is pursuing growth through capacity, regional expansion and selected acquisitions. The Board seeks an Independent Director who can preserve biosecurity and scientific discipline while challenging working capital, production forecasts, customer concentration, integration and capital allocation. The role requires an ability to distinguish natural biological variation from avoidable control failure.
Seven stewardship domains

Flock and genetic integrity. Oversee source, identity, rights, lineage records, selection objectives, performance data and protection against accidental or unauthorised mixing. Genetic claims must be supported across representative production conditions.

Farm biosecurity. Govern access, zoning, movement, cleaning, disinfection, feed and water controls, pest and wildlife exclusion, mortality surveillance, sampling and escalation. Commercial schedules must not override quarantine or downtime requirements.

Egg and hatchery control. Review collection, grading, storage, transport, sanitation, incubation profiles, equipment calibration, hatch windows, process deviations and release standards. Output quantity must not conceal quality or welfare concerns.

Animal health and welfare. Examine veterinary authority, preventive programmes, treatment, antimicrobial stewardship, culling, humane handling, stocking, ventilation, temperature, emergency response and investigation of abnormal mortality.

Customer and field performance. Track delivery condition, early mortality, complaint, technical support, farm practices and performance by flock and hatch. Sales claims should state management assumptions and uncertainty, not imply guaranteed biological outcomes.

Capacity and cash discipline. Reconcile flock plans, egg forecasts, hatchability, saleable output, customer demand, seasonal risk, feed, energy, transport and receivables. Capital expansion should use downside biology and demand cases.

Acquisition and integration governance. Diligence flock health, farm and hatchery history, permits, genetics, workforce, veterinary practice, customer claims, equipment, land, environmental exposure and data integrity. Minimum biosecurity must precede operational integration.
The Board's seasonal lens
Reporting should follow biological cohorts rather than quarterly averages alone. The Board should see flock age and health, fertility, hatchability, saleable quality, vaccination and treatment, abnormal mortality, farm and hatchery deviations, equipment availability, customer complaints, early field performance, forecast versus actual output, feed and energy, inventory, receivables and covenant headroom.
Serious disease signals, unexplained mortality, laboratory concerns, welfare breaches, compromised genetic identity or pressure to release weak output must be independently escalatable. Assurance should include farm and hatchery observation, cohort tracing, laboratory evidence, medicine and vaccine reconciliation, mortality review and customer-case sampling.
Decisions requiring independent judgment
The Director will contribute to genetic partnerships, new farms and hatcheries, acquisitions, contract growing, feed or health programmes, geographic expansion, export, customer concentration, insurance, leverage and sponsor exit readiness.
Every capacity proposal should identify parent-stock availability, biosecurity separation, veterinary and technical capability, feed and water, utilities, commissioning, demand, transport, working capital and response to disease interruption. Acquisition synergy must never depend on premature movement of people, eggs, birds or equipment across biosecurity boundaries.
Candidate profile
Candidates should have at least 22 years of senior experience across animal health, poultry, food or agribusiness, biological production, veterinary governance, farm operations, supply chain, finance, audit or private equity portfolio boards. Suitable candidates may include former CEOs, COOs, CFOs, veterinary or biosecurity leaders, production executives, agribusiness heads or experienced Independent Directors.
The Board needs someone who respects biological complexity but insists on accountable evidence. Experience with disease events, multi-site operations, acquisitions, seasonal working capital, family or sponsor governance and scientific succession will be useful.
Independence and appointment requirements
Active inclusion in the IICA Independent Directors Databank is mandatory. The candidate must remain independent of the sponsor, founders, management and major counterparties. Relationships involving genetics suppliers, farms, feed companies, animal-health providers, laboratories, customers, lenders, insurers or acquisition targets must be disclosed.
The role may not be used to direct genetics, birds, feed, medicines, laboratory, insurance, finance or advisory work to connected parties.
Initial mandate
During the first 100 days, the Director will visit breeding and hatchery operations, trace selected biological cohorts, review disease and welfare events, examine output and complaint data, test expansion economics and assess integration risks. By year end, the Board expects stronger biosecurity, clearer cohort performance, protected veterinary authority, disciplined capacity and acquisitions integrated without creating biological contagion or control dilution.
