Company context

The company develops, manufactures, sources and distributes home-furnishing and sleep-related products through a combination of retail, institutional, distributor and digital channels. Product performance depends on material composition, construction integrity, accurate consumer claims, supplier discipline, packaging, storage and consistent execution across a broad assortment. The useful life of the product, the customer's inability to inspect internal materials and the personal nature of sleep and home use create a higher trust obligation than ordinary discretionary retail.

The Board seeks an Independent Director who can connect consumer safety, product quality, brand investment, channel economics and financial reporting. Growth in reported sales can conceal discount dependence, channel loading, returns, warranty exposure, ageing stock or margin transferred to intermediaries. Equally, short-term cost reduction can weaken materials, durability or after-sales outcomes in ways that emerge only after several selling seasons. The Director must help the Board see these risks before they become embedded in the brand.

The Board mandate

The appointee will strengthen oversight of product architecture, sourcing, manufacturing controls, inventory quality, consumer claims, channel conduct, warranties, digital commerce, brand expenditure and capital allocation. The role requires independent judgment on whether new categories and price points create durable consumer value or merely add complexity, working capital and promotional dependence.

The Director will also bring deeper challenge to Audit Committee matters. Revenue, rebates, returns, marketplace settlements, customer advances, warranty obligations, supplier incentives and obsolete inventory require evidence that reflects commercial substance. The appointee should be willing to trace a product from specification and bill of materials through manufacturing, sale, return, complaint and final financial outcome.

Strategic and governance responsibilities

  1. Protect product-safety fundamentals. Review specifications for materials, adhesives, foams, fabrics, finishes, electrical elements where present, flammability behaviour, emissions, skin-contact risks and durability. Changes must pass documented technical and consumer-safety review before release.

  2. Strengthen bill-of-material control. Establish clear ownership of approved formulations and constructions, change rights, supplier substitutions, tolerance limits and version control. Commercial urgency must not permit an unverified material change.

  3. Assure supplier integrity. Examine source traceability, factory capability, test evidence, social and environmental conduct, subcontracting, financial health and concentration. Supplier declarations should be corroborated through risk-based testing and operating review.

  4. Govern consumer claims. Require substantiation for claims concerning comfort, support, wellness, durability, temperature, sustainability, material origin and comparative performance. Marketing language must remain within the boundaries of reliable evidence.

  5. Make category economics visible. Analyse contribution after discounts, freight, installation, marketplace fees, dealer support, returns, warranty, promotional financing and inventory carrying cost. Gross margin before these elements is not sufficient for portfolio decisions.

  6. Improve inventory-quality oversight. Segment stock by model, material version, channel, season, age, packaging condition and realistic recoverability. Slow movement should lead to timely pricing, redesign, channel transfer or provisioning—not repeated forecast optimism.

  7. Control channel loading and cut-off. Review dispatch patterns, secondary sales, dealer stock, rights of return, extended credit, promotional support and post-period adjustments. Revenue must not be accelerated through inventory placed beyond genuine consumer demand.

  8. Oversee warranty and complaint intelligence. Analyse cohorts by product, factory, supplier, material, channel and failure mode. Complaint data should inform specifications, provisioning, supplier recovery and product withdrawal decisions.

  9. Govern digital commerce. Examine product-page accuracy, price parity, reviews, dark patterns, delivery commitments, cancellations, refunds, marketplace reconciliations and customer-data use. Digital growth must not dilute consumer protections available in physical channels.

  10. Challenge brand-spend effectiveness. Separate brand building, trade promotion, performance marketing, influencer activity, retailer support and price discounting. Require cohort evidence on acquisition quality, repeat use and contribution rather than reach metrics alone.

  11. Manage commodity and currency exposure. Review input baskets, pricing lags, supplier terms, hedging boundaries, alternate materials and customer acceptance of price changes. Mitigation should preserve specification integrity and not merely transfer volatility into product quality.

  12. Scrutinise manufacturing capital. Evaluate automation, capacity additions, backward integration, energy projects and new facilities using the true constraint, ramp-up, quality capability, demand evidence and incremental working capital.

  13. Prepare for material events. Test readiness for a product-safety concern, widespread quality failure, major supplier interruption, warehouse incident, customer-data breach, misleading claim, marketplace suspension or rapid demand contraction.

  14. Raise disclosure quality. Ensure consistency across financial statements, investor communication and internal reporting for volume, price, mix, channel inventory, returns, warranties, working capital, brand investment and sustainability claims.

Decisions expected at Board level

The Director will provide independent judgment on new product categories, material substitutions, major supplier commitments, manufacturing investments, brand acquisitions, distribution changes, private-label arrangements, institutional contracts, consumer-financing partnerships and underperforming assets.

For each material portfolio proposal, the Board should see the consumer need, claims evidence, full landed cost, channel margin, return and warranty assumption, inventory risk, launch investment, break-even volume and stop criteria. For acquisitions, diligence should cover product history, complaints, intellectual property, supplier dependence, channel inventory, warranty tail, data rights and the cost of aligning quality systems.

Audit and consumer-risk information architecture

The Director will help implement a quarterly dashboard covering sell-in and sell-through; channel inventory; realised price and discount; return and cancellation cohorts; warranty incidence and cost; complaint severity; supplier and product-quality exceptions; stock ageing and markdown; receivable ageing; marketplace settlements; brand-spend contribution; capex benefits realised; customer-data incidents; unresolved audit findings; and downside liquidity.

Internal audit should combine order-to-cash testing with product-level evidence, physical inventory verification, supplier-change review, complaint sampling, rebate reconciliation and digital refund reperformance. The Audit Committee should meet privately with statutory audit, internal audit, finance, product quality and consumer affairs. A suspected safety issue or manipulation of complaint data must have a direct independent escalation path.

Candidate profile

Candidates should bring at least 25 years of senior experience across consumer products, retail, textiles, furniture, home products, manufacturing, sourcing, quality, brand management, audit, finance or listed-company governance. Suitable backgrounds may include a former CEO, CFO, COO, category leader, quality executive, supply-chain leader, Audit Committee Chair or senior professional responsible for a multi-channel consumer business.

The Board values a candidate who can examine consumer experience and balance-sheet quality together. Experience with complex assortments, warranties, retail channels, digital marketplaces, international sourcing, brand investment, manufacturing capex or product claims will be advantageous. The candidate must be prepared to visit manufacturing, distribution and customer-service operations.

Eligibility, independence and conflicts

Active inclusion in the IICA Independent Directors Databank is mandatory. The candidate must satisfy all independence and disqualification requirements applicable to a listed-company Independent Director. Current and recent relationships involving promoters, significant shareholders, competitors, retailers, marketplaces, suppliers, testing providers, advertising partners, lenders, auditors or major institutional customers must be disclosed.

The Board role may not be used to create sourcing, distribution, advertising, consulting or investment opportunities for a connected entity. The appointee must comply with annual independence confirmations, securities-dealing controls, confidentiality and continuing education requirements.

First 100-day priorities

  • Review product and channel profitability for the largest categories after returns, warranty and working capital.
  • Visit manufacturing, distribution and customer-resolution operations.
  • Examine recent material changes, quality failures, consumer claims and supplier exceptions.
  • Reconcile channel inventory, sell-through, returns and reported revenue for selected periods.
  • Meet separately with statutory audit, internal audit, finance, quality, sourcing and consumer affairs.
  • Recommend immediate changes to the Board's product, inventory and brand-economics dashboard.

First-year outcomes

Success should be visible through stronger specification governance, substantiated claims, earlier quality signals, reliable channel economics, realistic inventory values and capital decisions grounded in consumer value and collected returns. The Director should help protect the brand from risks that build slowly inside products, channels or accounting estimates before becoming publicly visible.
