Company context

The company owns and operates a distributed fleet of equipment rented to construction, industrial and infrastructure customers. Its earnings depend on acquiring the right assets, placing them with creditworthy customers, maintaining safe availability, controlling mobilisation and recovering equipment in acceptable condition. Revenue growth can conceal weak returns when utilisation is inflated by non-billable days, repairs are deferred, contract extensions are undocumented, customer deductions remain unresolved or residual values are optimistic.

The business is preparing its systems, governance and disclosures for a proposed listing. The Board seeks an Independent Director who can bring capital-allocation discipline to fleet expansion and establish reliable evidence for utilisation, asset condition, contract profitability, maintenance liabilities and disposal gains. The mandate also carries a clear safety dimension: commercial pressure must never place an unfit machine or unqualified operator at a customer site.

The Board mandate

The Director will help convert an entrepreneurial asset-rental business into a controlled public-market institution. The role spans fleet strategy, asset-level accounting, credit, contract governance, site safety, maintenance assurance, telematics, procurement, related-party risk and IPO metrics. The Director should test whether the company earns an adequate return after idle time, mobilisation, damage, financing, maintenance and eventual disposal—not simply whether equipment is deployed.

Independent challenge will be especially important when expansion is funded with debt or fresh equity. Fleet purchases should follow evidenced demand, service capacity and whole-life economics. The Board should avoid acquiring equipment to support an optimistic revenue forecast or to protect short-term market share at structurally weak rental yields.

Strategic and governance responsibilities

  1. Define economic utilisation. Distinguish calendar availability, mechanically available days, contracted days, billable days, working days and collected revenue days. Establish stable asset-class definitions and reconcile operational records to invoices.

  2. Build asset-level return visibility. Track acquisition cost, financing, mobilisation, maintenance, downtime, damage, insurance, refurbishment, revenue, collections and disposal proceeds for each material equipment class and cohort.

  3. Challenge fleet procurement. Require demand evidence, customer concentration, lead time, service capability, parts availability, financing terms, technology obsolescence and downside disposal assumptions before approving purchases.

  4. Strengthen residual-value governance. Use independent market evidence, condition data, usage intensity and disposal experience. Gains on sale should not compensate for inadequate depreciation or weak rental economics.

  5. Protect maintenance integrity. Review preventive-maintenance completion, critical defect closure, parts quality, cannibalisation, workshop capacity and maintenance deferrals. No asset should return to service without documented fitness approval.

  6. Oversee site safety. Examine pre-dispatch inspection, transport, erection or commissioning where applicable, operator competence, exclusion zones, weather limits, daily checks, incident reporting and responsibility between company and customer.

  7. Govern telematics and usage data. Ensure device coverage, calibration, tamper detection, data retention and exception response. Telematics should inform billing, maintenance and theft prevention without becoming an unverified source of Board metrics.

  8. Improve contract quality. Test minimum periods, standby treatment, mobilisation, fuel and operator responsibility, damage allocation, maintenance access, rate escalation, extension approval, return condition and dispute resolution.

  9. Control credit and collections. Segment exposure by customer group, project, payment source and contractual deduction. Define limits for mobilisation to customers with overdue balances and prevent credit overrides without accountable approval.

  10. Govern asset custody. Review location accuracy, physical verification, key and document control, customer sub-renting, unauthorised movement, theft response and recovery of stranded equipment.

  11. Assure insurance adequacy. Examine insured values, exclusions, deductibles, operator conditions, transit coverage, business interruption and claim history. Insurance must reflect actual deployment and custody arrangements.

  12. Prepare IPO-grade data. Standardise fleet size, gross and economic utilisation, average age, rental yield, maintenance cost, customer concentration, residual value and return on invested capital. Historical changes must be reconciled.

  13. Build management depth. Review succession and incentives for fleet planning, maintenance, branch operations, credit, safety, procurement, technology and finance. Incentives should reward collected return and safe availability, not dispatch volume alone.

  14. Stress-test capital structure. Model lower utilisation, rate pressure, customer failure, accelerated maintenance, delayed disposals, interest-rate increases and debt refinancing. Preserve liquidity for safety and asset protection through the cycle.

Decisions expected at Board level

The Director will contribute to fleet expansion, new equipment categories, entry into additional regions, branch or workshop investment, large customer contracts, debt facilities, sale-and-leaseback structures, acquisitions, connected-fleet technology and the timing of the IPO.

Capital proposals should disclose the demand basis, target yield, economic utilisation, whole-life maintenance, service footprint, working capital, financing, residual value and downside recovery route. Acquisitions should be tested for asset condition, title, encumbrance, unrecorded maintenance, customer dependence, safety history and integrity of utilisation data.

Audit, risk and IPO-readiness agenda

The Director will help establish a Board dashboard for economic utilisation; idle ageing; mechanically unavailable fleet; preventive-maintenance compliance; critical defects; rental yield; collected return on fleet; overdue receivables; customer deductions; asset-location exceptions; insurance claims; safety incidents; disposal gain or loss; covenant headroom; audit findings; and IPO-control milestones.

Internal audit should combine asset counts, telematics reconciliation, contract-to-invoice testing, workshop observation, parts-consumption analytics and customer confirmation. The Audit Committee should scrutinise depreciation, impairment, residual values, capitalisation of refurbishment, maintenance provisions, revenue cut-off, accrued income and disposal-related parties.

Candidate profile

Candidates should have at least 23 years of senior experience in equipment rental, construction equipment, logistics fleets, industrial services, asset finance, infrastructure operations, audit, finance, safety or capital-intensive business governance. Former CEOs, CFOs, COOs, fleet leaders, credit executives, equipment-business heads, Audit Committee Chairs and public-market directors may be suitable.

The Board seeks someone able to connect field condition with balance-sheet quality. Experience in fleet lifecycle management, debt-funded growth, asset valuation, multi-branch operations, maintenance systems, contract credit and an IPO or institutional transaction will be particularly relevant. The candidate must be prepared to inspect yards, workshops and customer sites.

Eligibility, independence and conflicts

Active inclusion in the IICA Independent Directors Databank is mandatory, notwithstanding the company's current unlisted status. The candidate must be able to satisfy listed-company independence standards before the formal offer process. Relationships with equipment manufacturers, dealers, rental companies, major contractors, financiers, insurers, auctioneers, maintenance vendors, investors or proposed intermediaries must be disclosed.

The Director must remain independent of founders, investors and management. No appointment will be used to channel equipment purchases, financing, disposal mandates, insurance or advisory work to an entity connected with the appointee.

First 100-day priorities

  • Reconcile fleet registers, physical assets, telematics and the financial ledger for selected equipment classes.
  • Review asset-level economics for high-use, idle, recently purchased and recently disposed cohorts.
  • Inspect a yard, workshop and live customer deployment.
  • Examine major safety events, deferred maintenance, overdue customers and disputed contracts.
  • Test the evidence supporting proposed IPO fleet and utilisation metrics.
  • Recommend Board thresholds for procurement, credit, residual values, safety escalation and leverage.

First-year outcomes

The first year should produce reliable economic-utilisation data, asset-level return discipline, stronger maintenance and safety assurance, realistic residual values, controlled fleet procurement and IPO disclosures supported by source evidence. The company should be able to demonstrate that growth creates collected returns without consuming its safety margin or balance-sheet resilience.
