The company develops and operates controlled growing environments that combine agronomy, climate control, water systems, biological inputs, pack-house operations and demand-linked distribution. Its proposition depends on predictable quality and supply rather than commodity-scale acreage. The business is expanding across several production clusters while building institutional systems expected of a public-market company.
The operating model contains risks that conventional manufacturing dashboards do not fully reveal. A crop can meet harvested-volume targets and still destroy value through low saleable yield, inconsistent grade, excessive energy or nutrient consumption, poor shelf life, microbial contamination, demand mismatch or avoidable wastage after harvest. Biological cycles also create estimation risk in crop valuation, yield forecasts and loss recognition. The Board seeks an Independent Director who can bring financial discipline without reducing living systems to simplistic factory analogies.
The Board mandate
The Director will help establish an investor-grade governance model for biological assets, production planning, food safety, water stewardship, climate-control reliability and site-level unit economics. A central responsibility is to ensure that the IPO narrative is supported by repeatable evidence: mature-cluster contribution, cash payback on new facilities, independently testable yield data, traceability, customer retention and disciplined recognition of crop losses.
The role calls for judgment at the boundary of agronomy and finance. The Director must challenge growth that is achieved through excessive environmental control costs, uneconomic assortment breadth, underpriced commitments or continual emergency logistics. Equally, the Director should prevent short-term margin pressure from causing underinvestment in sanitation, crop protection, water treatment, cold-chain discipline or scientific talent.
Strategic and governance priorities

Define the true unit of economic performance. Establish Board visibility at crop, growing zone, harvest cohort, site and customer-channel level. Incorporate germination, saleable yield, cycle duration, labour, water, nutrients, energy, packaging, rejection, wastage and delivery cost.

Govern biological-asset accounting. Challenge valuation models, yield assumptions, expected selling prices, loss recognition and cut-off. Require reconciliation between cultivation records, sensor data, harvest weights, pack-house output, invoicing and waste.

Build a mature-site evidence base. Separate economics of stabilised facilities from commissioning and learning costs. Ensure that expansion decisions use demonstrated cohorts rather than blended averages or management-selected peak periods.

Oversee food safety and traceability. Review seed and input provenance, growing protocols, water quality, hygiene zoning, residue testing, microbial monitoring, batch identity, recall readiness and root-cause closure.

Govern biological risk. Demand surveillance and escalation protocols for pathogens, pests, nutrient imbalance, pollination failure, varietal instability and cross-zone contamination. Ensure early warning indicators reach the Board before a financial surprise.

Test climate-control resilience. Examine redundancy and maintenance for cooling, ventilation, irrigation, dosing, lighting, sensors and power. Challenge recovery-time assumptions and the adequacy of backup capacity during simultaneous equipment and grid stress.

Strengthen demand-linked production planning. Review how contracted demand, forecast demand, crop lead times and assortment choices are reconciled. Track cancellations, substitutions, discounting, unfulfilled orders and overproduction by cause.

Challenge expansion capex. Evaluate site selection, design standardisation, local climate load, water availability, energy infrastructure, logistics radius, commissioning curve and technical-team capacity. Require stage gates before committing later phases.

Protect working capital. Examine receivables by customer type, packaging inventory, imported equipment spares, biological inputs and crop-in-progress. Ensure growth does not create structurally negative cash conversion hidden by new capital.

Govern water and nutrient claims. Require calibrated measurement boundaries, verified baselines and transparent treatment of rejected water, cleaning consumption and embedded inputs. Sustainability statements must withstand public-market scrutiny.

Secure data integrity. Define ownership and validation for environmental sensors, crop recipes, agronomy interventions, harvest data and quality outcomes. Prevent unapproved retrospective editing of operational records used in financial estimates.

Build talent depth. Review succession and retention for agronomy, plant pathology, engineering, food safety, data science and cluster operations. Incentives should reward saleable quality, cash and safety—not harvested volume alone.

Prepare the governance architecture for listing. Establish committee calendars, risk ownership, related-party controls, whistle-blower independence, material-event escalation, policy governance and evidence of Board challenge.

Stress-test the equity story. Examine the business under energy inflation, disease-related crop loss, slower site ramp-up, a large-customer exit, reduced premium pricing, equipment import delays and a failed production cluster.
Board decisions requiring independent judgment
The Director will contribute to decisions on new production clusters, long-term customer commitments, proprietary growing technology, partnerships with land or infrastructure owners, entry into new crop categories, acquisitions of niche growers, central pack-house investments, export ambitions and the timing of the proposed listing.
Every expansion paper should include base, downside and recovery cases; the evidence supporting yield and price; biological and commissioning contingencies; working-capital need; cluster-management bandwidth; and predetermined stop, redesign or defer triggers. The Board should not approve replication merely because a pilot was technically successful.
IPO-readiness and assurance agenda
The Director will help the Audit Committee establish assurance over operational data used in investor materials. The scope should include site capacity definitions, planted versus harvestable area, crop-cycle calculations, saleable-yield measurement, wastage classification, customer concentration, recurring versus trial revenue, mature-site margins and environmental-performance claims.
A quarterly dashboard should show saleable yield by cohort; deviation from crop plan; pathogen and contamination events; water and energy intensity; grade mix; wastage; order fulfilment; price realisation; site contribution; cash burn; receivable ageing; equipment availability; employee attrition in critical functions; audit issues and readiness milestones. Data definitions must remain stable or changes must be transparently reconciled.
Candidate profile
Candidates should have at least 22 years of leadership experience across agriculture, fresh food, food processing, life sciences, controlled manufacturing, multi-site operations, finance, audit, supply-chain or public-market governance. Suitable backgrounds may include a former CEO, CFO, COO, quality leader, agribusiness executive, food-safety leader, Audit Committee Chair or professional with experience assuring biological or non-standard operating data.
The Board needs someone who combines intellectual curiosity with disciplined scepticism. Direct controlled-environment agriculture experience is valuable but not compulsory; the ability to learn the science, expose weak assumptions and preserve appropriate investment in safety and capability is essential. Experience with an IPO, institutional capital, rapid site replication or technical asset commissioning will be advantageous.
Eligibility, independence and conflicts
Active inclusion in the IICA Independent Directors Databank is mandatory, notwithstanding the company's current unlisted status. The candidate must be capable of meeting listed-company independence standards by the start of the formal listing process. All interests involving agricultural producers, food retailers, institutional customers, input suppliers, engineering vendors, land counterparties, investors, lenders and assurance firms must be disclosed.
Candidates whose advisory income, investments or close relationships could create recurring conflicts with the company's expansion, procurement or customer decisions may not be suitable. Continuing independence will be reviewed throughout the IPO-readiness period.
First 100-day priorities
- Agree a common definition of planted, harvested and saleable output across every site.
- Review two complete crop cohorts from forecast through cash collection and waste disposal.
- Inspect a mature site, a ramping site and the central quality or pack-house operation.
- Test the top biological, food-safety, infrastructure and customer-concentration risks.
- Reconcile the IPO operating narrative with audited financial and source-system evidence.
- Recommend a sequenced assurance plan covering operational data, controls and disclosures.
First-year outcomes
The first year should deliver credible cohort economics, controlled expansion gates, stronger food-safety assurance, Board-level biological-risk visibility, reliable source data for the offer process and a downside-tested capital plan. The objective is a listing-ready enterprise whose public claims can be traced to stable definitions and whose growth model remains sound after realistic biological and commercial stress.
