Reference: GILA/LC/LC11/2608
Entity: Large Indian equity-listed company; client name confidential
Seat: Independent Director, Non-Executive
Primary board geography: Noida and Hyderabad with secure-manufacturing and data-centre visits
Expected governance cadence: Six boards, six Audit/Technology Risk meetings, quarterly sovereign-contract reviews and security exercises
Status: Confidential retained search; identity released after conflict pre-clearance and NDA.
Anonymised corporation profile
A large listed security-solutions company supplying secure documents, authentication, track-and-trace, digital identity and managed technology services to government and regulated customers in India and overseas.
Revenue exceeds ₹10,000 crore and the group handles sensitive data, controlled materials, secure personalisation, cryptographic systems and long-duration public contracts through several subsidiaries.
Calibrated market hint: The secure-print-to-digital-identity portfolio and Noida–Hyderabad footprint point to a small number of security-technology groups. Any candidate inference must remain confidential and be disclosed to GILA solely for conflict screening.
Why this board seat exists
The board needs an independent director who can govern security and sovereign-customer risk without becoming a government relationship channel. Contract profitability, data, controlled waste, key management, export rules and ethical bidding require integrated oversight.
This is a large-corporation stewardship appointment, not a prestige seat. The director will be expected to form a view independently of promoter, management, government, lender, customer and institutional-investor pressure—and to ensure dissent, conditions and unresolved evidence are accurately minuted.
Board position, committee authority and boundaries
Independent Director; Chair of Audit & Security Technology Risk; member of Ethics/CSR where constituted; private access to CISO, security officer, internal audit and whistleblower function.
The appointee sets questions, risk appetite, evidence standards and accountability. Management owns execution. The director must not become a shadow executive, transaction sponsor, government liaison, vendor selector or paid adviser to the business.
Strategic charter — first 18–24 months
- Classify order book by customer approval, security clearance, data/location requirements, technology dependency, milestone and payment
- Govern secure substrate, serialisation, spoilage, destruction, inventory and chain of custody
- Oversee cryptographic key, privileged access, insider threat, background screening and segregation across secure sites
- Test data localisation, biometric/identity privacy, breach response and customer notification
- Review public tender, agent, local partner, gifts, sanctions, export-control and anti-bribery risk
- Challenge percentage-of-completion, acceptance, claims, liquidated damages and loss-contract provisions
- Govern legacy-system support, vendor/end-of-life, source code and disaster recovery for identity platforms
- Review overseas subsidiaries and joint ventures for cash, conduct, data and sovereign exposure independently of group averages
Decisions expected to reach the board
- Whether a sovereign contract may proceed with a proposed local agent
- Whether a cryptographic or insider-control weakness requires service suspension
- Whether a delayed acceptance claim remains recoverable
The search will test how the candidate makes these decisions with incomplete information, competing stakeholder interests and material downside—not whether the candidate can recite a governance framework.
Candidate evidence sought
Essential
- Security technology, identity, government contracting, cyber, audit, defence-grade manufacturing or regulated-services leader with board judgement
- Audit Chair and sensitive-information maturity
- Contract and ethics depth
- Independence from government, political and agent networks
Strong differentiators
- National identity or secure-document programmes
- Insider-threat/cryptographic governance
- Cross-border public tender investigation

GILA will test intellectual independence, preparedness, dissent behaviour, information discipline, crisis judgement and the ability to remain non-executive while still being consequential.
Statutory, listing and independence gates
Candidates must satisfy the then-current Companies Act, SEBI LODR and entity/sector requirements, including Section 149(6) independence; IICA Databank and proficiency/exemption status; valid DIN/KYC; Sections 164–165; Schedule IV; applicable listed-board and committee ceilings; Regulation 16 independence; Regulation 17A directorship limits; Regulation 26 committee limits; and any sector fit-and-proper or regulatory approval. Independent Directors cannot receive stock options. Securities ownership and trading, relatives’ interests, former employment, pecuniary relationships, audit/advisory look-backs, promoter-group exposure and interlocking directorships will be verified against current law and the client’s complete group structure.
Mandate-specific conflict screens
Government, political, agent, integrator, security-vendor, data-centre, auditor, customer or competitor relationships; security clearance conflicts; advisory work on tenders or platforms under review.
Candidates carrying near-limit board portfolios, recurring consulting practices or commercial introduction expectations will be assessed for real availability and independence even where technical ceilings are not breached.
