Three fiduciary tests
The Audit Committee Chair will apply three tests to every material issue. Is the number supported? Is the customer or investor treated fairly? Is the control robust when markets and behaviour change? A favourable answer to only one or two is not sufficient in a business that manages money, information and long-dated trust.
Is the number supported?
The Chair will govern recognition of fees and performance-linked income, valuation of investments, fair-value hierarchy, expected losses, impairment, capitalised technology, consolidation, related parties, tax and provisions. Management papers should explain methodology, observable and unobservable inputs, sensitivity, override and subsequent performance.
Revenue and asset reporting should reconcile to contractual entitlement, service delivery, assets or accounts actually governed, collections and continuing obligations. The committee will distinguish market movement from operating performance and realised economics from non-cash valuation.
Is the customer or investor treated fairly?
Product governance will be examined from design and target market through distribution, disclosure, suitability, fees, performance communication, grievance and exit. The Board should know when a technically accurate statement may still create a misleading expectation. Distributor and intermediary incentives, conflicted transactions and preferential access require explicit governance.
Stakeholder questions and complaints are evidence. Recurring misunderstanding may indicate that disclosure, product design or adviser behaviour needs correction rather than another explanatory note.
Is the control robust under change?
Internal audit should follow material money, data and decision flows into administrators, custodians, technology platforms, distributors and other third parties. Reconciliations, access, cyber resilience, trade or transaction controls, personal dealing, conflicts and business continuity deserve risk-weighted scope.
The Risk Committee will examine liquidity, concentration, counterparty, market stress, operational loss, model risk and reputation together. Management actions in stress tests must be executable within the time and market capacity assumed.
Chairing practice
The appointee will protect direct access to statutory and internal auditors, compliance and risk; hold private sessions; scrutinise non-audit services; and keep material repeat findings open until effectiveness is independently tested. Whistle-blower investigations require appropriate independence, privilege, evidence preservation and systemic follow-through.
Conflict mapping will extend beyond formal related parties. Distribution arrangements, adviser relationships, personal dealing, cross-holdings, employee incentives and allocation practices can each alter fiduciary judgement without creating an obvious accounting disclosure. The committee will require periodic, event-driven and transaction-specific declarations with a credible recusal and review process.
Initial deliverable
Within two reporting cycles, the Chair will select one material product or service and trace the economics, customer promise, valuation or revenue judgement, outsourced controls and grievance evidence end to end. The exercise will determine whether the Board receives one coherent fiduciary story.
Suitable candidates
Applicants may be financial-services CFOs, audit partners, risk leaders, regulators, investment or fiduciary-business executives. They should understand valuation, conflicts, customer outcomes and technology-enabled control. Prior Audit Committee chairship is strongly preferred. Appointment is conditional on independence, DIN, databank compliance and capacity for result cycles, auditor engagement and material-event availability.
