The seat I am pursuing

I am seeking a first non-executive role where the interpretation of a physical or service proposition is a meaningful part of the company's strategic questions. The board should be able to describe the contribution it needs and the induction that would help me make it. Twenty-four proposed annual days are conditional on the actual timetable, employer consent and relationship review. I do not claim immediate readiness to chair an audit, risk or other specialist committee. A narrower advisory engagement may be a better fit if the requirement is to examine a particular proposition or commercial handover. I would want the role to reflect the responsibility genuinely required, with the limits of my expertise understood at the outset.

Governance learning and readiness

IICA Independent Directors’ Databank: Not yet registered

My current status is not registered in the IICA independent-director databank. For any proposed Indian appointment, I would establish which registration, assessment, exemption or other requirements apply with the company and suitably qualified advisers. I would complete the applicable steps before relying on the appointment as a credential. Presentations made as a CMO do not change that status, and a willingness to learn should not be described as a completed qualification. I keep the position explicit so that the first search conversation can address the actual preparation still required.

  • I am developing a clearer understanding of collective director responsibility beyond an executive presentation.
  • Prospective induction should include the financial, operating and risk account as well as the market proposition.
  • I would use the chair's feedback to examine whether my questions support oversight rather than familiar functional intervention.

My contribution to a board

I could help a board examine the assumptions between an asset proposition and the expectation a prospective customer forms from it. My experience includes operating conditions hidden by a uniform factsheet, visual possibilities mistaken for completed features and enquiry totals that obscure the next commercial task. Those subjects can matter to a material investment or public commitment even when the underlying marketing execution remains a management responsibility.

I would bring that perspective as one contribution to collective judgement. I have presented executive matters to Neravil's board since July 2019 and have not held a director appointment. A first role would require learning the prospective company's wider economics and relying on colleagues whose expertise differs from mine. I could ask whether the evidence supports a material proposition, who owns unresolved assumptions and how a recommendation changed after challenge. I would not use the discussion to approve a floor plan, value an asset, negotiate a lease or instruct the marketing team directly. The distinction between asking a useful question and taking over a familiar task would be central to the contribution.

Judgement in practice

01

When a visual proposition implies a more complete asset than the evidence supports

The virtual-tour decision separated twenty-two current physical features from eight illustrative fit-outs and removed six stops. As CMO, I owned the presentation decision within the marketing programme. In a board discussion, I would use that experience to ask how management distinguishes an existing capability from a possibility within a material public account. I would want to understand who has reviewed the basis of the claim, what remains contingent and whether the sequence of information creates an implication stronger than its component facts. That does not make directors the editors of each image. It gives oversight a way to examine whether the organisation can challenge a commercially appealing proposition before the expectation becomes difficult to correct. Specialist design, construction and commercial responsibilities would remain with the people qualified and authorised to exercise them.

02

When a large activity total conceals the decision still to be made

The enquiry review kept forty-two contacts visible while distinguishing eighteen ready for a specialist, fourteen needing a clearer brief and ten outside the current fit. The executive result was a different handover record, without a claim about leases concluded. For collective oversight, the relevant question is whether management's measures retain the event they actually describe. I could examine a recommendation that moves from market interest to a commercial forecast and ask where the assumptions enter that progression. The answer may depend on work outside marketing and on decisions the prospective occupier has not yet made. I would want those dependencies included in the account rather than infer certainty from a prominent total. My contribution would concern the reasoning between stages, not a personal judgement on the commercial terms of an individual negotiation.

03

When access to an experience is mistaken for permission to represent it

The tenant-story programme proceeded with five permissioned accounts, leaving three declined and one pending proposal outside the release. I accepted a smaller campaign instead of finding a disguised route to the preferred story. At board level, that experience could inform questions about how a company uses another party's experience or reputation in a material proposition. I would ask whether the scope of permission remains connected to the final account and how commercial pressure is handled when an attractive example cannot be used. I would not infer dissatisfaction from a refusal or claim that an employee interview represents an entire organisation. The judgement is relevant to the quality of the relationship and the support behind the public statement, while the detailed approval and release process remains a management task.

My first year on a board

My first priority would be to understand the business beyond the part that resembles my current work. I would read the financial and operating account, earlier board papers and the principal risks before deciding which familiar questions deserve attention. Induction should explain how decisions are divided between the board, committees and executives, including the relevant facts available at each level. With the chair's agreement, I would seek a practical view of how a significant customer proposition is developed and challenged. I would use that learning to improve the questions I bring, not create a separate channel for directing employees. During the year I would review whether my contribution helps the whole board understand a decision or simply reflects my preference for a particular marketing approach. The objective would be a broader, better informed perspective whose evidential limits remain clear.

Conflicts and their management

I would review direct competitors and connected property relationships before progressing a discussion. Tenant, supplier, adviser, agency and investor connections may matter alongside the prospective company's headline sector. Information obtained through Neravil must not become material for another board's commercial advantage. I would disclose relevant interests and understand the company's arrangements for handling them as circumstances develop. The calendar also needs a realistic review: preparation, travel, committee work and exceptional demands cannot be reduced to a convenient annual figure. If the proposed responsibilities cannot be accommodated alongside my current role, a nominal allocation of twenty-four days would not make the appointment workable. I would prefer to identify that limitation before a commitment is made.

My independence statement

I would need to examine the proposed appointment against my employment, professional interests and the company's relevant requirements. Absence of an existing board seat does not resolve that assessment. A property relationship can involve tenants, advisers, agencies, suppliers, investors and counterparties whose connection is not apparent from a sector label alone. I would disclose the relationships relevant to the discussion and seek the appropriate company-led review before presenting myself as independent. The assessment would also need a continuing process as circumstances change. This record states the experience I would bring and the questions I would ask; it does not certify eligibility for an unspecified independent-director position or assume that a functional career settles the legal and practical conditions of the role.
