The boardroom

Make the obligation as visible as the opportunity

I would bring a commitment-focused perspective to board discussion. An attractive adjacent market can conceal a different operating model, and a correct commercial count can be insufficient for the work an investment requires. I want the enterprise to understand those differences before approving a proposal, and to revisit them when discovery changes the account. The contribution is a way of asking about the basis and consequence of a decision, not a claim that strategy can substitute for every specialist discipline involved.

The ticket-engine case shows why I would preserve my own changed judgement. I supported expansion after hearing interest from venues. A review of 27 separated 21 integration requests from six replacement requests. I withdrew the ₹2.4 crore proposal before commitment and retained ₹38 lakh discovery expense. The separate ₹0.9 crore integration programme remains unfinished. A board should see that sequence clearly. It should not receive a revised recommendation that quietly removes the original assumption or turns the alternative into a completed success.

I would also ask whether the units in a strategy paper correspond to its decision. Sixty venues were a valid customer-site count, but discovery found 180 planning rooms relevant to migration work. Deferring geographic expansion and funding redesign changed the order of commitments. It did not establish a saving equal to the difference between the two proposal amounts. Directors can examine that reasoning without designing the migration themselves. The account should explain which work varies, which can be shared and which assumptions remain provisional.

The seasonal-renewal review adds another dimension. A concentrated receipt calendar sat beside continuing support. Finance retained ownership of cash planning and the appropriate approval process for the ₹4.2 crore reserve. My contribution was to connect the commercial pattern with the operating obligation so that an annual total did not conceal timing. A board needs the different accounts to meet coherently while preserving the expertise and authority of their owners. It should not be asked to choose between a persuasive growth story and an operating reality left outside the paper.

Partnership and pilot decisions need similar boundaries. Permission for calendar integration did not establish permission for archival transfer. An offline-reading pack did not become a complete offline workflow because some participants found it useful. Oversight should be able to ask what the enterprise is authorised and equipped to do, which population has been examined and what the result leaves unanswered. These questions allow a company to pursue an opportunity at a defensible scope without describing every restriction as failure or every partial result as fulfilment of the whole ambition.

I have no statutory board-service record. Presenting recommendations through the CEO has given me experience explaining choices, but an appointment would require broader responsibilities and learning. I would need to understand the receiving enterprise's finances, people, operating risks and sector requirements. I would expect to work with experienced colleagues who can challenge my assumptions and lead enquiries outside my background. Strategy or risk committee membership could be considered in context; I do not claim readiness to chair a committee.

Before an appointment, I would disclose my employee-trust interest and relevant relationships through founders, early investors, clients and partners. Qualified advisers should assess the specific independence and eligibility position under applicable requirements. Employer consent and 23 provisional days would need to cover preparation and exceptional demands as well as scheduled meetings. Fictional IICA registration in May 2026 and an assessment pass in September 2026 are recorded without an exemption claim. They do not settle suitability for a particular enterprise.

The board contribution I seek would make the commitment behind an opportunity easier to examine. It would also make correction possible when new evidence changes a reasonable earlier view. I want a decision record that can retain disagreement, cost and unfinished work without losing the ability to act. Collective judgement is better served by an honest account of those conditions than by a strategy narrative that becomes more certain every time it is shortened.

On governance

I want a growth proposal to identify the commitment hidden inside the market label. A theatre company may want its existing ticketing system connected rather than replaced. A seasonal receipt does not make support a seasonal obligation. A venue can contain several rooms with different availability. These distinctions change which product, investment and operating arrangement make sense. My contribution is to keep them visible before the appeal of an adjacent market turns a different business into what looks like a simple extension of our own.

I would consider a first outside board role where a company is examining adjacent markets or a changing operating commitment. I hold no statutory seat. Fictional IICA registration began in May 2026 and the proficiency assessment was passed in September 2026, without an exemption. Twenty-three provisional days would need to include preparation and exceptional demands, with employer consent and relationship review before acceptance.
