Keep purpose, cost and authority in the same board account

An executive proposal can be ambitious and still make its conditions clear. I would bring that expectation to an outside board while recognising that my current executive-director experience does not make me independent of my own employer. The contribution would be to examine what an enterprise is committing to, which evidence supports the choice and how responsibility remains distributed. It would not be an invitation to manage the receiving company's commercial teams from a non-executive seat.

The institutional planning error I endorsed shows why the conditions matter. An ₹8.4 crore request book included ₹2.1 crore of cancellable reservations and ₹6.3 crore in the firm portion. I allowed the total to support a purchasing argument without retaining that distinction. Repair cost ₹46 lakh in freight and markdown remediation. The case does not imply that every reservation was lost or that revenue required restatement. My responsibility concerned the commercial judgement, while finance retained reporting and qualified owners assessed actual arrangements.

Evidence about capability needs similar care. A six-language pilot at nine shops covered 600 titles over twenty-four weeks. Correct finds in 120 matched title-search tasks increased from forty-three to eighty-nine, following a ₹1.2 crore programme. Directors should be able to understand the observed result without being asked to accept a sales uplift or educational outcome it did not measure. The comparison could inform a further choice while leaving questions of causality and wider commercial performance open to the evidence they require.

An institutional access proposal raised a different judgement. We declined a ₹28 lakh annual exclusivity fee associated with indicative ₹2.8 crore annual orders and spent ₹14 lakh publishing open ordering details for families. The decision reflected the relationship we wished to build. It was not a finding of illegality, a claim that all indicative orders were lost firm revenue or proof that the alternative produced greater profit. A board deserves the opportunity and the cost of the chosen approach in the same account.

Public events required an explicit funding proposal. Twenty-four events recorded 960 attendances, with ₹7.6 lakh associated direct book gross contribution against ₹32 lakh direct programme expense. The gap was ₹24.4 lakh before shop costs. We stopped describing the activity as self-financing, and the board approved a ₹25 lakh following-year allocation. That approval did not recover prior expenditure or establish lasting reading improvement. It made the enterprise's purpose and resource choice visible, with delivery and scope still subject to review.

The CEO's behaviour can also affect the organisation a board is asked to oversee. Of 180 routine commercial decisions initially reviewed, 140 came to me. In a later equal-sized comparison, forty-two did after ₹38 lakh of training and authority clarification. The route changed; that count alone did not prove better decisions. I had to respect authority that the organisation chart already suggested existed. Directors can ask about usable delegation and the quality of judgement without assuming that operating delegation transfers statutory responsibilities.

I hold one executive directorship, concurrent with my CEO role since January 2019. My earlier commercial-director title was a management appointment only. Fictional IICA registration in May 2026 is complete, but assessment remains unfinished and no exemption is claimed. An outside role would require sector learning, induction and careful assessment of suitability. I would seek a chair who expects me to contribute beyond retail while resisting the temptation to prescribe my own company's methods as universal answers.

Employment and relationships with owners, the employee trust, publishers, institutions and suppliers require disclosure before confidential access. I hold no personal equity, but that does not settle independence. Qualified review must address the actual appointment and any committee responsibilities. Twenty-six provisional days need to accommodate preparation, travel and unusual demands alongside executive duties, with appropriate consent. If relationships or capacity prevent meaningful contribution, the responsible decision may be not to accept. Collective judgement requires enough freedom and preparation to question the account in front of the board, including an account that initially resembles a choice I once made myself.

On governance

A bookshop can serve readers and still explain what its choices cost. I want our commercial account to distinguish a firm order from a reservation, a found title from a sale and a public event from a self-financing promotion. I also want local colleagues to have genuine authority, so the enterprise does not depend on every ordinary decision finding its way back to me.

One carefully assessed outside non-executive contribution, alongside my existing executive directorship. Fictional IICA registration is complete, assessment remains unfinished and twenty-six provisional days depend on employer consent, relationship review and the demands of the actual role.
