My contribution to a board
I could help a board examine what a growth proposal commits the company to keep doing. That includes support after a product stops selling, the rights and dependencies behind a licence, and the people required to make a market entry useful. My experience would be most valuable when those questions connect with capital, customer obligations and the company's appetite for uncertainty. I would ask management to explain the alternatives it considered and the evidence that could change its recommendation. I would not assume that a method from training software belongs unchanged in another sector. The board needs complementary expertise, and I would learn the company's economics and responsibilities before treating a familiar pattern as the answer. My role would be to improve the collective discussion and help directors distinguish an approved commitment from an optimistic description of what might follow. A good strategy paper should leave the board able to recognise when the original reasoning no longer holds.
My first year on a board
My first year would start with the business's actual sources of revenue and its obligations to customers, employees and owners. I would read the existing strategy and significant investment decisions alongside later outcomes, asking how management knew whether its assumptions remained useful. Induction should include product and service leaders through the agreed board process, so I can understand where the company is committed to continuing work that a financial summary may not make obvious. I would agree with the chair where my experience adds value and where I need help. During the year I would concentrate on a small number of material decisions, including how management reports a change in the reasoning behind an approved programme. I would seek feedback on whether my questions clarified the choice or merely extended discussion. I would also study the financial consequences of support commitments, licensing and product retirement with the relevant specialists, without assuming that my strategic experience confers accounting expertise. By the year's end I would want to have contributed to better collective decisions, not accumulated a parallel set of operational tasks that management had never asked a director to own.
Conflicts and their management
Zevrali's customers, potential partners, suppliers and investment relationships would need comparison with the proposed company's business. My employment and any financial interests, together with relevant family connections, should be disclosed before the appointment discussion advances. I would seek employer consent and agree what information can be shared in each role. A recurring conflict over the board's central strategic questions could make the seat unsuitable even if individual recusals were technically possible. I would not bring confidential product plans or use the position to arrange business for Zevrali. The review must continue as either organisation changes direction, because a relationship that appears remote at appointment may become material later. If I could not participate fully in the decisions for which my experience was sought, I would raise that limitation with the chair rather than let the title conceal it.
My independence statement
I would disclose employment, investments, relevant family interests and commercial relationships for the proposed company's assessment. A CSO title and databank registration do not establish independence. The company and appropriate advisers should review applicable Companies Act requirements and, where relevant, listed-company committee and appointment conditions. I would not use this demonstration as a legal eligibility certificate.
Judgement in practice
01A quieter product still had a promise attached
The portfolio review identified eleven modules without recent activity, but three still carried customer commitments. I supported an eight-module retirement programme with a funded eighteen-month transition rather than a larger headline withdrawal. On a board I would ask whether management has connected its usage evidence with the obligations that remain, and who owns the transition it proposes. I would not choose the migration method or negotiate an individual support arrangement myself. The oversight question is whether the decision recognises the cost, customer effect and approval responsibility of ending a commitment. I would also ask what the company should learn for the next product launch, so the same support tail does not repeatedly appear as an unforeseen exception after the commercial plan has moved on.
02A lower commitment was not an identical benefit
The engine decision compared a ₹9.6 crore internal build with a ₹5.5 crore initial licence-and-integration programme. I kept ownership, renewal and permitted-use differences in the recommendation instead of reporting the numerical gap as a saving. In a board discussion I would ask whether the options are being compared over a meaningful period and whether the company can manage the dependency it is choosing. A lower first commitment can be sensible without being the cheapest lifetime route. I would want the proposal to identify which future event requires reconsideration and who will bring it back. The board's role is to understand the strategic exposure and authorise it appropriately, while technical and commercial colleagues remain responsible for the detailed implementation and terms.

The seat I am pursuing
I am considering one first non-executive opportunity in specialist software, learning services or a related business where the board needs to examine product and market commitments. I would join an appropriate committee after induction and would not seek an immediate chair role. My provisional twenty-two-day allowance includes preparation and learning, but it needs a specific calendar and an honest discussion of difficult periods. I have no current directorships. The appointment category, eligibility and any applicable independence requirements must be assessed for the actual company. I would prefer a board willing to hear why a smaller initial commitment may be more informative than a broad launch, while also challenging management when caution has become a reason to avoid a necessary decision. If the role mainly required technical certification, introductions to customers or routine executive planning, it would call for a different arrangement from the board contribution I am preparing to make.

Board discussions on product portfolio, licensing and market investment
January 2021 – Present
I present management's strategic analysis and answer questions about assumptions, alternatives and continuing obligations. Directors approve reserved commitments. I hold no board seat and do not vote; presenting a proposal is not treated as a directorship.

IICA Independent Directors’ Databank: Registered
In this fictional record I registered with India's independent directors databank in June 2026. I have not completed the proficiency assessment and claim no exemption. Before accepting a relevant appointment I would verify the current registration, assessment obligations and the company's applicable requirements with qualified advisers.
- I am studying collective board duties and the distinction between challenging a proposal and becoming its executive owner. Preparation includes financial statements, risk discussion and the obligations a product decision can create beyond its initial budget.
- My development work includes practising how to ask for evidence without prescribing the operational answer. I have presented to directors in my executive role, but have not yet carried responsibility for a board's collective decision or chaired a committee.
