Help directors examine the conditions behind a confident claim
My contribution to a board
I would help a board examine whether a management performance statement describes the decision actually being proposed. My experience concerns the timing, physical identity and observation limits behind maintenance evidence. It includes a prediction score I endorsed before discovering that later repair knowledge had entered its inputs. That mistake would shape my questions as much as the subsequent corrections. I would ask management to explain what its evidence supports, what it leaves unresolved and why the next commitment is proportionate. I would not prescribe a model, direct a service crew or make an engineering safety judgement. Directors with financial, operating and legal expertise would bring responsibilities beyond mine. The useful contribution is to connect a confident analytical claim to its real conditions while keeping management accountable for implementation. A board should receive a clearer explanation of the proposed undertaking, not acquire a second data office inside its meeting room.
Judgement in practice
01
Withdrawing my endorsement before the rollout became a commitment
The 2022 validation divided 1,200 episodes into 900 development and 300 test records, yet post-event closure fields remained among the inputs. I had endorsed the reported 91% score before examining their timing. After Ritu's challenge I withdrew that claim, authorised ₹67 lakh of reconstruction and supported holding the ₹2.8 crore rollout proposal. For a board, the question is whether the evidence matches the intended use, not whether a familiar testing procedure appears in the paper. I would ask management to preserve the cost already incurred and the uncertainty still present. Neither a corrected input specification nor an unspent proposal establishes a successful operating result.
02
Keeping unfinished observation in the reliability discussion
A study contained 360 component histories: fifty-four observed first failures, 246 reaching the common cutoff without that event and sixty earlier departures. I opposed presenting the average of completed failure times as expected fleet life. A ₹49 lakh review retained observation periods and reasons for departure for qualified analysis. On a board I would ask whether management's summary omits histories that could materially change its interpretation and whether assumptions about departure have been examined. I would not select a survival model in place of specialists. The oversight value is ensuring that a planning claim retains its evidence limits instead of becoming more certain as it moves through successive summaries.
03
Making the alert burden visible before approving its use
In a separate 10,000-episode evaluation, 600 alerts contained eighty confirmed events and 520 false alerts, while twenty events were missed. The 94.6% accuracy headline did not describe the service workload or those misses adequately. After ₹56 lakh of evaluation I supported a bounded shadow study rather than broad release on that metric alone. Directors should understand what response management proposes, who has authority over its consequences and what further evidence would justify expansion. I would not interpret eighty correct alerts as eighty failures prevented. The distinction between a prediction and an effective intervention is central to assessing the commercial account honestly.
My first year on a board
My first year would begin with the service relationships and decisions that make the prospective enterprise different from Qenvathi. Through the chair's agreed arrangements I would learn how management commissions analytical work, how engineering and commercial owners challenge it and which claims reach directors. I would examine a small number of completed decisions and one current proposal, focusing on how the stated evidence changed the commitment. I would also build my understanding of financial reporting, duties and the company's applicable governance requirements. The aim would be to ask better questions with colleagues, not to request raw datasets for a parallel study of my own. During the first annual review I would seek feedback on whether my contribution clarified management's reasoning and whether I was remaining at the right level of oversight. A committee role would follow the actual charter and demonstrated fit rather than be assumed from my CDO title.
Conflicts and their management
Qenvathi holds customer maintenance histories and works with engineering and service partners whose interests may intersect with a prospective board. Its employee management trust and industrial-services investor create additional relationships to examine. I would obtain Imran's consent and map material connections before progressing to confidential exchanges. No personal shareholding does not remove employment interests or access to sensitive knowledge. Repeated exclusion from central discussions could make a role unsuitable even if individual conflicts were disclosed. Applicable Companies Act independence conditions, SEBI LODR obligations where relevant, committee responsibilities and directorship limits would need company-specific professional review. The fictional registration does not complete that assessment. Twenty-three days must cover induction, reading, meetings and exceptional demands; I would not treat that allowance as a promise independent of the actual calendar. Customer component histories would remain protected and would not become material for demonstrating expertise to another company.
My independence statement
My lack of a personal holding does not settle independence. Employment, access to customer histories and relationships through Qenvathi's owners and partners require examination against the prospective company's actual circumstances before any statement is made.
