My contribution to a board
I would bring experience of decisions whose consequences continue after the initial commercial success. A life insurer can change channels, systems and leaders while policyholders still rely on undertakings made earlier. That perspective can help a board examine whether management's growth account includes the source of the business, the responsibilities it creates and the capability needed to sustain them. I would ask about the composition beneath a headline and the evidence beneath a completed milestone. I also understand that a board needs to choose, not merely accumulate questions. My contribution should clarify a consequential distinction and help colleagues assess the available course. I am neither an actuary nor a lawyer, and my executive experience would not replace their professional work or the expertise of other directors. The employer seat I have held sinceJuly 2019 provides board experience, but it does not establish independence for a different company or make an external committee chair role an automatic next step.
My first year on a board
My induction would begin with the proposed company's revenue model and the responsibilities that persist after a transaction. I would examine several recent decisions where management changed a product, channel, system or service, then follow what happened to existing customers and contracts. That should reveal how the organisation connects commercial proposals with operating ownership and specialist advice. I would learn the board's established way of challenging management, the committee remits and the financial measures directors use before suggesting additions. Through the chair, I would seek appropriate exposure to the people who administer continuing commitments, without creating a separate line of instruction. During the year I would ask for feedback on whether my questions sharpened a decision or added unnecessary detail. Sector-specific learning and governance preparation would remain active work. Familiarity with insurance does not make another company's obligations identical, and an experienced chief executive still needs to learn how to contribute within a different board's collective authority.
Conflicts and their management
My full-time Vaqruni role, its investors, distributors, service providers and professional relationships would all need consideration before an external appointment. I would not enter confidential discussions with a competing or materially connected business merely because the proposed title appeared non-executive. Employer and board consent, professional advice and a clear relationship map would precede detailed consideration. Where a recurring conflict would prevent participation in central decisions, declining the seat may be more appropriate than relying on repeated absence. Policyholder records, commercial terms and unpublished actuarial or financial material from my employment would remain protected. I would also review the calendar honestly: eighteen days must cover preparation and exceptional demands as well as scheduled attendance. My existing executive directorship counts in the assessment of relevant limits, and any new role would need the requirements applicable to its company checked. Independence is an appointment-specific judgement, not a personal description I can grant myself through this website.
My independence statement
My Vaqruni executive seat is not independent. Any external appointment would require a separate assessment of employment, commercial relationships, eligibility and independence under the requirements applicable to that company.
Judgement in practice
01Keeping a valuable partner and a concentration in the same decision
The ₹510 crore new-business premium account included ₹210 crore through one single-premium partnership and ₹300 crore from other routes. I had initially asked for a concise total that gave too little prominence to that composition. We retained the partnership while adopting a smaller immediate expansion and ₹1.7 crore of analysis and alternative-route development. Two additional routes later operated without yet removing the concentration. In a board role I would ask management to preserve both facts: a relationship can be commercially valuable and a source of dependence. I would also examine the cost and credibility of the proposed alternative rather than assume diversification is achieved by signing more agreements. The case illustrates a change in my own presentation and recommendation; it does not establish the profitability of a premium flow without finance and actuarial assessment.
02Paying for time without calling the transition complete
The platform-retirement review covered eighteen older policy variants and ninety service scenarios. Seventy-three scenarios had been demonstrated and seventeen needed further work at the first decision point. We approved ₹2.8 crore of additional legacy operation and retained an explicit review date. I would bring that balance to oversight: an unresolved contract treatment matters, but continued operation also costs money and retains risk. Directors should see what evidence would change the decision, who owns the work and what happens if it takes longer. A record transfer cannot alone demonstrate every future service, while delay cannot be justified indefinitely by a general appeal to caution. The account remains an unfinished transition with a defined expense, not a completed retirement or a quantified claim that losses were prevented.

The seat I am pursuing
I would consider one external non-executive role in a business where the board wants stronger examination of distribution dependence, continuing customer commitments or a legacy operating book. The sector could differ from insurance if the actual undertaking fits my experience and the relationships create no material conflict. A risk or strategy committee may be an appropriate place to contribute after induction and eligibility review; I am not proposing immediate chair responsibility. The board should already have complementary financial, legal and sector expertise. I have one employer executive seat, no external seats and no claimed independent status. IICA registration and any relevant preparation remain unfinished in this fictional account. I would value a chair who expects specific challenge, respects professional boundaries and wants directors to reach decisions together. The proposed role must be useful enough to justify the time and sufficiently compatible with my continuing responsibilities to be performed reliably.
