My contribution to a board
I would help a board examine the assumptions connecting a financial headline with the decision it is being asked to make. A positive margin per movement does not establish the performance of an asset over its earning cycle. A bank balance does not explain the commitments beside it. An allocated loss does not identify the costs closure would remove. My experience includes correcting a circulation assumption I had approved and retaining a depot when the proposed closure comparison did not support the apparent benefit. I would bring those habits alongside the board's operating and technical expertise, with an expectation of learning the new enterprise's own obligations and financial policies. The contribution is clearer collective judgement, not a parallel finance department or an assertion that every cautious option is best. Directors need the actual alternative, its cost and the evidence still required, including where management's earlier recommendation needs to change.
Judgement in practice
01Keep the investment assumption visible behind unit contribution
The defined pool contained 20,000 crates bought for ₹5 crore. At ₹110 revenue and ₹70 direct cost per cycle, twelve cycles implied ₹96 lakh contribution; eight actual cycles produced ₹64 lakh. Both amounts were before depreciation, overhead, financing and tax. I would help directors ask how the capital completes its earning cycle and what evidence supports an expected improvement. The positive movement margin should not be used as a substitute for an investment appraisal, nor should the ₹32 lakh shortfall be described as recovered cash when a forecast is corrected. I had approved the original assumption and would retain that accountability in the discussion. Oversight should hear the operating sequence and the deferred expansion consequence, while leaving condition and readiness decisions with the technical specialists qualified to make them.
02Separate a liquidity reserve from a statement about cash classification
The treasury illustration combined ₹3.6 crore bank cash, ₹1.8 crore refundable-deposit exposure and ₹1.4 crore known supplier payments. An internal reserve left ₹40 lakh before further commitments. The ₹1.2 crore capital proposal was phased, with ₹80 lakh still conditional. I would ask directors to examine the assumed refund timing, the expected replacement inflows and the consequences if those inflows arrive later. The reserve was a management choice for the approval, not a claimed statutory restriction or removal of the amount from cash. The smaller first stage also delayed capacity and could make a later purchase more expensive. A useful board account keeps those commercial costs beside the liquidity reasoning, rather than present the lower initial commitment as an uncomplicated saving or a universal policy for all deposit-funded situations.
03Test closure against the costs the enterprise can actually avoid
The depot's ₹30 lakh management loss included ₹90 lakh central allocation. On the stated annual comparison, closure lost ₹2.8 crore revenue and avoided ₹1.9 crore cost, worsening cash contribution by ₹90 lakh before other closure consequences. I would help directors distinguish a reporting view from a decision view and ask which commitments remain elsewhere. The analysis did not establish that the depot should stay indefinitely or that revising the paper created cash. It supported retention while management developed a more credible redesign. Additional closure costs, disposal proceeds, finance and tax still needed separate assessment. The board should receive that boundary and the next question, so it can challenge both a superficially attractive closure and an equally unsupported claim that the existing service has been vindicated.
My first year on a board
My induction would connect the enterprise's service cycle with its financial statements, investment policies and funding commitments. Through arrangements agreed with the chair, I would follow one significant capital proposal from operating assumptions to the board decision and the subsequent review. I would listen to technical, commercial and operating colleagues as well as finance, without creating an alternative management approval route. That should help me understand where a familiar-looking margin or allocation has a different meaning in this business. I would complete the relevant assessment preparation and study the committee's mandate and applicable duties before expressing a stronger role preference. The first-year review should consider whether my questions improved the board's understanding of an important commitment, whether I learned the enterprise beyond its reports and whether the agreed time allowed preparation and participation when a difficult decision required more than a scheduled meeting.
Conflicts and their management
Before receiving confidential material, I would examine links involving Vemqori's industrial-client consortium, other customers, suppliers, lenders and employee ownership vehicle. Employer consent and the practical effect of recurring conflicts would be reviewed explicitly. Qualified advisers would assess the applicable Companies Act independence conditions, SEBI LODR requirements where relevant, directorship limits and committee eligibility. I have no statutory seat, and databank registration is not presented as completed appointment readiness. The proficiency assessment remains unfinished. Twenty-five days must cover induction, papers, travel, meetings and exceptional demands. Private deposit records, client economics and lender information from my employment would not be contributed to another company. A disclosed relationship may still make a role unsuitable if repeated exclusions prevent meaningful participation in central decisions. I would decline an appointment whose conflicts or actual time requirements exceed the contribution I can responsibly prepare and deliver.
My independence statement
Vemqori's industrial-client shareholders, other customers, suppliers, lenders and employee vehicle require relationship review. I hold no personal or vehicle interest, but that alone cannot establish independence for a particular board role.

The seat I am pursuing
I would consider an industrial-services or reusable-asset enterprise that can identify a financial oversight need beyond routine executive reporting. Audit or risk committee participation may fit after eligibility review and induction, with no immediate chair claim. The board should include operating, legal and technical strengths so that the financial comparison remains connected to the service it describes. I would value a setting where management can acknowledge a failed assumption and bring a revised proposal without being pushed to invent a success story. I would not seek authority to certify physical asset condition or use private customer knowledge from current employment. The desired contribution is a careful examination of commitments and alternatives, grounded in relevant experience, adequate preparation and an honest understanding of the decisions that remain outside my expertise.
