Question the business commitment inside the market claim

My contribution to a board

I could help an industrial board examine the expectation attached to a market proposition and the evidence used to justify commercial spending. My experience includes a brand extension whose indicative income did not settle its responsibility, a communication programme whose activity was not a purchase decision and enquiry work whose result stopped short of qualification. I would ask management which stage the claim describes and what obligation the business accepts if customers interpret it as intended. That contribution should help the whole board assess the proposal, rather than turn a director into a campaign reviewer. I would need to learn the company's products, ownership and customer relationships before importing an analogy from belting. Technical, financial, legal and operational colleagues would bring essential perspectives. My usefulness would lie in making a commercial assumption clearer and hearing the competing explanation, not in treating marketing experience as authority over every part of the buying process. A good board conversation should preserve both the opportunity and the responsibility that make the decision consequential.

Judgement in practice

01

Examining the expectation attached to a proposed category extension

A proposed unrelated-goods licence offered an indicative annual minimum of two crore forty lakh rupees. We spent thirty-two lakh on review and declined because the category would have carried recognition beyond the technical and service responsibility we were prepared to assume. In a board role I would ask how management had examined the buyer's likely expectation, which specialists had reviewed the arrangement and what the income figure actually represented. The strongest argument for proceeding, earning from recognition without adding factory capacity, deserved to remain visible. Directors should understand why that argument was insufficient in the specific case. My contribution would be to question the enterprise commitment behind the name, while legal and technical owners retained their specialist authority. I would not turn this refusal into a universal prohibition on licensing or present an indicative minimum as lost recognised revenue.

02

Keeping the stage of a commercial result visible

Forty-six of sixty-two incomplete records acquired application-owner context through a sixty-four-lakh-rupee intake programme; sixteen remained pending. The reviewed list contained 184 leads. As a director I would ask what the improved measure establishes and which later decisions remain separate. An accepted commercial brief helps colleagues begin a useful conversation, but it is not technical acceptance, credit approval or an order. I would want the expenditure and displaced campaign attention explained alongside that result. Management should also retain the unresolved group so the board can understand the remaining work. The oversight question concerns the reliability of the investment account, not the wording of each enquiry field. My executive experience can help expose an inference that travels further than the evidence, while the receiving commercial and technical teams remain responsible for the actual buying process.

My first year on a board

I would begin by understanding how the company earns recognition and what customers expect when they encounter its name. Through the chair's induction arrangements I would meet commercial, technical, operations and finance leaders to learn how a proposition becomes an approved business commitment. I would read an investment proposal beside its follow-up, including an example whose commercial result was less complete than originally hoped. Site and customer-context visits should inform my judgement without creating a separate instruction route for the sales team. Financial reporting and collective duties would be an explicit preparation priority. I would ask the chair for feedback on whether my questions clarified the enterprise choice or drew directors into an executive detail. The first year should establish a proportionate contribution and a better understanding of the company's economics. I would also learn how disagreements reach the board, because a technical or operational concern can be obscured when a market opportunity is presented only through its most attractive commercial estimate.

Conflicts and their management

Vorzeli's customers, suppliers, agencies, installers, working founders, management trust and regional investor could have relationships with a prospective company. I would disclose relevant interests and examine the connections before receiving confidential commercial papers. Current employment creates obligations even without a statutory board seat. Customer information, unpublished campaign plans, technical descriptions and commercial terms should not pass between companies through an external appointment. An anonymised discussion of judgement is different from sharing the protected material behind it. If overlap repeatedly prevented participation in central decisions, stepping out of individual meetings might not make the role workable. Employer consent and time require equally early attention. Twenty-two annual days is provisional and must accommodate preparation, meetings, committee duties and exceptional demands alongside the CMO role. I would want the chair to understand those limits before a shared interest in industrial markets was taken as evidence of an uncomplicated fit. The assessment should cover the practical ability to contribute as well as formal eligibility.

My independence statement

I hold no statutory directorship. My employment, interests and commercial relationships would require company-specific examination against applicable Companies Act independence requirements, SEBI LODR conditions where relevant, committee duties and directorship limits. Marketing experience does not establish independence. I would seek qualified advice about the conditions of a proposed role before representing myself as eligible.

Board and committee exposure

Vorzeli Industrial Belting

Brand and market-development proposals through the CEO; no board or committee membership

January 2022 – Present

I present selected marketing commitments and follow-up through CEO Anju Belzhori. I have no statutory directorship, and presentation of an investment case does not give me a director's vote.

Governance learning and readiness

IICA Independent Directors’ Databank: Not yet registered

I have not yet registered with the IICA independent directors databank and do not claim an assessment pass or exemption. Registration, assessment and continuing requirements applicable to a proposed appointment remain part of the preparation I would need to address.

  • Executive presentations of selected marketing proposals through the CEO since January 2022, without statutory board service.
  • Preparation focuses on financial reporting, collective duties and the business meaning of commercial performance measures.
  • Databank and company-specific eligibility work remain ahead of pursuing an appointment.

The seat I am pursuing

I am exploring one first non-executive appointment in an industrial company where category choices or buying-process assumptions materially affect the business. A strategy or risk committee could fit after induction, with complementary technical, financial and legal expertise already present. I am not offering to chair a specialist audit committee or approve another company's product claims. I have not yet registered with the IICA independent directors databank; the applicable preparation and company-specific eligibility work remain ahead of pursuing a seat. My twenty-two-day allowance depends on employer consent and the actual calendar. I would value a chair who asks management to state the strongest competing view and to preserve the status of each commercial estimate. The role should use my experience to test the meaning of a proposition and its evidence collectively. It should not become a route for choosing an agency, directing a marketing team or carrying one company's customer relationships into another's opportunity pipeline.
