My contribution to a board
I would help a board examine the continuing obligations behind a visible growth account. An owned shop, a partner location and an acquired service operation can each contribute to a consumer business, but they require different evidence and resources. My experience includes closing a location I had sponsored, funding central support before extending a franchise proposition and treating integration as part of the acquisition recommendation. Directors should understand which parts of the network are operating, which remain in preparation and what customer responsibility continues after the transaction or opening. I would bring those questions while respecting the receiving company's executive authority. My own shareholding and current executive seat would be disclosed rather than treated as evidence of detached independence. Financial, legal and specialist operating advice remain necessary alongside my experience, and the board's collective judgement should not become a substitute for management's execution.
Judgement in practice
01The sunk opening investment did not settle the next store decision
The prestige shop's ₹2.3 crore opening investment and ₹42 lakh negative annual contribution described different parts of the account. I would ask directors to examine the remaining alternatives, including network effects and exit costs, rather than defend an earlier decision because it was visible or expensive. Our closure programme cost ₹68 lakh and included consequences for colleagues and customers. We did not claim that the negative contribution automatically became a recurring saving. I had sponsored the opening, so the board also needed to see that interest in the recommendation. An outside contribution would help directors separate the current choice from the story attached to the past, while leaving management responsible for the detailed transition and appropriate professional process.
02The acquisition price did not fund every obligation created by ownership
The bag-care purchase required ₹4.8 crore consideration and a separate ₹42 lakh integration programme. I would ask a board whether the investment recommendation includes the people, systems and customer routes needed after completion. The 120-case review showed seventy-four completed repairs, eighteen unsuitable and twenty-eight pending. That was an operating account with limits, not proof that every future request could be handled or that the investment had paid back. Directors should understand how management will report the continuing work and who retains qualified case authority. My contribution would be to connect the strategic reason for buying a capability with the funded responsibility for making it useful, without becoming the service manager or replacing advisers responsible for transaction assessment.
My first year on a board
I would begin by understanding the receiving company's network and the role it expects each part to play. With the chair and management, I would examine one investment or closure decision from its assumptions through implementation and later review. I would ask how the board distinguishes an approved location from a trading one, and an acquired capability from an integrated operation. Twenty-six annual days would need to cover induction, preparation, travel and unexpected demands, and must be tested against my current executive responsibilities. I would seek feedback on whether my questions improve the board's understanding or draw it into daily retail choices. A useful first-year contribution might make the cost of partner support or integration more visible before a commercial result can be measured. It should also give management room to explain why a previously attractive network decision now deserves revision.
Conflicts and their management
My current employment, directorship and 2%shareholding create interests that must be assessed in any outside appointment. Relevant relationships may involve our founders, investor, landlords, franchise partners, suppliers, service businesses and competing retailers. I would disclose those connections before receiving restricted papers and obtain appropriate advice on eligibility, independence and committee participation. I would not share our expansion plans, partner terms or acquisition material with another board, or use its information to benefit Kelqevni. Recusal may address a particular matter, but repeated exclusion from central retail decisions could make the appointment ineffective. Employer and board consent, where required, and a realistic time account are also necessary. I would decline a role whose intended contribution depends on divided obligations or confidential knowledge I cannot properly use. My existing executive board experience does not remove the need for this separate assessment.
My independence statement
My current seat is executive and I own 2%of Kelqevni. A prospective outside appointment needs its own eligibility, relationship and independence assessment; my existing directorship does not establish those conditions.

The seat I am pursuing
I would consider one outside non-executive appointment in a consumer enterprise where directors want stronger challenge on network investment and continuing customer obligations. An experienced chair should make the division between oversight and executive action clear. I have participated in collective board decisions from an executive position since July 2022, but an outside contribution requires a different discipline and further preparation. I would initially join a suitable strategy or operating-performance discussion as a member rather than claim immediate readiness to chair a statutory committee. The receiving company should explain which decisions my experience is intended to improve and how it obtains specialist advice. A suitable seat would value a question about support, integration or an exit decision without expecting me to negotiate its leases, manage its partners or direct its service colleagues.
