Make the product obligation clear to the whole board

My contribution to a board

I would help a board examine the assumptions behind a product commitment and the responsibilities that continue after its launch. A performance number depends on the duty it represents. A common assembly can leave a service exception in older equipment. A component transition can create inventory and redesign obligations at the same time. These connections influence capital allocation, customer promises and the capacity the company must retain. My experience can make them easier for directors with different backgrounds to question together.

I already serve as a non-executive director of Belverne Skills Foundation, a fictional technical-education organisation. That appointment began in July 2019 and is separate from my Caldriven employment. I have not chaired an audit committee or claimed that foundation service makes me ready for every industrial-board responsibility. Presentations to Caldriven's board are executive exposure, not another director appointment. For a new seat I would bring a product perspective and an expectation of substantial induction, contributing to collective oversight rather than offering to act as an additional engineering manager.

The seat I am pursuing

I am interested in an industrial company where directors need to understand both the development of new products and the obligations attached to older ones. A product-technology or strategy committee could use my experience, provided its work remains connected to the wider enterprise. I would prefer a chair who encourages specialists to explain their questions in language the whole board can use and who expects directors to learn beyond their original discipline. I do not seek a committee-chair title as a condition of joining. The fit would depend on the company's needs, the other directors' experience and the time and relationship review. A good appointment should strengthen management accountability without creating an informal alternative route for engineering instructions.

Judgement in practice

01

A favourable comparison with a condition that could reverse it

The pump comparison favoured design B over a defined twelve-hour duty, even though B drew more power at the third operating point. I would ask a board paper to retain that condition and show how the schedule affects the recommendation. The calculated 193.0 versus 184.8 kilowatt-hours do not establish an annual customer benefit. Directors can examine whether the product investment depends on a realistic application and what change would require reconsideration. That is a useful strategic question without asking the board to perform the test or select a pump from a catalogue.

02

A common product with a continuing service exception

The seal-cartridge programme created a common route for new production while retaining an original service part and a separately assessed conversion option for earlier equipment. I would help directors ask whether the simplification's cost account includes those continuing obligations. The C$420 conversion-kit parts cost excludes labour and other site work, and the programme did not convert the installed fleet automatically. Product investment should be examined together with the support promise left behind, rather than assessed solely by the apparent reduction in complexity visible in a new-production drawing.

03

A bridge whose two commitments need to stay connected

The component transition combined C$1.8 million inventory for an eighteen-month planning period with a C$2.7 million twelve-month redesign. The order was placed, but prototype preparation was not completion of the replacement's examination and release. I would ask management how consumption, schedule and residual exposure return to the board's attention. An inventory estimate is not assured coverage, and a drawing does not settle the service obligation. The board needs an accurate stage description and a clear basis for the next decision, including if demand or development progress differs from the plan.

My first year on a board

I would begin with the company's financial model and the promises made to its customers, including the product population already in use. Discussions with the chair and company secretary should establish expectations for my contribution and identify induction needs beyond my present experience. I would examine how the company earns revenue across initial sales, service and other activities, and how its current investment priorities relate to those sources. A product business may look familiar technically while carrying very different commercial obligations.

I would then seek an agreed introduction to product, service, finance and operating leaders. Following a small number of important programmes would help me understand how management describes assumptions and changes its decisions when evidence develops. I would listen for the gap between the new-product portfolio and the engineering required to sustain existing equipment. During the year I would ask the chair whether my questions are helping the full board rather than drawing discussion too far into technical detail. My aim would be to contribute an intelligible specialist perspective while developing a better understanding of the whole company's circumstances and responsibilities.

Conflicts and their management

My Caldriven role involves engineering suppliers, customers and product programmes whose relationships could be relevant to another appointment. Belverne's funding and education relationships also belong in the review. I would disclose the relevant connections and examine them with the company secretary and appropriate advisers before accepting, rather than assume that different organisational purposes remove every potential conflict. Employer consent and the handling of confidential technical information would need to be agreed. A later change in either organisation's relationships could require the assessment to be revisited.

The proposed time allocation is eighteen annual days for a new role, alongside twelve for the existing foundation seat: thirty external days in total. That includes preparation and reasonable travel as an initial planning basis, but the actual calendar and committee demands determine whether it is workable. I would not accept a role whose expected contribution depends on time I cannot responsibly provide. Unexpected matters also deserve a realistic discussion with the chair before the commitment is made.

My independence statement

My foundation appointment and executive role require a specific review of commercial, funding, supplier, customer and personal relationships for any proposed company. Existing service does not establish independence for a different board.
