My contribution to a board
I would contribute a habit of asking what a financial amount is being used to establish. A correct total may describe investment performance without being cash; a weighted mean may support planning without proving stress capacity; a supplier fee may omit work the enterprise retains. My experience includes an error of my own in which that distinction changed a recommendation. I would use these questions to support collective judgement alongside operating, people and sector knowledge from other directors. I would not assume that the CFO perspective replaces actuarial, legal or technical assessment, nor that a board should reconstruct every spreadsheet. The useful contribution is to reveal a condition that could change the decision, then understand how management and the relevant professionals have assessed it. I would expect colleagues to challenge whether my question is material and to show me where a financial interpretation misses the operating purpose. Clearer reasoning should make oversight more useful without creating an additional finance department inside the board.

The seat I am pursuing
I would explore one first non-executive appointment where disciplined financial questioning would complement the board's other capabilities. Finance, risk or audit work may be relevant only after the actual remit, qualifications, independence and eligibility are assessed. I do not infer committee-chair readiness from the CFO title or completed databank assessment. Registration and proficiency were completed in the fictional timeline, while company-specific learning and appointment review remain necessary. The proposed twenty-three days should include preparation and unusual demands alongside scheduled meetings, with employer consent. I would prefer a board that expects directors to understand why management wants to act before challenging the numbers supporting it. The role should use my experience to clarify a decision's conditions without making me the company's informal controller or the final authority on every professional estimate. I would want to be judged on contribution to collective oversight, including the ability to recognise when another perspective should change my interpretation.
Judgement in practice
01Restoring the distinction between a favourable movement and a receipt
My paper combined ₹6 crore coupon cash and ₹4 crore unsold appreciation, calling the total cash for an ₹8 crore refit proposal. I withdrew the recommendation and supported a ₹5.2 crore commitment against the defined ₹6 crore source, with permissions and capital and risk assessment separate. Directors can ask whether the measure supporting a recommendation has the state and availability the action requires. They need not decide investment treatment themselves to recognise that a valuation movement has not become a receipt. The ₹0.8 crore remainder is bounded to that source, and no company-wide liquidity or distribution conclusion follows. The case demonstrates why executive summaries must preserve meaning as well as arithmetic, including when finance itself sponsored the mistaken description.
02Keeping commercial comparison distinct from relationship assessment
The founder-affiliated records proposal totalled ₹7.6 crore after retrieval and internal oversight, compared with ₹7.4 crore for the unaffiliated option's defined annual scope. A separate ₹28 lakh review cost gave ₹7.68 crore for the selected first-year account. Directors can examine whether alternatives represent comparable work while ensuring that relationship, access and governance questions receive their own assessment. A price difference neither certifies terms nor proves service quality. My 0.8% employee holding and the founder holding company's 61% ownership remain relevant disclosures. The recommendation preserved those responsibilities instead of allowing either a familiar relationship or a lower model total to settle the whole decision.
03Asking what the average has left outside the capacity conclusion
Three illustrative cash scenarios of ₹0, ₹12 crore and ₹36 crore, weighted 40%, 40% and 20%, produced a ₹12 crore mean. Existing ₹18 crore capacity still left an ₹18 crore gap to the largest listed case. Retaining additional liquidity carried a ₹72 lakh annual planning opportunity cost under a stated 4% difference. A board can ask which question a summary measure answers and whether management has retained the conditions behind it. The weights are assumptions, not proven probabilities or regulatory capital. Addressing the listed gap does not establish protection against every future demand. The contribution is a decision that makes both capacity and its cost visible without pretending uncertainty has been removed.
My first year on a board
I would begin with the enterprise's economics, obligations and the board's actual decision responsibilities. Induction should explain which financial measures management uses, what those measures contain and where specialist judgement enters the account. Through agreed channels I would examine selected recommendations from their operating purpose through the assumptions and approvals supporting them. I would ask the chair whether my contribution clarifies a material condition or draws the board into detail that management should resolve. I would also learn from directors whose sector, people or customer experience changes the significance of an apparently simple financial comparison. A useful first year would show that I can connect evidence with collective judgement and revise my own view when necessary. I would not measure the contribution by the number of recommendations I caused to be delayed or by savings attributed to my questions. The aim is a more reliable decision process with appropriate responsibility, rather than a personal record of financial interventions.
Conflicts and their management
Before any sensitive exchange I would disclose employment, my 0.8% holding within the employee ownership group and relevant relationships with the founder holding company, corporate investor, advisers and suppliers. Qualified assessment must consider the receiving company and the matters likely to arise, including whether recurring exclusions would undermine the contribution expected. I would not bring protected policyholder, investment, pricing or commercial material from my employer into another institution's discussion. The absence of an existing board seat does not settle independence. Twenty-three provisional days require employer agreement and a realistic account of induction, reading, meetings, travel and exceptional duties. Financial reporting and investment work can create concentrated demands, so calendar availability alone would be insufficient. Relationships and capacity need review after appointment as well. If restrictions leave me unable to participate usefully or current duties prevent adequate preparation, I would raise that with the chair and reconsider the arrangement rather than retain a title that the work no longer supports.
My independence statement
My executive employment, 0.8% employee holding and relationships with the founder holding company, investor and service partners require disclosure and qualified assessment. No current statutory seat does not establish independence for a proposed appointment.

IICA Independent Directors’ Databank: Proficiency assessment passed
Fictional registration completed May 2026 and proficiency assessment passed August 2026. These facts do not settle appointment eligibility, independence or committee suitability for a particular company.
- Learn the receiving company's obligations and financial measures before relying on prior sector experience
- Develop collective oversight skills beyond executive recommendation and approval
- Review the actual committee duties, qualifications and practical capacity with qualified guidance
