The boardroom
An accurate total still needs a defensible interpretation
A board may receive an accurate number and still be led toward an inaccurate conclusion. My governance interest concerns that gap. I have presented finance matters to directors since becoming CFO of Qevmori in February 2020, but I have not served as a statutory director. The experience has taught me to ask what a report is being used to decide and whether its underlying evidence supports that use. It has not given me the collective responsibility or independence of a director merely through attendance.
The recurring-demand correction is an example of finance needing to examine its own presentation. A selected portfolio dashboard showed ₹24 crore under an annualised recurring label, including ₹3.6 crore of one-off commissioned studies. I had accepted the broad measure. Correcting the recurring component to ₹20.4 crore did not erase the project wins or restate statutory revenue. It changed the basis on which management could plan future capacity. A board should hear that distinction and my responsibility for the earlier label, not a story in which finance arrives late to correct everybody else.
The subscription case required another separation. A defined cohort paid ₹12 crore for twelve months of service beginning 1 January 2022. Its reviewed policy supported ₹3 crore revenue through March and ₹9 crore remaining contract liability, excluding GST. Directors needed the accounting judgement, the commercial achievement and the delivery obligation explained together. They did not need to prepare the entries themselves or assume the same treatment applied to every contract. Oversight is strengthened when management brings a clear account of the relevant policy and its consequences, with qualified review available for challenge.
I also want a board to distinguish a reporting allocation from the effect of an action. The research line showing ₹1.2 crore loss after ₹3.5 crore central allocations contributed ₹2.3 crore before those continuing costs. Closure would not remove the common expense over the reviewed period. That did not settle the strategic choice in favour of continuation. It meant that the proposed saving needed correction before directors could assess alternatives, including the opportunity cost of retaining research capacity. A board should ask for the decision comparison rather than let an allocated result make the choice on its behalf.
Supplier commitments and currency scenarios require the same care about meaning. A ₹3 crore annualised price was available only within a ₹9 crore three-year licence; it was not a one-year offer the company could purchase independently. A US$1 million cost converted at ₹84 or ₹94 produced a ₹1 crore sensitivity, not a realised loss or a forecast of exchange rates. Directors should understand the actual commitment and the status of each assumption. Treasury, procurement, research and qualified advisers retain their respective work, while the board examines whether management has connected the risks and resources coherently.
For a first external appointment, I would need to learn the receiving company's business and reporting context before treating these examples as relevant. A subscription model does not determine every service company's accounting, and a finance perspective does not replace research, legal or operating judgement. I would seek committee membership under an experienced chair after the appropriate review and induction. I do not claim immediate readiness to chair an audit committee simply because I have spent many years explaining financial matters to one.
My fictional IICA databank registration began in May 2026. The proficiency assessment is not yet passed, and I claim no exemption. Relationships through Qevmori's founders, strategic investor, employee vehicle, clients and data suppliers must be considered in any appointment assessment. Applicable Companies Act independence requirements, SEBI LODR provisions where relevant, and committee or directorship conditions require qualified review. Absence of a shareholding or current seat is not a substitute for that work.
I provisionally reserve twenty-six days, subject to employer consent and a realistic account of preparation, induction, travel and exceptional demands. I would not use licensed research or confidential customer material to make myself appear useful on another board. The contribution I seek is a careful examination of what management's figures establish, what they leave uncertain and what decision follows. That includes willingness to correct the report I previously accepted, and to listen when another discipline shows that finance has answered the wrong question accurately.
On governance
Before a number decides the argument, I ask what it represents and what would change if we chose differently. An accurate total can still answer the wrong question.
