Help the board see the undertaking inside the opportunity

My contribution to a board

I would help directors examine how a proposed opportunity becomes a business the company can responsibly own. A portfolio total, a long service term or an equipment value can conceal conditions that matter to the decision. My experience is in connecting those conditions across functions and making a recommendation that retains costs, alternatives and uncertainty. I would bring the mistake in my own additive portfolio account alongside the proposals I challenged. My exposure remains executive presentation rather than statutory board service, so I would need induction and complementary expertise. I would not direct another company's engineering, negotiate its site agreements or take over its financial judgements. The useful contribution is to clarify the choice management is asking directors to make and the assumptions that would change it. That should strengthen accountability while leaving the operating work and specialist conclusions with their responsible owners.

Judgement in practice

01

Correcting the portfolio interpretation I had endorsed

I approved the addition of twelve standalone estimates to 19.2 GWh a year before the interaction of the measures had been adequately examined. A ₹72 lakh review produced a package model of 11.4 GWh under stated assumptions, and three pilots received ₹2.6 crore approved expenditure. Neither estimate was measured savings. For a board, I would ask whether the proposed combination has been assessed as a combination and whether management distinguishes a forecast from an operating result. The earlier approval should remain in the account rather than be recast as a technical detail discovered by somebody else. Directors need to understand the revised proposition, the cost of learning and the scope actually being committed, while qualified technical and financial owners retain their assessments.

02

Keeping unresolved site relationships outside a wider commitment

The seven-year service proposal covered twenty-one sites, but only nine had compatible tenure arrangements at review; twelve remained unresolved. After ₹39 lakh of assessment, a four-site ₹1.7 crore pilot replaced the wider ₹8.4 crore proposal. The routes had different scope, so their price difference was not a like-for-like saving. I would help directors ask which continuing conditions the business model depends on and whether those conditions have been established for the commitment before them. An unresolved site can remain an opportunity without becoming an approved basis for spending. Legal and commercial owners must assess the actual arrangements. The board's task is to understand the implications and alternatives, including the customer momentum surrendered by a narrower route.

03

Questioning whether activity demonstrated a viable acquisition route

Ninety-six free assessments cost ₹84 lakh. Fourteen had produced paid follow-on work with ₹36 lakh fees at the review date, while eighty-two had not progressed. Those figures did not establish a complete profit result or the eventual value of every relationship. We approved a six-client paid-scoping trial with ₹24 lakh expense to examine another route. I would ask a board to distinguish the purpose of preliminary work, its cost and the evidence of later business before treating a large activity total as strategic progress. Technical findings must remain independent of pressure to convert every prospect. A new trial also needs a bounded learning purpose rather than an assumption that charging early has already solved the commercial problem.

My first year on a board

I would start by learning how the prospective company acquires customers, commits resources and remains responsible after a service begins. Through the chair's agreed process, I would examine a few recent investment and portfolio choices, including one that management narrowed or stopped. I would ask how the board sees cross-functional assumptions and how unresolved conditions are carried into later decisions. My economics and strategy background would need to be complemented by preparation in the company's financial reporting, legal duties and sector obligations. I would avoid requesting private project records merely to repeat analysis already owned by management. During the first annual cycle I would seek feedback on whether my questions make the alternatives clearer or draw the board into unnecessary operating detail. The aim is a contribution to collective judgement that improves the decision account without creating a second strategy office inside the board.

Conflicts and their management

Zemlavi's engineering parent, private-fund owner, customers and equipment suppliers may connect with a prospective board opportunity. I would map those relationships and obtain Priya's consent before private discussions. My lack of personal equity does not remove employment interests or obligations attached to confidential project information. A role that repeatedly excluded me from central decisions could be unsuitable even if individual conflicts were declared. Applicable Companies Act independence conditions, SEBI LODR requirements where relevant, committee responsibilities and directorship limits require competent review for the actual appointment. The fictional assessment result does not settle those questions. Twenty-six provisional days must cover induction, reading, meetings, travel and unexpected work, not only scheduled attendance. I would not bring customer energy records, site agreements or supplier terms into another boardroom without proper authority. The proposed contribution needs a credible basis in both time and freedom to participate before a nomination is pursued.

My independence statement

The proposed company's actual relationships and applicable conditions would need review before I made an independence statement. My employment, access to project information and connections through owners and customers remain relevant despite having no personal equity.

The seat I am pursuing

I would consider one industrial service or specialist project company whose board wants a clearer account of the assumptions connecting opportunity with commitment. A strategy, investment or risk committee could be relevant after induction and assessment of the actual remit. I offer no committee-chair history or prior independent-director appointment. The company should explain why my perspective is useful alongside its existing expertise and where it needs a different contribution. I would look for a board that can examine a smaller proposition without treating reduced scope as an automatic failure of ambition. Employer consent, relationship review and a workable calendar remain necessary even with the fictional preparation milestones recorded here. An initial conversation should establish that fit and the learning required, rather than assume that a long executive career completes preparation for collective oversight.
