I could help a board examine the customer's decision behind management's commercial account. A favourable technical response may leave other approvers unconvinced; a lost proposal may reflect timing rather than price; a campaign may generate expectations that the service calendar cannot support. My experience is in making those distinctions usable for executive decisions. On a board I would bring questions and evidence through collective discussion, not direct another company's marketing team. I would also expect colleagues with financial, legal and operating expertise to challenge my interpretation. The contribution depends on learning the enterprise's own buying relationships rather than assuming that a structural-services model applies everywhere. I would want management to leave the discussion with a clearer decision to make, not a second campaign brief supplied by a director who has not earned the authority to run it.
Judgement in practice
01
Looking beyond the most receptive buyer
I approved an engineering brochure that left operating and financial questions disconnected. A ₹74 lakh programme used thirty selected interviews across ten organisations to revise the account. Eight of twelve later discussions involved multiple buying functions, with four pending. As a director, I would ask what agreement management assumes when it reports customer interest and which people still need to make a decision. The observations do not prove higher conversion. Oversight should examine the meaning of the evidence and the next commercial judgement, while leaving the detail of communication and customer engagement to the responsible executives.
02
Questioning the convenient reason for a lost assignment
Eleven of fifteen selected former prospects spoke with us in a ₹29 lakh study. Their reported reasons included timing, scope, fees, deferred procurement and an incumbent relationship. I would ask whether a board's discussion of competitiveness rests on evidence or a repeated closing label. The sample cannot establish a market-wide cause, and four non-participants should not receive invented explanations. Two fee concerns still deserved commercial review. My contribution would be to make the distinctions explicit so management can choose a proportionate response, rather than use research to excuse weak performance or prescribe a discount for every refusal.
03
Keeping the delivery dependency inside the growth plan
Operations supported four of six campaign waves in the proposed appointment window. We released four and rescheduled two. Of ₹96 lakh approved, ₹58 lakh was spent and ₹38 lakh remained unspent at review. I would ask a board whether growth communication assumes capacity or permissions the enterprise has not established, and how management will decide the remaining programme. The balance was not a realised saving and the delay had no measured revenue impact in this case. Directors should understand the commitment and resource choice without taking over professional staffing or deciding campaign execution from the boardroom.
My first year on a board
I would begin with the company's service model and the way its customers reach a decision, alongside the financial statements and obligations that shape its options. Through induction agreed with the chair, I would review selected completed propositions, a current investment and the evidence management uses to explain lost or deferred business. I would listen to operating and qualified practice owners as well as commercial leadership. That should reveal where my experience is relevant and where it needs adjustment. My preparation would include the applicable director responsibilities and completion of unfinished assessment work where required. A committee contribution would follow its actual charter and demonstrated fit. At the first annual review, I would ask whether my questions made decisions clearer and whether I had maintained the distinction between scrutiny and executive ownership. I would not arrive with a predetermined marketing programme.
Conflicts and their management
Vezqami's clients, technical partners and communication suppliers may overlap with a proposed appointment. The three ownership vehicles create additional connections to examine. Employer consent and a relationship review must precede confidential discussions, and recurring exclusion from important matters may make a role unsuitable even where disclosure is possible. Applicable Companies Act independence conditions, SEBI LODR provisions where relevant, committee requirements and directorship limits need company-specific professional review. I do not treat lack of personal shareholding as an answer to every employment interest. The provisional twenty-three days must cover induction, reading, meetings, travel and unusual demands alongside my current role. Confidential building reports, bid details and client conversations would remain protected. An appointment that depended on bringing those materials or relationships into another company's commercial advantage would be a poor fit, regardless of the title offered.
My independence statement
Employment at Vezqami links me to clients, suppliers and its family, employee and investor ownership vehicles. No personal equity does not remove those interests. Independence and practical participation require examination of the actual prospective company, relationships and applicable conditions.
