The seat I am pursuing

I would explore a first non-executive appointment with a chair who wants strategic alternatives compared honestly. My existing exposure is executive presentation and reporting rather than statutory service. Further preparation and assessment of the actual company would precede acceptance. I could contribute to strategy, commercial-model and capital discussions alongside established financial, legal and governance expertise, without presenting myself as ready to chair a statutory committee. The chair should explain which assumption directors find difficult to test and whether management is willing to present the strongest case against its recommendation. I could be useful where a smaller top line can be considered without embarrassment and a deferred investment remains a visible choice. Technical owners would still determine input suitability and release; finance and professional advisers would retain their own responsibilities. The board contribution would concern the quality of the commitment directors choose to make.

My contribution to a board

I could help directors understand the commitment hidden behind a growth number. The issue may be whether an input is actually eligible, whether a larger revenue model transfers ownership risk or which opportunity must wait when capital is scarce. My own unsupported expansion endorsement gives me a reason to examine the premise before defending the preferred case. I would begin with the receiving company’s economics, delegations and assurance arrangements. The board should see the alternative in a fair form and understand which conclusions depend on qualified owners. My contribution would not be a technical judgement about casings or a prediction that the proposed financial results will occur. It would make the choice easier to scrutinise by keeping the input condition, the ownership burden and the deferred option visible beside the recommendation management wants directors to accept.

Judgement in practice

01

The expansion needed an eligible input rather than a collection total

The selected account contained 2400 collected casings, but qualified assessment accepted 1500 and excluded 900 from the proposed process. I would ask directors which input the investment case actually needs and how management knows that input will be available. The collection number was not false; the inference I supported was too broad. The correction did not establish a universal acceptance rate or an avoided loss equal to the proposed ₹6.8 crore capital. Oversight should examine how technical conditions enter the commercial model and whether an owner can challenge a preferred assumption before commitment. Directors should not decide individual casing eligibility themselves. They need to understand the evidence, the limits of the selected review and the further work required before a revised expansion proposal could responsibly return for consideration.

02

A larger top line could represent a different role for the enterprise

The illustrative service model showed ₹0.6 crore direct contribution and ₹0.4 crore working capital, while the trading model showed ₹0.7 crore contribution and ₹2.2 crore working capital. I would ask directors what changed in the enterprise’s ownership and funding commitment, not only how much larger the proposed revenue appeared. The contributions excluded central costs and study expense, and neither represented realised profit. The strategic question was whether the additional role was justified under the stated assumptions. I could help a board examine that comparison alongside financial and professional advice without claiming the model had settled every contractual or technical condition. Management should explain what evidence would change its recommendation and how the alternative could be reconsidered. A precise table is useful only when the different business commitments remain visible inside it.

My first year on a board

I would select one material growth proposal and follow its central assumption through the evidence supplied to directors. Through the chair’s agreed process, I would meet strategy, finance, operations and relevant technical owners to understand which conditions each can establish and which remain uncertain. I would examine the strongest unselected alternative alongside the preferred case. The comparison can reveal whether management has made a choice or merely presented its preferred option in more detail. Twenty-four proposed annual days must include preparation, learning, meetings and exceptional demands. I would ask the chair whether my questions improve collective judgement or draw directors into preparing management’s models. At the first-year review, I would want a significant investment discussion to explain its usable inputs, ownership implications and deferred opportunities more clearly. I would also ask whether a changed assumption can bring the choice back for reconsideration before the original recommendation becomes an obligation defended by habit.

Conflicts and their management

My role provides access to fleet relationships, commercial models, capital proposals, technical assessment summaries and private growth plans. I would disclose the beneficial 0.1% employer interest together with employer, investor, customer, supplier, research-provider and adviser connections before receiving another company’s confidential material. That company must assess eligibility and independence in its own setting, and my employer must agree to a realistic outside commitment. I would not use a competitor’s private expansion model or customer terms to benefit my present role. An occasional overlap may allow recusal, but repeated exclusion from the main strategy or capital agenda could make a seat unsuitable. Capacity must allow for a major investment or commercial decision in the continuing CSO appointment. I would decline an arrangement expecting proprietary market access or an informal technical endorsement from a director. The contribution should strengthen the board’s collective choice through accountable management and qualified advice.

My independence statement

My beneficial 0.1% employer interest and executive access require disclosure alongside investor, customer, supplier, research-provider and adviser relationships. The receiving company must assess independence for its own circumstances.
