The mandate
The acquired India hub combines proprietary analytics, founder-led client work and engineers promised continued startup autonomy. Integration plans assume it can become a global GCC nucleus, yet client statements restrict reuse, IP provenance is uneven and no successor exists beneath two earn-out executives. Directors need to decide what should scale, remain ring-fenced, transfer or close before approving another hiring wave.
The adviser will spend three days monthly examining one conversion decision from evidence through board implication. Eight monthly founder-and-sponsor challenges, three committee appearances and two India residencies form the full cadence. Material concerns about IP provenance or client commitment are raised directly with the committee chair after counsel has assessed privilege; ordinary integration questions wait for the next decision review.
This appointment runs for eight months and terminates after the board approves or rejects the conversion investment case. Renewal would be considered only if a delayed regulatory or client condition creates a genuinely new decision, with revised conflicts and scope recorded first. The adviser does not remain through operational integration simply because a conversion is approved.
No line authority or executive responsibility attaches to the role. Management controls founders, employees, clients, budgets and integration delivery; counsel determines contractual and IP positions; directors approve capital and acquisition remedies. The adviser may challenge assumptions and recommend ring-fencing, but cannot amend earn-outs, direct personnel or promise a client outcome.
Holdings or current work involving treasury platforms, acquisition targets, private-equity sponsors, audit firms, India GCC developers, executive-search providers or affected clients constitutes a conflict for disclosure. The chair may narrow document access or require recusal. The adviser must not accept referral fees, transaction consideration or compensation linked to headcount expansion or earn-out outcome.

Deal sponsors are invested in proving the acquisition thesis, while founders benefit from preserving autonomy and future earn-out value. Integration teams measure role migration before establishing which assets and relationships can be shared. An independent acquisition-and-GCC operator can challenge conversion economics without replacing legal, client or management judgment.

- Examine conversion economics including integration, duplicated functions, control uplift, platform migration and forgone external revenue.
- Shape gates for IP confirmation, client consent, security readiness, product ownership, leadership depth and scalable demand.
- Probe whether startup practices create valuable speed, unmanaged key-person risk or controls unsuitable for treasury customers.
- Frame board choices to scale, isolate, integrate, licence, divest or stop each capability with explicit assumptions.

- Governed acquisition of a specialist software or analytics hub later converted into a multinational capability centre.
- Distinguished reusable intellectual property from client-funded assets, founder knowledge and contractually ring-fenced data.
- Challenged earn-out incentives and retention arrangements while preserving scarce engineering continuity and client trust.
- Built investment gates covering product demand, control readiness, leadership succession, integration cost and acquisition downside.
- Stopped or narrowed a politically sponsored GCC conversion when evidence did not support scalable enterprise ownership.
- Advised transaction committees independently of sellers, investors, advisers, recruiters and India location providers.

- Can complete both India residencies and three Dublin governance reviews within the eight-month appointment.
