The mandate
A prestige-beauty group plans to transfer regional brand rights into a jointly owned Asian platform. Historic economics are buried within bundled distribution margins, parent-funded campaigns, marketplace fees and transfer prices for finished product. Several fragrance and accessory extensions carry different quality-control obligations. Directors need an arm’s-length value range and royalty architecture that reflects who sustains demand, not merely global brand awareness.
Over twelve weeks, the principal deliverable is a brand-rights perimeter, attributable-revenue model, relief-from-royalty valuation and commercial sensitivity book. Milestone one settles rights, products, territories and channels in week three; milestone two reconstructs revenue and brand investment in week six; milestone three develops benchmark and functional ranges in week nine; milestone four supplies committee-ready values, limitations and negotiation variables.
The client will provide trademark registers, licence agreements, channel sales, distributor terms, marketplace data, marketing expenditure, consumer research, transfer prices, product margins, extension approvals, protection costs, forecasts and tax-adviser parameters. Acceptance requires brand revenue to reconcile to reported sales, selected comparables to retain inclusion logic and adjustment evidence, and client analysts to reproduce base and two downside cases.
The consulting team will not issue a tax, legal, accounting or fairness opinion; negotiate the joint venture; determine trademark ownership; set transfer prices; approve campaigns; or certify consumer forecasts. It may illustrate consequences of counsel-confirmed rights and tax-supplied parameters. Management remains responsible for representations, strategic forecasts and actual licensing decisions.
The model must distinguish core marks, local names, licensed extensions, customer relationships, distribution capability and parent marketing services to avoid attributing all earnings to one intangible. Sources, translations, currency, useful life, tax effect, discount rate and benchmark adjustments will remain editable. Support for authority filings, audit defence or future royalty true-ups falls outside this engagement unless commissioned separately.
Why this is external work
Regional teams and the parent disagree over whether brand, route to market or local investment creates incremental profit. Existing transfer prices answer operating needs but do not provide a transaction valuation. An independent specialist can join consumer evidence, licence terms and functional economics within a compressed timetable while leaving ownership and tax conclusions to designated advisers.

- Separated trademark economics from distribution, formulation, customer relationship, marketing service and manufacturing returns.
- Reconciled marketplace, distributor, owned-channel and licensed-extension revenue into an auditable rights perimeter.
- Presented value ranges to independent directors and tax or audit specialists without overstating precision or issuing opinions.
- Worked across translated intellectual-property records, regional consumer data and confidential related-party transaction settings.
