The boardroom

Ask which claim the assurance actually supports

I would help a board examine the meaning of a financial amount before deciding what it says about the enterprise. A quantity may be dependable as an operating measure and unsuitable as the basis of an invoice. A service estimate may be careful within five years and inadequate for an indefinite promise. A combined programme may be commercially relevant without belonging entirely in the company's order account. These distinctions can determine the commitment management is asking directors to support.

The billing correction is also an account of responsibility. I had approved the counter that used image files when the relevant agreements required eligible pages. Correcting twelve invoices through ₹23 lakh credits and changing the control cost money and required an explanation of my earlier judgement. A board should understand whether management can challenge a measure after it has acquired authority through senior approval and system consistency. The question is not whether every number deserves suspicion, but whether assurance addresses its definition as well as its arithmetic.

The service-duration case requires attention to the boundary of the model. The proposed receipt was compared with costs for only part of the promise. We changed the proposition to a defined term with responsibilities the parties could assess. I would ask directors to examine what supports any period beyond the estimate and whether the commercial language gives customers a different impression from the funded plan. Technical preservation and client rights need their proper owners; finance should not turn a contract horizon into permission to disregard those obligations.

Partnerships introduce another boundary. The consortium's combined programme had value as context, but separate customer contracts described our work and the partners' work. The management paper needed both facts. I would want a board to understand the company that sits behind a headline: which entity has promised what, which responsibilities remain ours and which amounts describe other participants. Actual accounting treatment requires the relevant assessment, not an assumption drawn from a payment route or a label used in a sales presentation.

Purchasing and cash decisions should also retain their alternatives. The usage-credit comparison showed a lower unit rate with a larger nonrefundable commitment. The settlement proposal priced a shorter wait for cash. Neither could be decided responsibly by a percentage alone. I would ask whether the quantities, periods, fees, access conditions and risks are explicit, and whether management has distinguished the first model from the result later achieved. A sensible decision should be able to state the circumstances in which another choice would have been preferable.

An outside board contribution would require more than repeating the CFO role. I have executive presentation experience but no statutory appointment. I would need to learn the receiving company's business, duties and principal risks, including matters beyond finance. Audit, risk or strategy committee work may be appropriate after the needs and requirements are assessed. I would seek complementary operating and legal expertise, and a chair who can help me move from supplying an executive answer to contributing to collective judgement about management's account.

Relationships and confidentiality need continuing attention. Qevsuli's investors, founders, clients, partners and suppliers may overlap with another company's interests. Qualified advisers should assess the particular circumstances under applicable requirements. Absence of a personal allocation does not determine independence, and recusal may be inadequate if the overlap prevents useful participation. I would not move private invoices, forecasts or customer records between organisations to make an outside opinion appear better supported. Experience belongs in the questions, while confidential evidence stays with those entitled to hold it.

My fictional preparation includes May 2026 databank registration and a September 2026 proficiency-assessment pass, without a claimed exemption. Those facts do not establish suitability for a particular appointment. Twenty-six days is provisional and must include induction, reading, meetings, travel and exceptional demands alongside the executive role. Employer consent and actual capacity come before commitment. I would seek a specific reason the board needs this contribution and remain willing to decline if the role's relationships or demands make it impractical. Financial clarity should support the enterprise's judgement, not become a reason to accept a title without the conditions needed to serve it responsibly.

On governance

I want the amount in a financial paper to remain attached to what it represents. An image file is not necessarily the page a contract allows us to bill. A five-year cost estimate cannot price an indefinite service promise. A consortium's combined programme is not automatically our company's order book. Finance should make those distinctions useful to the decision, including when correcting them reduces a headline or exposes an assumption I had previously accepted. Precision in the calculation matters, but it cannot repair an incorrectly defined unit, period or responsibility.

Contact

I am interested in a first outside board contribution after assessing the specific need, relationships and capacity. I have no statutory seat. Fictional IICA registration began in May 2026 and the proficiency assessment was passed in September 2026; those preparation facts do not determine appointment eligibility or independence. Twenty-six days is a provisional external allowance.
