The boardroom

Make the proposal's assumptions visible to the whole board

My potential contribution to a board concerns the meaning carried by the financial account. A number can reconcile to a source and still leave out a condition material to the decision. The accepted-output unit, the date on a cash commitment, the title to material or the threshold in a rebate agreement may determine whether the proposal is supportable. I would help directors examine those connections while recognising that collective oversight has to encompass the whole enterprise, including people, sector obligations and risks beyond the parts of finance I know best.

I include my own 2018 error because governance needs an account of how an executive responds when a preferred interpretation is challenged. I divided ₹24 crore of operating-planning spend by 600,000 starts and allowed ₹400 per start to be read as the spend per accepted set. Accepted output was 480,000 sets, giving ₹500 on that planning basis. Arun's challenge required me to reopen the proposal before price approval. Technical acceptance did not change to accommodate the financial answer, and the comparison was not asserted as a statutory inventory valuation. The correction belonged with the person who had prepared and supported the interpretation.

Resource timing presents a related oversight question. US$4 million received in June and US$2.5 million payable in December produce a clear annual net, but the interval still needs a plan. We retained the later payment amount from the June proceeds through the approved treasury process. The decision reduced flexibility and did not create an exchange gain or another expense. I would ask a board whether a management summary makes the relevant dates and reservations visible before it approves another commitment. The useful question concerns what the enterprise can rely on, at which time and under which conditions.

Our borrowing-base correction shows why a source record's purpose matters. The warehouse held ₹14 crore of stock, including ₹5 crore of customer property. The invented facility's reviewed eligible company-owned base was ₹9 crore; at its agreed seventy per cent advance rate, the amount was ₹6.3 crore rather than ₹9.8 crore. We corrected the submission before borrowing. A board should understand that the smaller figure removed unsupported draft headroom, rather than assuming stock had been lost or a previously valid facility had been withdrawn. Custody obligations and financing entitlement remained separate.

Other financial interpretations require similar care. A rebate condition based on net accepted purchases was not met after returns reduced the count below the contractual threshold. An internal allocation moved an ₹8 crore support account between product groups without changing total company cost. I would want those changes described precisely enough that directors could distinguish operating performance from a revised assumption or presentation basis. This does not require every board paper to become a detailed accounting manual. It requires material conditions to survive the process of making the paper concise.

I have presented finance and funding matters through the CEO but have not served as a statutory director. The earlier finance-director job title did not constitute a board appointment. For a first outside role, I would need to learn the receiving company's business model and responsibilities, develop effective non-executive practice and work with complementary expertise. I would not use a CFO title to imply automatic readiness to chair an audit committee. My fictional March 2026 IICA registration and September assessment pass are preparation, with no exemption or appointment-specific eligibility conclusion attached.

Relationships also need a complete account. I am a beneficiary of Merqavi's employee trust and work within an enterprise owned by that trust and an overseas industrial parent. Customers, suppliers, financing providers and advisers can create relevant connections even without direct personal equity. Those interests, employer consent and the proposed company's applicable requirements need qualified review before confidential papers are shared. Disclosure should continue as circumstances change. Twenty-six provisional days must cover induction, preparation, travel, meetings and exceptional work; the published calendar alone would not settle capacity.

I would seek a board that welcomes a precise question without mistaking precision for certainty. My experience can help test the financial proposition, but another company may have different rights, measures and appropriate choices. The contribution should make management's account easier to understand and challenge, while leaving execution and specialist approvals with their proper owners. I would want the final decision to retain its assumptions, alternatives and concessions, so that a later result can be assessed against what the board actually understood when it committed the enterprise.

On governance

I want a financial number to retain the conditions that make it useful. A set started is not necessarily a set accepted. Two dollar amounts can fall in different months. Stock in our warehouse can belong to a customer. Those distinctions should shape the proposal before a favourable total makes the decision look finished.

I am considering a first outside board role where manufacturing economics and contractual resource constraints matter. I have no statutory directorship. This invented career includes March 2026 IICA registration and a September assessment pass, with no exemption. Twenty-six provisional days, employer consent and a review of trust and commercial relationships would precede any appointment.
