Test the employment commitment behind the assurance

My contribution to a board

I could help directors examine the practical meaning of an employment commitment. My experience includes paid learning arrangements, entry-pay decisions, concern-handling routes and specialist progression. I would ask management to explain who can use the practice, what resources support it and what the reported result actually establishes. The financial consequence belongs in that account: cover has a cost, a salary correction continues into future years and a specialist grade should describe work the business needs. I would also distinguish employment design from professional judgement that belongs to qualified leaders. My experience in diagnostics does not make me a clinician or laboratory scientist, and a board contribution should not depend on pretending otherwise. I would want to understand the prospective company's own work before proposing a familiar practice. The useful contribution is a clearer collective decision about people and the operating model, including the limits of the evidence management can currently provide.

Judgement in practice

01

The thirteen arrangements remained part of the commitment

After we funded paid learning and cover, 113 of 126 participants completed within scheduled paid time. Thirteen still required an arrangement. I kept that remainder in the executive account instead of describing a high completion count as universal implementation. On a board I would ask what the measure means, which population it covers and who remains outside the reported result. Directors should understand the resources and responsibility for the remaining work without taking over individual schedules. I would also distinguish participation from professional competence, which requires different evidence and qualified assessment. A programme can make useful progress while a material question remains open. Oversight is stronger when that question survives the summary and returns with a responsible owner, rather than being removed by the wording chosen for a favourable headline.

02

A pay correction did not settle every fairness question

Our entry-pay review covered ninety-six recent hires in four support grades and corrected thirty-one salaries at ₹42 lakh annualised cost. I described that population and stopped short of claiming company-wide equity. In another board setting I would examine the scope behind a broad people assurance and whether the recurring financial effect is clear. Directors can ask what work the method values, how exceptions are examined and which questions remain outside the review. They should not become an approval desk for individual offers. I would want management's explanation to employees to match the account presented to the board, so a bounded correction is neither dismissed as insignificant nor used to support a larger conclusion that its evidence cannot bear.

My first year on a board

I would begin by learning the company's operating model, professional responsibilities and ownership expectations. Through the chair's induction process I would study recent people and financial papers, meet the relevant executives and examine a few decisions from proposal through implementation. I would include a case that did not achieve the intended result, asking how the board learned about it and what management did next. I would seek to understand the committee responsibilities before discussing where my contribution would be most useful. During the year I would pay attention to whether employment commitments are described consistently in board papers, management practice and staff explanations. I would not assume that a method from regional laboratories transfers unchanged to a different workforce. I would also seek feedback on whether my questions support oversight or draw me into operating HR from a non-executive seat. By the end of the year I would want a grounded understanding of the company's work, the limits of its people measures and the practical preparation time required to contribute responsibly.

Conflicts and their management

A proposed role would need review against Velmori's laboratories, referral and service relationships, suppliers, investors and potential business interests, together with my own financial interests and relevant family connections. A connection may arise through an owner or partner even when the company name appears unrelated. I would obtain employer consent and the necessary advice before receiving confidential material. I would not use board access to obtain employee information, commercial intelligence or professional records for my current employer. Relationships and responsibilities can change, so disclosure must remain active after appointment. If recurring conflicts prevented participation in central decisions, I would question whether the role remained workable rather than treat repeated withdrawal as an adequate permanent answer. The chair and appropriate advisers should examine uncertainties early. My interest in people oversight would not justify accepting a position where the material I could receive or the decisions I could join were fundamentally constrained.

My independence statement

My employment, financial interests, relevant family connections and Velmori's commercial and ownership relationships would require disclosure and examination for any proposed appointment. The company and qualified advisers should assess the applicable Companies Act independence conditions, listed-company requirements where relevant, committee composition and directorship limits. My interest in a role is not a claim that those conditions are already met.

The seat I am pursuing

I am considering one external non-executive appointment, with a possible contribution to people or remuneration oversight after induction. I would not seek a committee chair on arrival. Eighteen days a year is a provisional allowance that must include reading, meetings, travel and exceptional demands, with my employer's consent. I have no current directorship and have not yet registered with India's independent directors databank; any applicable preparation and appointment requirements would need to be addressed before proceeding. I would value a board that wants to understand how its employment practices support the work it asks people to do, and that expects complementary financial, legal and professional expertise to inform the discussion. A role requiring routine HR management, technical certification or access to my employer's confidential relationships would not fit. I would make those limits explicit while exploring the contribution I can offer to the quality of collective oversight.

Governance learning and readiness

IICA Independent Directors’ Databank: Not yet registered

I have not yet registered with India's independent directors databank and have not taken its proficiency assessment. I do not claim an exemption. Before pursuing an appointment I would examine the applicable registration, assessment and appointment requirements with appropriate advice, alongside the company's review of competence, independence, conflicts and available time.

  • Since April 2022 I have presented people proposals and implementation reviews to Velmori's board by invitation, without serving as a director or committee member.
  • My preparation priorities are directors' duties, financial reporting, the distinction between executive action and collective oversight, and the responsibilities of people and remuneration committees. I do not claim a completed director qualification or clinical competence.
